A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN AREA
WATER AUTHORITY ADOPTING PROCEDURAL RULES FOR THE ADVISORY
COMMITTEE TO FOLLOW IN CARRYING OUT ITS DUTIES; AND PROVIDING FOR
THE EFFECTIVE DATE THEREOF.
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER
AUTHORITY:
Section 1: That pursuant to Section 395.058(e) of the Texas Local Government Code,the Board
of Directors of the Baytown Area Water Authority hereby adopts procedural rules for the Baytown Area
Water Authority Advisory Committee to follow in carrying out its duties. The rules are attached hereto as
Exhibit "A" and incorporated herein for all intents and purposes for BAWA's 2021-2022 fiscal year.
Section 2: This resolution shall take effect immediately from and after its passage by the Board
of Directors of the Baytown Area Water Authority.
INTRODUCED, READ and PASSED by the affirmative vote of the Board of Directors of the
Baytown Area Water Authority this the 2151 day of July, 2021.

RULES OF PROCEDURE
BAYTOWN AREA WATER AUTHORITY ADVISORY CO`I MITTEE
WIiF-REAS, On July 21. 2021, the Board of Directors (the "Board") of the Baytown Area Water Authority
("BAWA")appointed the Baytown Planning and Zoning Commission as its advisory committee for purposes of carrying out the
following functions and duties as specified in Chapter 395 of the Texas Local Government Code, which Include(1)advising and
assisting the BAWA in adopting land use assumptions:(11)reviewing the capital improvements plait and filing written comments:
(111) monitoring and and evaluating implementation Of the Capital improvements plait: (1v) filing semiannual reports With respect to
the progress of the capital improvements plan and report to BA\VA any perceived inequities in implementing the plan or imposing
the impact fee:and(v)advising BAWA of the need to update or revise the land use assulllptions,capital improvements plan,and
impact fee: and

1. GENERAL RULES
1.1 Quorum. A majority of the committee shall constitute it quorum For the transaction of business.
1.2 Minutes of Meetinbs. Ail account of Al proceedirl�(s of the C'onlnuttee shall be kept by, the Director of Planning or
his'her designee.
1.3 Rules. Robert's Rules of Order(latest revision) shall be used as it lruide in conducting meetings, unless Robert's Rules
of Order is in Conflict With the rules of procedure hereby adopted or any variation to these rules granted by the Chairperson
or it majority of the Committee members, provided that Section 42,-Rules Governing Debate"relating to the right of the
Chairperson to participate in debate shall not be applicable and the Chairperson or presiding officer shall have the right
to participate in debate of issues pending before the Conlnlittee, but shall have no veto power.
1.4 Vote. An affirmative: vote of the majority of,the ntenlhers of the Committee present is necessary to take any action in
the llallle of the Committee.
1.5 Right of Floor.Any Committee Member desiring to speak shall be recognized by the Presiding Officer,and shall confine
Ills or het'remarks to the subject under consideration or to be considered.No person shall address the Committee without
first being recognized by,the presiding officer.
1.6 Decorum. Dul-in�, llleetirll-'s, members of' the Committee shall preserve order and decorum and shall neither by
conversation or otherwise delay or interrupt the procecdlll0s nor refuse to observe the rules of the Committee. Menibers
of the Cite staff and the public shall observe the saute rules of decortllll during all meetings of'the Committee.
2. PRESIDING OFFICER AND DUTIES
2.1 Presidino Officer. The Chairperson and Vice-C'hail-person of the Planning and Zoning Commission shall serve as the
Chairperson and Vice-Cllallperson of the C'onimittee. The Chairperson. or in the absence of the Chairperson, the Vice-
Chairperson.shall preside as the presiding officer at all meetings of the C'onimittee. Ill the absence of both the Chairperson
and Vice-Chairperson,and with a quorum beui�t present, the Committee shall elect a temporary presiding officer.
2.2 Call to order. The Chairperson shall call the meetint's of the Committee to order, or in the Chairperson's absence, the
Vice-Chairperson,and in the absence of both the Chairperson and Vice-Chairperson,the Secretary shall call the meeting
to order.
2.3 Preservation of order.The presiding officer shall preserve order and decorum.
2.4 Substitution for Chair. The Chairperson may call upon the Vice-Chairperson, or if he or she is unavailable, any other
Committee Member, to take his or her place for it portion of a nleetin,: such substitution is not to continue beyond
adjournment,
3. MEETINGS
3.1 Meetinus. The Committee shall hold its meetings at the call of the Chairperson and at other itmes as deternilned by the
Committee. Committee nleetlnas and its members shall comply with the Texas Open Meetings Act.
3.2 Procedure. Each person addressing the Committee, whether during a public hearing or otherwise, must register on the
form provided in the hallway leadin- to the meeting, rooni. Each person's remarks will be limited to three (3) minutes.

address in an audible tone of voice for the record. All remarks shall be addressed to the Committee as a whole and not to
any member thereof. No person other than C'oniniittee Members and the person having the floor shall be permitted to
enter into any discussion,directly or through a Committee Niember,without permission of the presltimg officer. A person
