A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER
AUTHORITY AUTHORIZING PAYMENT OF ONE HUNDRED FIVE THOUSAND SEVEN
HUNDRED SEVENTY-FIVE AND 20/100 DOLLARS ($105,775.20) TO SOUTHERN
ACTUATION SERVICES, LLC, FOR THE PURCHASE AND INSTALLATION OF TWENTY-
FOUR (24) ELECTRIC ACTUATORS FOR THE BAYTOWN AREA WATER AUTHORITY'S
WATER TREATMENT PLANT; MAKING OTHER PROVISIONS RELATED THERETO;
AND PROVIDING FOR THE EFFECTIVE DATE THEREOF.

WHEREAS, Section 252.022 of the Texas Local Government Code exempts from competitive bidding
requirements procurements necessary to preserve or protect the public health or safety; and
WHEREAS,twenty-four(24) electric actuators are needed to replace broken parts that supply the Baytown
Area Water Authority's water treatment plant(the"Plant");and
WHEREAS, the replacement parts are necessary in order to ensure the continued functionality of the Plant
in order to preserve or protect the public health or safety;NOW THEREFORE
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER
AUTHORITY:
Section 1: That the Board of Directors of the Baytown Area Water Authority hereby authorizes the
expenditure of ONE HUNDRED FIVE THOUSAND SEVEN HUNDRED SEVENTY-FIVE AND 20/100
DOLLARS ($105,775.20)to Southern Actuation Services, LLC, for the purchase and installation of twenty-four
(24)electric actuators for the Plant.
Section 2: That the General Manager is hereby granted general authority to approve any change order
involving a decrease or an increase in costs of TWENTY-FIVE THOUSAND AND NO/100 DOLLARS
($25,000.00) or less, provided that the original contract price may not be increased by more than ten percent(10%)
or decreased by more than ten percent(10%)without the consent of the contractor to such decrease.
Section 3: This resolution shall take effect immediately from and after its passage by the Board of
Directors of the Baytown Area Water Authority.
INTRODUCED, READ and PASSED, by the affirmative vote of the Board of Directors of the Baytown
