2021 01 20 BAWA MinutesMINUTES OF THE REGULAR MEETING OF THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER AUTHORITY January 20, 2021 The Board of Directors of the Baytown Area Water Authority (BAWA) met in a Regular Meeting on Wednesday, January 20, 2021 at 4:31 P.M., in the Council Chamber of the Baytown City Hall, 2401 Market Street, Baytown, Texas with the following in attendance: Brenda Bradley Smith President Mike Wilson Vice President Frank McKay III Secretary Brandon Benoit Director Nick Woolery Presiding Manager Karen Horner General Counsel Leticia Brysch Assistant Secretary President Bradley Smith convened the January 20, 2021, BAWA Board Regular Meeting with a quorum present at 4:31 P.M., all members were present, with the exception of Director Brandon Benoit who arrived at 4:32 P.M. 1. MINUTES a. Consider approving the minutes of the Baytown Area Water Authority Special Meeting held on September 30, 2020. b. Consider approving the minutes of the Baytown Area Water Authority Regular Meeting held on October 21, 2020. A motion was made by Vice President Mike Wilson, and seconded by Secretary Frank McKay III to approve the minutes of the Baytown Area Water Authority Special Meeting held on September 30, 2020, and the minutes of the Baytown Area Water Authority Regular Meeting held on October 211 2020, as submitted. The vote was as follows: Ayes: President Brenda Bradley Smith, Vice President Mike Wilson, Secretary Frank McKay III and Director Brandon Benoit Nays: None Approved 2. BUSINESS ITEMS a. Consider the election of officers for President, Vice President, and Secretary; and the appointment of an Assistant Secretary. BAWA Board Regular Meeting Minutes January 20, 2021 Page 2 of 5 A motion was made by Secretary Frank McKay III, and seconded by Vice President Mike Wilson to elect the same slate of officers, in the form of Brenda Bradley Smith as President, Mike Wilson as Vice President, Frank McKay III as Secretary, and the City Clerk as Assistant Secretary for a tern of one year to commence immediately and expire on August 31, 2021. The vote was as follows: Ayes: President Brenda Bradley Smith, Vice President Mike Wilson, Secretary Frank McKay III and Director Brandon Benoit Nays: None Approved 3. REPORTS a. Receive the Baytown Area Water Authority's Quarterly Financial and Investment Reports for the Quarter Ending September 30, 2020. Finance Director Victor Brownlees introduced Mr. Robert Belt, the City's Auditor, who was connected via Zoom. Mr. Belt proceeded to provide the BAWA's quarterly financial and investment reports for the quarter ending September 30, 2020. He stated that the reports are prepared not only to comply with generally accepted accounting standards, but also to comply with the TCEQ recording guidelines for a water district. Mr. Belt hit a few financial highlights with the board members. b. Receive the Baytown Area Water Authority's Quarterly Financial and Investment Reports for the Quarter Ending December 31, 2020. Finance Director Victor Brownlees presented the item and stated that it was worth noting that in terms of water sales, they are more or less on track certainly in terms of sales to the city. Overall, about a quarter of the way through the year they have a revenue, a quarter of budget, so they are largely on track. Mr. Brownlees stated that on the expenditure side, again they are in good shape, slightly under budget on personnel, which is a significant element of the budget. On supply, slightly under but near the quarter way point. On maintenance, they had some significant items that have to be dealt with in the first quarter and that is why we are over budget but no forecast to be over budget for the year. In regards to the BAWA East Project and the Chemical Feed Improvement Project, it is sufficed to say those are going ahead full steam, it is not that they are over budget but are obviously drawing down on the funds that have been there for some time to get the projects completed. C. Receive an update regarding the Baytown Area Water Authority East Plant Project. Assistant Director of Engineering Andrea Brinkley presented the Board with pictures and a video to showcase the progress of the Baytown Area Water Authority East Plant Project. Assistant Director of Engineering Andrea Brinkley presented the board members with slides and an update on the chemical feed project. 4. CONSENT A motion was made by Director Brandon Benoit and seconded by Secretary Frank McKay III to approve Consent Items 4.a - 4.e., as submitted. Consider a resolution awarding the Annual Liquid Cationic Polymer Contract to Polydyne Inc. RESOLUTION NO. 202 1 -01 A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER AUTHORITY ACCEPTING THE BID OF POLYDYNE INC., FOR THE ANNUAL LIQUID CATIONIC POLYMER CONTRACT AND AUTHORIZING PAYMENT BY THE BAYTOWN AREA WATER AUTHORITY IN THE AMOUNT OF ONE HUNDRED FIFTY-TWO THOUSAND THREE HUNDRED EIGHTY AND NO/100 DOLLARS ($152,380.00); MAKING OTHER PROVISIONS RELATED THERETO; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. b. Consider a resolution awarding the Annual Zinc Polyphosphate Contract to Shannon Chemical Corporation. RESOLUTION NO. 2021-02 A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER AUTHORITY ACCEPTING THE BID OF SHANNON CHEMICAL CORPORATION, FOR THE ANNUAL LIQUID ZINC SODIUM POLYPHOSPHATE CONTRACT AND AUTHORIZING PAYMENT BY THE BAYTOWN AREA WATER AUTHORITY IN THE AMOUNT OF ONE HUNDRED THIRTY-FOUR THOUSAND THREE HUNDRED SIXTY-FOUR AND N01 100 DOLLARS ($134,364.00); MAKING OTHER PROVISIONS RELATED THERETO; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. RESOLUTION NO. 2021-03 A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER AUTHORITY ACCEPTING THE BID OF DXI INDUSTRIES, INC., FOR THE ANNUAL LIQUID CHLORINE CONTRACT AND AUTHORIZING PAYMENT BY THE BAYTOWN AREA WATER AUTHORITY IN THE AMOUNT OF ONE HUNDRED TWENTY-SEVEN THOUSAND FOUR HUNDRED AND NO/ 100 DOLLARS ($127,400.00); MAKING OTHER PROVISIONS RELATED THERETO; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. d. Consider a resolution awarding the Annual Sodium Hydroxide Contract to Brenntag Southwest. RESOLUTION NO. 2021-04 A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER AUTHORITY ACCEPTING THE BID OF BRENNTAG SOUTHWEST, INC., FOR THE ANNUAL LIQUID SODIUM HYDROXIDE CONTRACT AND AUTHORIZING PAYMENT BY THE BAYTOWN AREA WATER AUTHORITY IN THE AMOUNT OF THREE HUNDRED TWENTY- FOUR THOUSAND ONE HUNDRED SIXTY-TWO AND 50/100 DOLLARS ($324,162.50); MAKING OTHER PROVISIONS RELATED THERETO; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. e. Consider a resolution awarding the Annual Liquid Ferric Chloride Contract to PVS Technologies, Inc. RESOLUTION NO. 2021-05 A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER AUTHORITY ACCEPTING THE BID OF PVS TECHNOLOGIES, INC., FOR THE ANNUAL LIQUID FERRIC CHLORIDE CONTRACT AND AUTHORIZING PAYMENT BY THE BAYTOWN AREA WATER AUTHORITY IN THE AMOUNT OF SEVEN HUNDRED SEVENTEEN THOUSAND SIX HUNDRED AND NO/100 DOLLARS ($717,600.00); MAKING OTHER PROVISIONS RELATED THERETO; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. 5. MANAGER'S REPORT BAWA Board Regular Meeting Minutes January 20, 2021 Page 5 of 5 a. The next Baytown Area Water Authority meeting is scheduled for Wednesday, February 17, 2021 at 4:30 P.M., in the Council Chamber located at City Hall, 2401 Market Street, Baytown, Texas 77520. Director McKay requested that in the future, should there be an issue with the BAWA water and sewer lines, that the BAWA directors be notified and not have to hear about it from a third party. Assistant General Manager Woolery stated that they will make sure that the BAWA directors are notified of said incidents in the future and noted that staff would send them out an overview of the emergency water line repairs that occurred in early January. President Smith requested that staff add an agenda item for a future meeting to give the board an assessment and overview of the BAWA water system; what is under the control of the BAWA board versus the City. 4.
