A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER
AUTHORITY AUTHORIZING THE GENERAL MANAGER TO NEGOTIATE AND
ENTER INTO THE FIRST AMENDMENT 'to THE PROFESSIONAL SERVICES
AGREEMENTwrrii MALCOLM PIRNIE, INC., FOR THE PRELIMINARY DESIGN OF
THE WATER TREATMENT PLANT IMPROVEMENT PROJECT SUBJECT TO THE
APPROVAL OF THE CITY COUNCIL OF THE CITY OF BAYTOWN; AUTHORIZING
PAYMENT BY THE BAYTOWN AREA WATER AUTHORITY, IN AN AMOUNT NOT
TO EXCEED ONE HUNDRED THIRTY-TWO THOUSAND FIVE HUNDRED FIFTY-
SEVEN AND NO/100 DOLLARS ($132.557.00); MAKING OTHER PROVISIONS
RELATED THERETO; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF.
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER
AUTHORITY:
Section 1: That subject to the approval of the City Council of the City of Baytown, Texas, the
Board of Directors of the Baytown Area Water Authority hereby authorizes the General Manager to negotiate
and enter into the First Amendment to the Professional Services Agreement with Malcolm Pirnie, Inc., for the
preliminary design or tile watel-Treatment Plant Improvement Project, under terms and conditions acceptable to
the General Manager and the General Counsel.
Section 2: That sullject to the approval by the City Council of the City of Baytown, Texas, of the
agreement referenced in Section I hereof, the Board of Directors of the Baytown Area Water Authority hereby
authorizes the payment of an amount not to exceed ONE HUNDRED THIRTY-TWO THOUSAND FIVE'
HUNDRED FIFTY-SEVEN AND NO/100 DOLLARS ($132,557.00) to Malcolm Pirnic, Inc., consistent with
theamenciment.
Section 3: That the General Manager is hereby granted general authority to approve any change
order involving a decrease or an increase in costs of FIFTY THOUSAND AND NO/100 DOLLARS
($50,000.00) or less, provided that the original contract price may not be increased by more than tell percent
(10%)or decreased by more than tell percent (10%)without theeonsent of the contractor to such decrease.
Section 4: This resolution shall take effect immediately from and after its passage by the Board of
Directors of the Baytown Area Water Authority.
