2020 10 21 BAWA MinutesMINUTES OF THE REGULAR MEETING OF THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER AUTHORITY October 21, 2020 The Board of Directors of the Baytown Area Water Authority (BAWA) met in a Regular Meeting on Wednesday, October 21, 2020, at 4:34 P.M., in the Council Chamber of the Baytown City Hall, 2401 Market Street, Baytown, Texas with the following in attendance: Brenda Bradley Smith President Mike Wilson Vice President Frank McKay III Secretary Nick Woolery Presiding Manager Karen Horner General Counsel Leticia Brysch Assistant Secretary President Bradley Smith convened the October 21, 2020, BAWA Board Regular Meeting with a quorum present at 4:34 P.M., all members were present with the exception of Director Benoit who was absent. 1. PROPOSED RESOLUTIONS a. Consider a resolution authorizing Change Order No. 12 with Pepper Lawson Waterworks, LLC., for the BAWA 6 MGD Surface Water Treatment Plant. Mrs. Brinkley noted that the Baytown Area Water Authority ("BAWA") and the City of Baytown (the "City") approved the contract with Pepper Lawson Waterworks LLC, ("PLW") for the construction of a 6 MGD Surface Water Treatment Plant (the "Project") in May 2018. The project is still scheduled to be completed ahead of the contract time. For consideration at this time are items of work that were requested due to operation and maintenance efficiency, required equipment performance, and modifications made by previous changes. A list of work items is described below: 1. The first item of work is an increase in the amount of $21,072.43 for two (2) knife gate valves with stem guides, which connect the backwash equalization basin and the backwash pump station. These units are to replace the plug valves that were called for in the plans to avoid maintenance issues for staff in the future. These units are very deep and the subject items are selected for operation and maintenance ease. A credit was provided for the original units. 2. The second item of work is an increase in the amount of $6,503.78 for removing static mixers called for and substituting with a different model of the same Westfall brand, and modifications to the required piping and vertical turbine pumps at the Low Lift Pump Station Metering station. 3. The third item of work is an increase of $6,474.63 for modifications of an overhead door due to previous changes at the Operations Building, where an additional steel column BAWA Board Special Meeting Minutes October 21, 2020 Page 2 of 3 added for structural reasons caused a conflict with the overhead door clearance requirement for the trolley rail system, which connects to the overhead door frame. The masonry was modified to gain the required door clearance. Mrs. Brinkley stated that the project is moving along well and staff recommended approval. A motion was made by Vice President Mike Wilson, and seconded by Secretary Frank McKay III to approve Resolution No. 2020-15, related to Item La. The vote was as follows: Ayes: President Brenda Bradley Smith, Vice President Mike Wilson, Secretary Frank McKay III, Director Brandon Benoit Nays: None Other: Director Brandon Benoit (Absent) Approved RESOLUTION NO. 2020-15 A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER AUTHORITY AUTHORIZING CHANGE ORDER NO.12 WITH PEPPER LAWSON WATERWORKS, LLC, FOR THE BAWA 6 MGD SURFACE WATER TREATMENT PLANT PROJECT IN THE AMOUNT OF THIRTY-FOUR THOUSAND FIFTY AND 84/100 DOLLARS (S34,050.84); AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. 2. REPORTS a. Receive the Baytown Area Water Authority's Quarterly Financial and Investment Reports for the Quarter Ending September 30, 2020. Finance Director Victor Brownlees presented the Baytown Area Water Authority's Quarterly Investment Report, for the Quarter Ending September, 2020, and is submitted for review in accordance with the Public Funds Investment Act, Section 2256.023 (a) and (b). Mr. Brownlees noted that this is BAWA's fourth quarter monitoring report, which is almost the year-end report but there still may be a number of adjustments, a number of invoices that staff will be dealing with, but for the most part, this report will give the board a fair representation of where we have ended the year, which is consistent with the last quarter report revenues that are reasonably in line with the budget. Mr. Brownlees noted that he had spoken to the board in the recent past about the three -million - dollar accounting adjustment that took place as a result of a book -entry being incorrectly posted in the previous year; this is in both sides of the ledger, so the board members can see said adjustment on page one and the contras in page four, so the net effect on the balances is nil. BAWA Board Special Meeting Minutes October 21, 2020 Page 3 of 3 Mr. Brownlees noted that on the expenditure side, they are a little bit under, which is always better than the alternative, so ending the year slightly under 90% of budgeted expenditures; this money will obviously go back into balances, so BAWA will not lose it. Mr. Brownlees noted that on the investment side, BAWA made a shade over seven thousand dollars in the last quarter, which is slightly ahead of the market, so overall, good news. b. Receive an update regarding the Baytown Area Water Authority East Plant Project. Assistant Director of Engineering Andrea Brinkley presented the Board with pictures and a video to showcase the progress of the Baytown Area Water Authority East Plant Project. C. Receive an update regarding the Fritz Lanham Surface Water Plant Chemical Feed Improvements Project. Assistant Director of Engineering Andrea Brinkley presented the board members with slides and an update on the chemical feed project. 3. MANAGER'S REPORT a. The next Baytown Area Water Authority meeting is scheduled for Wednesday, November 18, 2020, at 4:30 p.m., in the Council Chamber located at City Hall, 2401 Market Street, Baytown, Texas 77520.
