2021 03 04 CC Minutes, SpecialMINUTES OF THE SPECIAL MEETING OF THE CITY COUNCIL OF THE CITY OF BAYTOWN March 4, 2021 The City Council of the City of Baytown, Texas, met in a Special Meeting on Thursday, March 45 2021, at 6:32 P.M. in the Council Chamber of the Baytown City Hall, 2401 Market Street, Baytown, Texas with the following in attendance: Laura Alvarado Council Member Chris Presley Council Member Charles Johnson Council Member Heather Betancourth Mayor Pro Tern Jacob Powell Council Member Mike Lester Council Member Brandon Capetillo Mayor (Teleconference) Rick Davis City Manager Karen Horner City Attorney Leticia Brysch City Clerk Mike Holden Interim Sergeant at Arms Mayor Capetillo convened the March 4, 2021, City Council Special Meeting with a quorum present at 6:32 P.M., all members were present. Due to the COVID 19 Disaster and the CDC's recommendation regarding social distancing measures there was limited amount of space when maintaining the required 6-feet separation from others. However, the meeting allowed for two-way communications for members of the public who were not allowed to be physically present at this meeting. 1. BAYTOWN CONVENTION CENTER a. Consider a resolution authorizing (i) the publication of the Notice of Intent to issue Certificates of Obligation for the convention center facilities and related infrastructure and (ii) advanced funding. Director of Finance Victor Brownlees presented the item and stated that on the 18th of November 2019, the City Council agreed to issue Certificates of Obligation of $20.5 million in respect of the Hotel and Convention Center Project. It is now necessary to reaffirm that commitment. The figure of $20.5 remains as before, there were no other debt obligations that have been taken on by the city in respect of this project. The other piece of clarification that Mr. Brownlees provided is that this will be funded through the MDD from sales tax and not through the City's general fund from property tax. The vote was as follows: Ayes: Mayor Brandon Capetillo, Council Member Laura Alvarado, Council Member Chris Presley, Council Member Charles Johnson, Mayor Pro Tern Heather Betancourth, Council Member Mike Lester Nays: Council Member Jacob Powell Approved RESOLUTION NO. 2,705 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS, AUTHORIZING PUBLICATION OF NOTICE OF INTENTION TO ISSUE CERTIFICATES OF OBLIGATION AND OTHER MATTERS RELATING THERETO; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. b. Consider a resolution repealing Resolution No. 2648, which approved a budget for the Baytown Convention Center Project, and approving a revised budget for the Baytown Convention Center Project in accordance with the Development Management Agreement. Director of Finance Victor Brownlees presented the item and stated that the Municipal Development District (MDD) approved the revised budget for the Baytown Convention Center and Council is now being invited to agree to their agreement. A motion was made by Council Member Laura Alvarado, and seconded by Council Member Jacob Powell to approve Resolution No. 2,706, related to item Lb. The vote was as follows: Ayes: Mayor Brandon Capetillo, Council Member Laura Alvarado, Council Member Chris Presley, Council Member Charles Johnson, Mayor Pro Tern Heather Betancourth, Council Member Jacob Powell, and Council Member Mike Lester Nays: None Approved RESOLUTION NO. 25706 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS, REPEALING RESOLUTION NO. 2648, WHICH APPROVED A BUDGET FOR THE BAYTOWN CONVENTION CENTER PROJECT; APPROVING A REVISED BUDGET FOR THE BAYTOWN CONVENTION CENTER PROJECT; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. Consider an ordinance authorizing the First Amendment to the Funding Agreement with the Baytown Hospitality Public Facilities Corporation and the Baytown Municipal Development District to fund the costs of the Pre -Construction Agreement with DPR Constructions and a portion of the costs of the Development Management Agreement with Garfield Public /Private LLC, for expenses associated with the Baytown Hotel and Convention Center Project. A motion was made by Council Member Laura Alvarado, and seconded by Council Member Chris Presley to approve Ordinance No. 14,683, related to item l.c. The vote was as follows: Ayes: Mayor Brandon Capetillo, Council Member Laura Alvarado, Council Member Chris Presley, Council Member Charles Johnson, Mayor Pro Tern Heather Betancourth, Council Member Jacob Powell, and Council Member Mike Lester Nays: None Approved ORDINANCE NO. 14,683 AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS, AUTHORIZING THE CITY MANAGER TO EXECUTE AND THE CITY CLERK TO ATTEST TO THE FIRST AMENDMENT TO THE FUNDING AGREEMENT WITH THE BAYTOWN HOSPITALITY PUBLIC FACILITIES CORPORATION AND THE BAYTOWN MUNICIPAL DEVELOPMENT DISTRICT TO FUND THE COSTS OF THE PRE - CONSTRUCTION AGREEMENT WITH DPR CONSTRUCTION AND A PORTION OF THE COSTS OF THE DEVELOPMENT MANAGEMENT AGREEMENT WITH GARFIELD PUBLIC/PRIVATE LLC, FOR EXPENSES ASSOCIATED WITH THE BAYTOWN HOTEL AND CONVENTION CENTER PROJECT; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. 2.
