The City Council of the City of Baytown, Texas, met in a Special Meeting on Tuesday,
November 17, 2020, at 7:02 P.M. in the Council Chamber of the Baytown City Hall, 2401

Mayor Capetillo convened the November 17, 2020, City Council Special Meeting with a quorum
present at 7:02 P.M., all members were present.
Pledge of Allegiance, Texas Pledge, and Invocation was led by Council Member Laura
Alvarado.
Due to the COVID 19 Disaster and the CDC's recommendation regarding social distancing
measures there was limited amount of space when maintaining the required 6-feet separation
from others. However, the meeting allowed for two-way communications for members of the
public who were not allowed to be physically present at this meeting.
1. ELECTION CANVASS
a. Canvass the returns of the City of Baytown's November 3, 2020, Municipal Election.
City Clerk Leticia Brysch presented the tabulation results to Council from the November 3,
2020, municipal election for Districts 4, 5, and 6, whereas and Districts 5 and 6 had three (3)
candidates and District 4 was uncontested.

Mayor Capetillo stated that he delivered the election returns tally list and early voting precinct
report using our canvass to the City Clerk, the General Custodian of Election Records, who shall
preserve them for the period of preserving election records. It is now 7:11 p.m. and this
concludes the canvass of this election of the City of Baytown held on November 3, 2020.
b. Consider a resolution declaring the results of the City of Baytown Municipal
Election held on Tuesday, November 3, 2020.
A motion was made by Council Member Robert C. Hoskins, and seconded by Council Member
David Himsel to approve Resolution No. 2685, related to item l .b. The vote was as follows:

C. Receive the Certification of Runoff Candidates for Single -Member District Nos.
Five (5) and Six (6).
City Clerk Leticia Brysch presented the Mayor with the certification of the runoff candidates for
single -member Districts Number 5 and 6. As the Mayor mentioned during the canvass report, no
one candidate received over 50% of the vote; therefore, the candidates that received the most
votes will move on to a runoff election to be held on December 12, 2020, which is a Saturday.
This is just a formal procedural step to bring that certification to Council and no action is
required at this time. She proceeded to state that for the record, in District Number 5 the
candidates that are moving towards the runoff are Thomas Parent and Jacob Powell, and for
Council District Number 6, it is Mike Lester and Susan Cummings.
2. RUNOFF ELECTION
City Clerk Leticia Brysch asked the mayor and council to please consider taking agenda items
2.a., 2.b., and 2.c. together. For the record, the first item calls for the runoff and items b and c,
allow us to negotiate contracts with the two counties.
A motion was made by Council Member Robert C. Hoskins, and seconded by Council Member
David Himsel, to approve Ordinance Nos. 14,560; 14,561; and 14,562, related to agenda items
2.a. through 2.c. The vote was as follows:

a. Present recognitions for years of service to Council Member Robert C. Hoskins,
District No. 5 and Council Member David Himsel, District No. 6.
City Clerk Leticia Brysch asked for Council Members Robert C. Hoskins and David Himsel to
come forward and Mayor Capetillo and City Manager Rick Davis presented both council
members with tokens of appreciation, which included a crystal award and a mantel clock, as they
expressed their recognitions to both council members for all their service, support, expertise, and
diligence. Ms. Brysch also presented both council members with a token of appreciation on
behalf of her staff, which consisted of street signs labeled Hoskins' Way and Himsel's Way.
Council Member Hoskins reflected on his past nine years of service that he has been with the
City of Baytown, especially to the citizens of District 5, and hopes that he has at least made a
small impact on the City, the citizens, and long-tenn improvements for Baytown. They have no
doubt changed the image of the city, and now city management, city staff, and this council can
continue to keep the vision of what the city can strive to be and still have ways to go. He
challenges the seven council members, that are going to be up here in the future, two, that are
going to be up here, on the council to endeavor to do what is best for the city and the citizens we
serve. He thanked the city staff and city management for having a very difficult job and are most
often not recognized appropriately for what they do. He especially thanked the former City
Manager Bob Leiper and the current City Manager Rick Davis for their wok, guidance and
friendship. He also thanked the Baytown Police and Fire Departments for having the most
difficult and dangerous jobs in our community and are unsung heroes that he appreciates to the
bitter end. He thanked the City Clerk staff for being the ones behind the scenes that make all of
these meetings happen and making sure the mayor and council are taken care of prior to, during,
and after these meetings. He also expressed appreciation for the other six council members for
the opportunity of being able to work with them and he highly respects each and every single one
of them, even though they had disagreements in their debates. Even with all the different ideas,
opinions, desires, and directions, at the end, the council members have done what is right for the
City. Lastly, he thanked his wife, Pam, and his family for their support for the past 15 years of
public service.
Mayor Capetillo then asked the other council members to express their recognitions for Mr.
Hoskins' service and they spoke in order by district starting with Council Member Alvarado, the
mayor speaking last.
Council Member Himsel proceeded to stated that lie has thoroughly enjoyed serving on the
council, which he never expected to do anything like this, but was asked by his constituents in
his district to run for council member. He has definitely learned a lot and stated that the staff is
unbelievable and have Baytown at heart. He is at retirement, therefore, that is one of the reasons
he did not run again, and he has met the love of his life and got married just a while back. They
are building a home in Brownsville, which is where they are going to retire. He believes it is a
passion to let people know how you feel and stand for something and try to get it right for the
citizens, and that is what he is probably most proud of himself. He is looking forward to
retirement, go fishing, traveling to Italy, and many more things that he has spoken about doing

with his wife, Debbie. He has lived in Baytown since 1972 and wishes he would have run for
council nine or ten years back and served two to three terms.
Mayor Capetillo then asked the other council members to express their recognitions for Mr.
Himsel's service and they spoke in order by district starting with Council Member Robert C.
Hoskins, the mayor speaking last.
b. Present a recognition to Phillip Davis, City of Baytown Risk Management
Coordinator, for receiving the Texas Professional Risk Management Association's
(PRIMA) 2020 Rising Star of the Year award.
This agenda item was moved to the December 10"' City Council meeting agenda.
C. Recognize City of Baytown Employees for their Years of Service.
Human Resources Director Carol Flynt presented the item and provided a video presentation for
all the individuals that received years of service awards for the month of November.

a. Consider approving the minutes of the Cite Council Work Session and Regular
Meeting held on October S, 2020.
A motion was made by Council Member Robert C. Hoskins, and seconded by Mayor Pro Tern
Charles Johnson to approve the meeting minutes of the City Council Work Session and Regular
Meeting held on October 8, 2020. The vote was as follows:

Mayor Capetillo stated that he would like to make a point of privilege and would like to take the
agenda of order and consider agenda item 10.a. as they have quite a few individuals speaking on
this item and in the interest of their time, he would entertain item 10.a., at this time.
10. DISCUSSIONS
a. Receive and discuss a presentation from San Jacinto Retail Associates, LLC,
regarding the development of the San Jacinto Marketplace.
Mr. Alan Hassenflu, with Fidelis Realty Partners, introduced several members of his team that
were also present, and stated that they all appreciate the ability to be here and present to you this
evening. He wanted to provide an update on what is going on with the very large tract of land
that they purchased five and half years ago, which is the San Jacinto Mall, as well as provide a
brief history. He wanted to tell them where they are, what they are doing, their plans, and they
put up several boards around the roorn and provided a slide show presentation.
Mr. Hassenflu indicated that Fidelis purchased the subject property back in July 2015. In 2016,
they purchased the former Service Merchandise parcel. In 2017, they purchased the Marshall's
parcel and at the end of 2018, they bought the Sears parcel, therefore, going into 2019, they
owned 82 acres, and that was what comprised the ownership of the mall. There are two tracts left
to acquire, which have been the most difficult and they are the 8-acre tract that J.C. Penney
operates and occupies today, and the 15-acre tract that Macy's operates and occupies today. J.C.
Penney went into bankruptcy this year and nothing could be done and the bankruptcy trustee
controlled the company. They came out of bankruptcy last week, and the group that bought them
is Simon and Brookfield Mall Operators, whom purchased all of the J.C. Penney stores plus the
operating entities. Fidelis Realty Partners has put in an offer to buy this particular J.C. Penney in
Baytown, the 8-acre tract, and hope that it will be accepted, but he does not believe it will
happen this year because of the Christmas holidays and the fact that retailers will be pushing

through to maximize their sales in this COVID year, so it may happen in the first quarter of next
year. He stated that they need to be able to buy this tract of land, as the 8-acre tract runs around
the dead middle of the property, therefore, if they cannot get this, it makes it much more difficult
to execute any plan.
In regards to Macy's, Mr. Hassenflu stated that it is not in bankruptcy and they are an operating
entity. They still operate the store at the mall and would like to sell their parcel to them, which
Fidelis has made an offer, but it has not been accepted and it will most likely not be given focus
until next year for the same reasons as J.C. Penney, of the Christmas sales and what they are
trying to do for the remainder of the year. If they are able to purchase both of these tracts of land,
J.C. Penney and Macy's, they will own everything and will have a total of 105-acres.
Mr. Hassenflu went on to present different slides of the proposed development of the San Jacinto
Marketplace. It will be a mixed -used development which will consist of retail, residential multi-
family, office space, and hotel. For their development to be most successful, they will need to
have all the land developed as well. The overriding goal is to develop about a million two
hundred and thirty thousand square feet, which is labeled on the plan as it being four hundred
and forty thousand feet of retail, a hundred and fifty thousand feet or more of the hotel that is
kind of on the small side, it could get bigger. The office is a hundred and twenty thousand feet,
but it could also get bigger depending upon the demand and the residential is five hundred and
twenty thousand square feet. He then had Carson and Lynn come up and talk about the leasing
and retail section.
Mr. Carson Wilson introduced himself and Ms. Lynn Davis, and stated that he wanted to start by
saying that it has been a very interesting time in the retail development world since the COVID
pandemic has wreaked havoc on the traditional brick and mortar retailers, most of which are on
an expansion freeze until such time as consumer shopping patterns return to pre-COVID levels.
That being said, they are every day having on -going conversations with a wide variety of
traditional retailers, grocers, restaurants, and entertainment users to try to lure them to the re-
development of San Jacinto Mall. For example, in the restaurant category, it would be restaurants
such as Perry's Steakhouse, Pluckers, Carrabba's, PF Chang's, and E1 Tiempo, a wide variety of
restaurant uses that provides something for everybody. In the grocery category, they are talking
to Sprouts, Trader Joe's, and Whole Foods. In the entertainment category, the will be talking or
have talked to Dave & Buster's, Main Event, Chuck E. Cheese, and all the different theatre
chains. Lastly, traditional brick and mortar retailers would include retailers such as At Home,
Nordstrom Rack, Home Goods, DSW, Barnes and Noble, Books -A -Million, Dick's Sporting
Goods, Party City, Five Below, Carter's Kids, OshKosh, Joseph F. Banks, and this is again, no
way an exhaustive list of the prospects.
Mr. Hassenflu commented on how they would really like to make the development plan
connective throughout the city with pedestrian hike and bike trails through Independence
Boulevard, Sam Houston, and Lone Star Avenue as they continue west and then unto San Jacinto
Boulevard. The City did a great job with San Jacinto Boulevard, it has a lot of landscaping in the
medians, which is kind of a centerpiece in teens of your transport system. He proceeded to
present slides of the development ground levels, such as views of the smaller spec buildings and

the green space with walkability and connectivity throughout so it can flow really well, the larger
anchor retail buildings, and they will have quite a bit of landscaping. He reiterated that they will
continue to come to an agreement with J.C. Penney and Macy's, as they cannot develop anything
without the approval of those two entities.
Mayor Capetillo thanked Mr. Alan Hassenflu for their presentation and opened the floor to the
council members for questions and discussion.
Mayor Capetillo returned to the regular order of the agenda with item 5.a.
5. STRATEGIC PARTNERSHIP AGREEMENT AND LIMITED PURPOSE
ANNEXATION, CHAMBERS COUNTY MUD NO.3
a. Conduct the second public hearing regarding a strategic partnership agreement
related to a limited purpose annexation with Chambers County Municipal Utility District
No. 3 for approximately 223.2868 acres of land situated in the Chambers County School
Land Survey, Abstract 321, Chambers County Texas.
At 8:26 P.M., Mayor Capetillo opened the public hearing regarding a strategic partnership
agreement related to a limited purpose annexation with Chambers County Municipal Utility
District No. 3 for approximately 223.2868 acres of land situated in the Chambers County School
Land Survey, Abstract 321, Chambers County Texas.
Assistant Director of Planning and Development Services Nathan Dietrich presented the item
and stated that the first public hearing was held back at the council meeting on October 22nd, and
this is for the area that is out along our eastern boundary, which borders State Highway 99 and I-
10. Back in April of this year, council approved the development agreement with America's
LLC. These are just the next steps that we take in order to finish off our strategic partnership
with them and our limited -purpose annexation. He would be happy to answer any questions that
council may have.

At 8:27 P.M., Mayor Capetillo closed the public hearing regarding a strategic partnership

Assistant Director of Engineering Erwin Burden presented the item and stated that they had
originally brought this to council on October 22nd in a workshop. Staff is recommending that
they move several items of Chapter 126 to a new chapter, 109, for design criteria for streets,
drainage, and bringing some of those items up to code and making the city eligible for funding

for the state and county resources. Staff presented the item to the Planning and Zoning
Commission at an earlier meeting today and they did approve it.

Assistant Director of Planning and Development Services Nathan Dietrich presented the item
and stated that back in 2017, the City executed multiple involuntary annexations, and they
brought this particular tract of hundred acres into the city. We, the staff, said that we were going
to come back and rezone these areas and this is the final public hearing that we are going to be
having to rezone this area from Open Space Recreational to SF 1 zoning district, which is,
basically, a zoning district that allows for up to one to four units per acre to be built there. Staff
felt that this was the most appropriate zoning district for this area. He would be happy to answer
any other questions council may have.
Council Member Hoskins stated he had a question in regards to one location or one piece of land
here that will not comply immediately with some of our codes and standards so what are the
plans on enforcement for that area? Now, it is not necessarily the home or it is not necessarily the
structures they have on there, it is the things they have there, so what will be done to enforce that
or that certainly, is not grandfathered in? Mr. Dietrich answered that it all depends, there are
what is referred to as non -conforming uses so those types of uses that can stay as -is until they
were to expand or expand any of those types of uses that are there, then that is when staff would
go back and enforce the issue from a zoning perspective. About two or three months ago, they

passed a text amendment out there to allow for people that are living in a single-family
residential atmosphere that they are allowed to do certain things to maintain their lifestyle so,
hopefully, in most cases, they have taken care of most of those folks out there.

Assistant Director of Planning and Development Services Nathan Dietrich presented the item
and stated that back in 2019, Mr. Lyon Decker brought forth a Plan Unit Development at this
particular location. They were looking to develop a luxury apartment complex with some mixed -
use for commercial also integrated within the development. The item went before the Planning
and Zoning Commission and they recommended approval, and then it came before council and
you also recommended approval. The planning and development were approved and adopted for
this particular tract. However, since then, things have changed. It has been expressed to us by the
owner that the developer is no longer looking to develop that project anymore as it is no longer
economically feasible so they are requesting to void this planning and development. Mr. Dietrich
stated that within the City of Baytown's code of ordinances, there is an allowance for voiding to
occur and we are kind of recognizing this is just like a zoning map amendment change. What
usually happens with this voiding of this planning and development is that it would take on the
underlying zoning district, which was General Commercial, and that is what the owner would
like to do at this particular time, so they can market the property, and sell it to somebody who
will develop it in the future.

9. PROPOSED ORDINANCES

"Composition; term" of the Code of Ordinances, Baytown, Texas, to increase the number
of members on the Animal Control Advisory Committee.
Director of Health Tony Gray presented the item and stated that the proposed ordinance before
council amends Chapter 2 "Administration." Article IV "Boards and Commissions," Division
"Animal Control Advisory Committee." As you may recall, this item was discussed last month at
the Council work session on October 22nd. At that time, your direction from that session was to
increase the number of members on the Animal Control Advisory Committee from five to seven
members. You also recommended the two new members be designated as interested citizen
positions. Currently, there is only one interested citizen position in the committee, and this

change will increase that number to three. One of the additional members will be appointed for a
one-year tenn and the other will be appointed for a two-year term. The length of the terms of
these two members will be detennined by lot. The proposed ordinance also provides that each of
the interested citizens appointed to the committee shall not have any professional or personal
affiliation similar to those represented by other appointees to the committee. The staff
recommends approval as written.
Council Member Betancourth asked if the other items they talked about in that work session, the
protocols for how the meetings will be run, are these just internal policies that are being adopted,
they are not part of the ordinance? Mr. Gray answered that was correct and confirmed that City
Attorney Karen Horner had presented the rules of procedures at the last work session, and it was
in order to be consistent with the other committees that we have within the city. Council Member
Betancourth also commented that the city attorney had explained to her why the language still
says Health Director and Police Chief as staff positions on the committee and it was her
preference and her understanding that the language was going to be a little bit more vague since
it was explained that you can designate someone on your staff to do this. Her only concern is that
even though it is only one voting staff member, she did not want to have an overwhelming
number of staff members present at the committee meetings to where they outnumber the
citizens. Mr. Gray stated that the designee status is there really for the intent of the committee so
there would be someone there that has oversight of the day to day operations of the shelter.
Council Member Betancourth stated that she preferred that language as it could be the Health
Director or the Shelter Manager, and does not understand why they left it as Health Director and
Police Chief, which is so specific. Mr. Gray stated he can designate whomever he thinks is the
most appropriate person that has the day to day oversight of the shelter, which the shelter
operation reports through and up the Assistant Director, and his thought would be that that is
probably tine more logical person to have on the committee, as the representative for the Health
Department. Mayor Capetillo asked why they could not put Health Director or Designee as the
title position and City Attorney Karen Horner answered that in Section 1-2 of the Code of
Ordinances provides that if there is ever a position or title referenced, that that person can have a
designee, so that is throughout tine whole ordinance so we never state "designee" since they rely
back on Section 1-2.

Horn and Associates, Inc., for the design of the Garth Road Widening Project from 1-10 to
SH 146.
Assistant Director of Public Works and Engineering Andrea Brinkley presented the item and
stated that the Garth Road project is one of our highly visible projects of major consideration at
this time and we are going to be considering the design contract for that project. She provided a
brief summary as to where they stand today and were successful in reallocating design and right
of way acquisition cost towards the construction of Phase A and B. Phase A and B take us from
I-10 to Hunt Road, and Hunt Road to South of Archer, so that is the first kind of workload that
we are going to execute with this project and because of that change to snake construction and
reconstruction possible on that roadway, the city has taken on the design and right of way
acquisition cost so that is the nature of this contract. The scope of work that they are considering
at this point is, it is a long list of things, but gives an appreciation for the amount of work, it is
Design Engineering Services, which include survey, subsurface utility, investigations,
geotechnical investigations, road widener, drainage design. We also have water and wastewater
and franchise utility relocation, roadway illumination, signals, this is several signals as part of
this project, the right of way and easement acquisition, landscape, and public art designs.
Ms. Brinkley stated that they are considering everything within that right of way to make the
roadway not only reconstructed roadway but make it beautiful and aesthetically pleasing,
therefore, the design services include Phase A through E with a first early out package of water
and wastewater, and Phase A and B for 7.5 million dollars, bid phase services $87,500, and
construction phase services for $400,700 so the total value of the contract is $7,988,900. As far
as the work schedule, the summary is that there is going to be four years of design effort for all
those phases, and the first water and wastewater relocations will be done with the design in late
2021, with constructions soon following. The design of Phase A and B will be complete in early
20221 with construction soon following that. The work effort is enormous and it is a large
project.

this ordinance, as well as MDD providing funding for it, and also ESA satisfactory to the city.

and stated that this is a first amendment to our plan. Kendig Keast Collaborative is doing our
comprehensive plan and staff felt that because our community based strategic plan is coming to a
close, the one that was adopted back in 2016, we wanted to continue with that and felt that there
was a good synergy between the comp plan and the strategic plan. Therefore, staff reached out to
Kendig Keast to see if they would do this along with the comp plan, and they agreed. This is the
amendment to that contract to allow that to happen. Mr. Gary Mitchell is here, he is the president
of the Kendig Keast Collaborative, and if you have any questions we will be happy to answer.

Council Member Heather Betancourth wanted to comment that there were five items on the

A motion was made by Mayor Pro Tern Charles Johnson, and seconded by Council Member
Laura Alvarado to approve item 12.c., for the sake of discussion.
Council Member Chris Presley stated that he visited with Memorial Baptist Church and he goes
through this intersection on a very routine basis. The proposal is to install a stop sign on West
Sterling and remove the stop signs at Felton. However, the church and others believe that in the
spirit of safety that it would be more prudent to have the existing stop signs that are currently on
Felton remain so we always have a stop there. Can we amend this to include that? Traffic
Engineer Matthew Johnson answered that from a traffic standpoint safety, it is perfectly fine.
A motion was made by Council Member Chris Presley, to amend item 12.c., to install the stop
sign on West Sterling as proposed and leave the existing stop signs on Felton as is to make it a
three-way stop, and was seconded by Council Member Robert C. Hoskins. The vote was as

Council Member Chris Presley wanted to clarify that item 12.m., had gone through the
Architectural and Engineering Committee, and even though he and Council Member Laura
Alvarado are okay with it, they wanted council to be aware of the change that they are moving to
another professional service firm. Director of Public Works and Engineering Frank Simoneaux
confirmed that the city had canceled their original agreement with ADG, the original architect
firm. After tonight, once they approve this ordinance, staff will initiate a negotiation, or rather
they will have a contract with a new firm, which is Texas -based and it will be with the original
team that started the project, who had left the original architectural firm. They are here tonight if

13. APPOINTMENTS
a. Consider the appointment of an ad hoc committee of the City Council to review
Animal Control Advisory Committee applications.

Mayor Capetillo stated that the previous discussion was trying to have as much input from
different stakeholders with the new makeup, or the expansion of this committee, so he gave it
some thought and spoke to the City Manager on how they can try to incorporate some of these
stakeholders but still have a balance of citizens and staff, as there are all kinds of animal
advocates and interested parties, so they want to get it right. Therefore, he is proposing to create
an ad hoc committee to receive and review the submitted applications for the Animal Control
Advisory Committee, although all council members will receive the applications, the ad hoc
committee would be the ones to nominate the individuals for the committee. He has asked
Council Member Laura Alvarado to chair the committee and the City Manager Rick Davis
recommended two additional council members that would be a good fit, who are Council
Member Heather Betancourth and Council Member Charles Johnson, which the mayor agreed. It
would be a short-term committee.
City Clerk Leticia Brysch stated that they will begin advertisement as soon as this is done since
they were waiting for the ordinance to be amended this evening. They will work in the same
manner that they did for the previous committee, to put out flyers, social media, infonnation and
they will work for a minimum of a month to compile and will put a packet together, similar to
what they did for the Baytown Police Advisory Committee.
A motion was trade by Council Member Chris Presley, and seconded by Council Member David
Himsel to appoint Council Members Laura Alvarado, Charles Johnson, and Heather Betancourth
to the ad hoc committee. The vote was as follows:

b. Receive the Mayor's appointments of one (1) representative and one (1) alternate to
the 2021 Transportation Policy Council and one (1) representative and one (1) alternate to
the 2021 Technical Advisory Committee.
A motion was made by Council Member Robert C. Hoskins, and seconded by Mayor Pro Tern
Charles Johnson, to appoint Council Member Heather Betancourth as the primary representative
member and Mayor Brandon Capetillo as the alternate member to the Transportation Policy
Council ("TPC") and appoint Assistant City Manager Nick Woolery as the primary
representative member and Public Works and Engineering Director Frank Simoneaux as the
alternate member to the Technical Advisory Committee ("TAC"). The vote was as follows:

C. Consider confirmation of the City Manager's appointment of the City of Baytown
Director of Planning and Development Service.
City Manager Rick Davis stated that after a very interesting and comprehensive national
recruitment, he is pleased to present the name of Martin A. Scribner as the new Director of
Planning and Development Services. Mr. Scribner come to us from Arizona, he also served in
Indiana and Kentucky, so he has some great experience, over twenty years of urban planning
experience. He has received a Bachelor's Degree in Psychology and a Master's Degree in Urban
and Regional Planning. Mr. Davis also proceeded to list some of Mr. Scribner's other credentials
and awards he has received.
A motion was made by Council Member David Himsel, and seconded by Council Member
Robert C. Hoskins, to confirm the City Manager's appointment of the City of Baytown Director
of Planning and Development Services, Mr. Martin A. Scribner. The vote was as follows:
