AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS,
APPROVING THE FIRST AMENDMENT TO THE CONSULTING SERVICES
AGREEMENT BETWEEN THE BAYTOWN AREA WATER AUTHORITY AND
CAROLLO ENGINEERS INC., FOR THE BAYTOWN AREA WATER AUTHORITY
EAST SURFACE WATER TREATMENT PLANT PROJECT; AND PROVIDING FOR
THE EFFECTIVE DATE THEREOF.

WHEREAS, the Baytown Area Water Authority's enabling legislation requires that the City
Council approve certain agreements before Baytown Area Water Authority ("BAWA") enters into the
same; and
WHEREAS, on September 30, 2020, the Board of Directors of BAWA approved the First
Amendment to the Consulting Services Agreement with Carollo Engineers Inc., for the Baytown Area
Water Authority East Surface Water Treatment Plant Project; and
WHEREAS, the City of Baytown desires to approve such amendment; NOW THEREFORE,
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS:
Section 1: That the recitals set forth hereinabove are hereby found to be true and correct and
are hereby adopted.
Section 2: That the City Council of the City of Baytown, Texas, hereby approves the First
Amendment to the Consulting Services Agreement between the Baytown Area Water Authority and
Carollo Engineers Inc., for the Baytown Area Water Authority East Surface Water Treatment Plant
Proj ect.
Section 3: This ordinance shall take effect immediately from and after its passage by the City
Council of the City of Baytown.
INTRODUCED, READ and PASSED by the affirmative vote of the City Council of the City of

Consultant agrees to perform change(s) included in this Contract Amendment for the price and time indicated.
The prices for changes included all costs associated with this Contract Amendment.
No wort: is to be done until this Amendment is executed. No payment to the Consultant shall be made for wort:
included in tine Amendment until this Amendment is executed.
Unless a different meaning clearly appears from the context, words and phrases as used in this Amendment, the
terms and phrases as used herein shall have the same meanings as in the Agreement. The provisions Of this
Amendment and the Agreement and all previous amendments, if ally, shall be read together and construed as one
agreement provided that, in the event of any conflict or inconsistency between the provisions of this Amendment
and the provisions of the Agreement and any previous anuenchnent, the provisions of this Amendment shall
control. This Amendment has been jointly negotiated by the parties hereunder and shall not be construed against
a party hereunder because that party may have assumed primary responsibility for the drafting of this Amendment.
By this Amendment, the City does not consent to litigation or suit, and the City hereby expressly revolves any
consent to litigation that it may have granted by the terns of this Amendment, the Agreement or any other contract
or agreement or addenda, any charter, or applicable state law. Nothing contained in this Annendnient or in the
Agreement shall be construed in arr}• way to limit or to waive the C'ity's sovereign irmuu pity.
Tine persons executing this Agreement hereby represent that each party has the full power and authority to enter
into and perform pursuant to this Amendment, and that each has been properly authorized and empowered to
enter into this Amendment.
Upon execution by all parties, the following changes identified for the Contract Value and/or Contract
Time shown, are made part of the Contract.

ATTACHMENT A
SCOPE OF WORK
ONGOING OPERATIONS & START-UP SUPPORT
PURPOSE
The OWNER is nearing completion of the construction of a new 6 million gallon per day (mgd)
Water Treatment Plant (WTP) that supplies water to customers near Baytown, TX. The purpose
of this Task Order is to assist the OWNER by preparing and presenting an Operations Training
Workshop, with start-up & commissioning support, and by assisting the OWNER with Texas
Commission on Environmental Commissioning (TCEQ) acceptance.
ENGINEER'S SERVICES
1. Project management
a. General project management tasks including invoicing, scheduling, progress reports,
and communication
2. Operations Workshop
a. Preparation of Workshop Content
1) ENGINEER will develop a PowerPoint presentation and other relevant content for
the Workshop. The Workshop will be divided into different modules. Each module
will review relevant design criteria, treatment goals, key safety provisions and
procedures, and normal operations and controls.
2) Modules may include:
a) Introduction and WTP Overview
b) Raw Water Conveyance Facilities
c) Pretreatment (rapid mix/flocculation/sedimentation)
d) Filtration
e) Chemical Feed Facilities
f) Clearwell Operation and HSPS
g) Disinfection/CT Compliance
h) Sampling and Reporting
b. Workshop Presentation
1) The ENGINEER will host the Workshop at a site selected by the OWNER. The
Workshop will be held in one day over a five -hour period. The schedule will
include time for lunch and two 15-minute breaks. It is assumed that up to four of
ENGINEER'S engineers will attend the Workshop.
3. Ongoing Start-up & Commissioning Support
a. Participate in ongoing coordination calls with OWNER, Jones & Carter, and PLW.
b. Provide start-up and commissioning advice and support.
c. Provide operations advice and support.
4. TCEQ Coordination
a. ENGINEER will assist OWNER with general TCEQ coordination associated with
items listed in the TCEQ Conventional SWTP Use Checklist (Step 2). ENGINEER's
assistance will be based on OWNER and/or Jones & Carter taking the lead in all
interactions and coordination with TCEQ.

b. Provide assistance and support with reporting results from full-scale testing for
TCEQ exceptions and requirements associated with chlorine dioxide disinfection and
superpulsator operation.
5. Deliverables
a. Submit draft outline of the seminar for OWNER review and comment.
b. Workshop handout materials
c. Host workshop
TIME OF PERFORMANCE
Services shall begin immediately upon receipt of notice to proceed (NTP). The Workshop will be
held within four weeks from NTP.
