A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF BAYTOWN,TEXAS,
GRANTING THE PETITION OF RHODIA.INC.,CONCERNING THE
DISANNEXATION OF A PORTION OF THEIR PROPERTY THAT IS IN THE CITY
LIMITS AND SURROUNDED BY INDUSTRIAL DISTRICT NO.1,HARRIS
COUNTY,TEXAS;AND PROVIDING FOR THE EFFECTIVE DATE THEREOF.
WHEREAS,Section 43.142 of the Texas Local Government Code provides that the City may
disannex property within its corporate limits:and
WHEREAS,the City of Baytown has received a petition filed by Rhodia.Inc.,concerning the
disannexation of a portion of their property that is in the city limits and surrounded by Industrial District
No.1,Harris County.Texas;and
WHEREAS,on this date,the City Council heard the petition and the arguments for and against
the disannexation and desires to grant the petition:NOW THEREFORE
BE IT RESOLVED BY T14E CITY COUNCIL OF THE CITY OF BAYTOWN,TEXAS:
Section 1:That the City Council of the City of Baytown,Texas_hereby grants the petition
of Rhodia,Inc..concerning the disannexation of a portion of their property that is in the city limits
and surrounded by Industrial District No.I.Harris County,Texas.Said petition is attached hereto as
Exhibit"A,"and incorporated herein for all intents and purposes.
Section 2:This resolution shall take effect immediately from and fter its passage by the
City Council of the City of Baytown.

PETITION REQUESTING DISANNEXATION

COUNTY OF HARRIS§
COMES NOW,Rhodia Inc.("Rhodia")owner of the real property described in Exhibit"A,"
which is attached hereto and incorporated herein for all intents and purposes,and requests that such
property be disannexed by the City of Baytown,Texas.
Rhodia acknowledges that Rhodia has not paid ad valorem taxes to the City of Baytown on the
property subject to this disannexation petition and/or the City of Baytown has already refunded all taxes
and fees collected concerning the property subject to this disannexation petition pursuant to its past
Industrial District Agreements with the City of Baytown.As such,Rhodia hereby covenants and agrees
that it is not entitled to any refund pursuant to Section 43.148 of the Texas Local Government Code and
will make no claim for the same for tax years through 2010.Rhodia intends for this assertion and waiver
to be binding upon Ithodia and to be relied upon by the City of Baytown in considering the grant of this
petition.
All references herein to Rhodia shall include and be binding upon their respective successors and
assigns.

THE ANNEXED PORTION OF STAUFFER CHEMICAL COMPANY IS LOCATED WITHIN
THE TRACT.DESCRIBED AS FOLLOWS:
BEGINNING at a point on the existing City limit line
of the City of Baytown,said point being morefully des-
cribed as being the intersection of the center line
of San Jacinto Avenue in the Humble Oil&Refining Com-
pany property and the South right-of-way line of the
Wooster'-Cedar Bayou Road;
THENCE,South 860 13 minutes West a distance of 61.87
feet along the South right-of-way line of the Wooster-
Cedar Bayou Road to a point,said point being the inter-
section of the East property line of the Consolidated
Chemical property and the South right--of-way line of
the Wooster-Cedar Bayou Itoad;
THENCE,South 329 18 minutes West along the East property
line of the Consolidated•Chemical property,fifty feet
from and parallel to the center line of San Jacinto Avenue,
a distance of 703.52 feet to a point for corners
THENCE,North 570 42 minutes West along the Southwesterly
property line of the Consolidated Chemical property a dis-
tance of 101.89 feet to a point for corner;
THENCE,North 320 18 minutes East a distance;of 629.26
feet to a point on the South right-of-way line of the
Wooster-Cedar Bayou Road,and continuing-on the same course
a distance of 12.37 feet to a point for corner,said point
being ten feet perpendicularly from the South right-of-way
