A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF BAYTOWN,
TEXAS, GRANTING CONSENT TO THE ANNEXATION OF LAND,
CONSISTING OF APPROXIMATELY 58.71 ACRES INTO HARRIS
COUNTY MUNICIPAL UTILITY DISTRICT NO. 473; AND PROVIDING
FOR THE EFFECTIVE DATE THEREOF.

WHEREAS, the City of Baytown, Texas, hereinafter referred to as the "City," has
received petitions, which are attached hereto as Exhibits "A" and "B" and incorporated herein for
all intents and purposes, for its written consent to the annexation of land, containing 58.71 acres,
more or less, referred to as the "Tract," into Harris County Municipal Utility District No. 473
hereinafter within the corporate limits of the City and located in Harris County, Texas, and more
particularly described in Section 1 hereof, and
WHEREAS, the Tract's landowner and developer, who have petitioned the City Council's
consent, have assured the City that they are willing to accept such consent based upon the terms
and conditions as hereinafter stated, and that they, in consideration of the City granting its
consent for the annexation of the Tract into the District, have agreed, and by the acceptance of
the benefits of this resolution, do hereby agree to comply with the terms and conditions
contained herein; NOW THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN,
TEXAS:
Section 1: That the City Council hereby finds that the annexation of the Tract into the
District:
a. will be an economically feasible and sound development benefiting the City;
b. will not adversely affect the existing City water, sewer and storm facilities or
other City utilities or City functions; and
C. will not increase the City's taxes or utility rates or adversely impact the City's
financing or bond rating.
Further, the City Council finds that all of the conditions imposed herein and by Article VII of
Chapter 98 of the Code of Ordinances, Baytown, Texas, have been agreed to by the developer
and landowner of the territory within the District.
Section 2: That upon the terms and conditions specified in (i) Article VII of Chapter
98 of the Code of Ordinances, Baytown, Texas, which is incorporated herein by this reference
for all intents and purposes; and (ii) this resolution, the City hereby grants its consent to the
annexation of the Tract into the District pursuant to the provisions of Section 54.016 of the
Texas Water Code. The land embraced within the limits of the District is more particularly
described in Exhibit "A," which is attached hereto and made a part hereof for all intents and
purposes.
Section 3: This resolution shall take effect immediately from and after its passage by the
City Council of the City of Baytown.
INTRODUCED, READ and PASSED by the affirmative vote of the City Council of the

NEW SJOLANDER LLC, a Texas limited liability company (the "Petitioner'),
acting pursuant to the provisions of Chapter 49, Texas Water Code, particularly Section
49.301, petitions this Honorable Board to add the 58.708 acres of land described by
metes and bounds in Exhibit A (the "Land"), attached hereto and incorporated herein
for all purposes, to Harris County Municipal Utility District No. 473 (the "District"),
and in support of this petition the Petitioner represents, covenants, and agrees as
follows:
Section 1: The Land lies entirely within Harris County, Texas, and is
accurately described by metes and bounds in Exhibit A.
Section 2: The Petitioner holds fee simple title to and full ownership of all the
Land, as indicated by the certificate of ownership provided by the Harris County
Appraisal District.
Section 3: All of the Land is within the corporate limits of the City of
Baytown, Texas.
Section 4: The addition of the Land to the District is feasible and practical and
will be to the advantage of and a benefit to the District and the water supply, sanitary
sewer, and drainage systems and other improvements of the District are sufficient or
will be sufficient to supply the added Land without injuring the land already within the
District.
Section 5: The Petitioner acknowledges, consents to, and affirmatively
requests the assumption by the Land, and all improvements thereon presently existing
or to be constructed hereafter, of a pro rata share of all present and future obligations of
the District, and of the taxes levied or hereafter to be levied by the District. Without
Limiting the generality of the foregoing, the Petitioner hereby agrees that the Land, and
all improvements thereon presently existing or to be constructed hereafter, hereby
assumes its share of liability for the payment of any and all bonds or other obligations
of the District, (i) that are currently outstanding or hereafter issued; and (ii) that are
currently or hereafter voted but unissued. This petition shall further be considered as

consent and authorization of the Petitioner, its successors and assigns, for all the Land
and all improvements now existing or to be constructed thereon, to be taxed uniformly
and equally on an ad valorem basis with all other taxable property within the District
for: (1) the payment of principal of and interest on any and all of the District's
outstanding unlimited tax bonds and unlimited tax refunding bonds; (2) the payment of
principal of and interest on any and all of the District's unissued bonds that have been
or may hereafter be authorized by the voters; (3) a maintenance tax not to exceed the
amount per $100 of assessed valuation that has been heretofore authorized by the voters
or as may hereafter be authorized by the voters; and (4) all other purposes for which the
District may lawfully levy taxes.
Section 6: The Petitioner hereby certifies that there are no qualified voters
residing on the Land.
Section 7: The Petitioner hereby certifies that there are no holders of liens on
the Land, other than First Financial Bank, N.A..
Section S: RATCLIFF DEVELOPMENT, LLC, a Louisiana limited liability
company, has entered into an earnest money contract to purchase the Land and desires
to be considered a Petitioner for addition of the Land to the District.
WHEREFORE, the Petitioner prays that this Petition be granted; that the Land be
added to and become a part of the District; and that this Petition, if granted, be filed for
record and be recorded in the Official Records of Harris (-ounty, lexas, and tiled with
the Texas Commission on Environmental Quality.

32.85 acres for a distance of 1647.05 feet to a 1 inch iron rod found for the Southwest corner of this
tract and the Southeast corner of said 8.00 acres. Said point has a State Plane Coordinate Value of

THENCE: North 11°54'54" West along the West line of this tract and the East line of said 8.00 acres for a
distance of 1588.49 feet to the PLACE OF BEGINNING and containing within these boundaries 58.708

TO THE HONORABLE MAYOR AND CITY COUNCIL OF THE CITY OF BAYTOWN,
TEXAS:
The undersigned, HARRIS COUNTY MUNICIPAL UTILITY DISTRICT NO.473
(the "District"), and NEW SJOLANDER LLC, a Texas limited liability company (the
"Petitioner"), acting pursuant to the provisions of Chapter 49, Texas Water Code,
particularly Section 49.301 of that Code, together with all amendments and additions
thereto, respectfully petition the City Council of the City of Baytown, Texas (the "City"),
for its written consent to the annexation by the District of the 58.708-acre tract of land
described by metes and bounds in Exhibit A (the "Land"), which is attached hereto and
incorporated herein for all purposes. In support of this petition, the undersigned would
show the following:
I.
The District is a municipal utility district duly created under the laws of the State
of Texas on March 1, 2006. The District was created and organized under the terms and
provisions of Article XVI, Section 59, of the Constitution of Texas, and is governed by the
provisions of Chapters 49 and 54, Texas Water Code.
II.
The Petitioner holds fee simple title to the Land, as indicated by the certificate of
ownership provided by the Harris County Appraisal District.
The Petitioner represents that there are no lienholders on the Land except First
Financial Bank, N.A.
IV.
The Land is situated wholly within Harris County, Texas. No part of the Land is
within the limits of any incorporated city, town or village except the City, and no part of
the Land is within the extraterritorial jurisdiction (as such term is defined in Local
Government Code Section 42.001 et seq., as amended) of any city, town or village. All of
the Land may properly be annexed into the District.

The general nature of the work to be done within the Land is the construction,
acquisition, maintenance and operation of a waterworks and sanitary sewer system, and
a drainage and storm sewer system and road facilities.
VI.
There is, for the following reasons, a necessity for the above -described work. The
Land, which will be developed for commercial and/or residential purposes, is urban in
nature, is within the growing environs of the City, is in close proximity to populous and
developed sections of Harris County, and within the immediate future will experience a
substantial and sustained residential and commercial growth. There is not now available
within the Land an adequate waterworks and sanitary sewer system nor an adequate
drainage system, nor road facilities, and it is not presently economically feasible for the
Land to provide for such systems and facilities itself. Because the health and welfare of
the present and future inhabitants of the Land and of lands adjacent thereto require the
construction, acquisition, maintenance and operation of an adequate waterworks and
sanitary sewer system and a drainage and storm sewer system and road facilities, a public
necessity exists for the annexation of the Land into the District to provide for the
purchase, construction, extension, improvement, maintenance and operation of such
waterworks and sanitary sewer system and such drainage and storm sewer system and
such road facilities so as to promote the purity and sanitary condition of the State's waters
and the public health and welfare of the community.
The undersigned estimate, from such information as they have at this time, that
the cost of extending the District's facilities to serve the Land is $3,230,000.
ViII.
RATCLIFF DEVELOPMENT, LLC, a Louisiana limited liability company, has
entered into an earnest money contract to purchase the Land and desires to be considered
a Petitioner for addition of the Land to the District.

The Petitioner and the District agree and hereby covenant that if the requested
consent to the annexation of the Land to the District is given, the Petitioner and the
District will adopt and abide by the conditions set forth in City of Baytown Code of
Ordinances, as applicable.
