AN ORDINANCE OF THE CITY COUNCIL OF THE ClTY OF BAYTOWN.
TEXAS. AUTHORIZING THE LAW FIRM OF CHAMBERLAIN.
HRDLICKA. WHITE. WILLIAMS & MARTIN, P.C., TO SEEK
REIMBURSEMENT FOR CERTAIN COSTS EXPENDED BY THE CITY
CONCERNING THE DESIGN AND CONSTRUCTION OF THE BAYTOWN
EMERGENCY OPERATIONS CENTER AND POLICE ACADEMY:
DIRECTING THE LAW FIRM TO FILE A LAWSUIT IN THE EVENT
APPROPRIATE REIMBURSEMENT IS NOT TIMELY MADE;
AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE
AN ENGAGEMENT LETTER WITH CHAMBERLAIN. HRDLICKA, WHITE.
WILLIAMS & MARTIN, P.C.. FOR THE ADDITIONAL LEGAL SERVICES:
MAKING OTI IER PROVISIONS RELATED THEETO AND PROVIDING
FOR THE EFFECTIVE DATE HEREOF.
BE IT ORDAINED BY THE CITY COUNCIL OF THE ClTY OF BAYTOWN.
TEXAS:
Section 1: That the City Council of the City of Baytown. Texas, hereby authorizes
the law firm of Chamberlain. Hrdlicka. White. Williams & Martin, P.C.. to seek reimbursement
for certain costs expended by the City concerning the design and construction of the Baytown
Emergency Operations Center and Police Academy.
Section 2: That subject to Section 3 hereof. the City Council of the City of Baytown.
Texas. hereby directs the law firm of Chamberlain. Hrdlicka. White, Williams & Martin. P.C., to
tile a lawsilit in the event appropriate reililbursemerit is not timely made.
Section 3: That the City Council of thc City of Baytown. Texas, hcrcby authorizes
City Manager. in consultation with the City Attorney and Chamberlain, I-Irdlicka, White.
Williams & Martin, P.C., to deterniine for purposes of filing suit whether tlie appropriate
reiniburse~nent has been timely made.
Section 4: Tliat the City Council of the City of Baytown, Texas, hereby authorizes
the City Manager to negotiate and execute an engagement letter with Chamberlain. Hrdlicka,
White, Williams & Martin, P.C.. for legal services specified in Sections 1 and 2 hereinabove
under terms and conditions deemed acceptablc to the City Managcr and tlie City Attorney.
Scction 5: That the City Council of tlie City of Baytown, Texas, authorizes payment
to Chamberlain. Hrdlicka, White, Williams & Martin, P.C., in an additional aniount not to
exceed FIFTY THOUSAh'D AND NO1100 DOLLARS ($50,000.00), pursuant to tlie
engagement letter identified in Section 4 hercof.
Scction 6: Tliat the City Managcr is hereby granted general a~~thority to approve any
change order involving a decrease or an increase in costs of TWENTY-FIVE THOUSAND
AND NO1100 DOLLARS ($25.000.00) or less: however, the original contract price may not be
increased by more than twenty-five percent (25%) or decreased by more than twenty-fivc percent
(25%) without tlie consent of the law firm to such decrease.
Section 7: This ordinance shall take effect immediately from and afier its passage by
the City Council of the City of Baytown.
