BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS:
Section 1: That the City Council of the City of Baytown, Texas, hereby authorizes the
City Manager to execute and the City Clerk to attest to a joint election agreement with Harris
County for the special election to be held on the 7`h day of November_ 2006_ A copy of said
agreement is attached hereto, marked Exhibit "A" and made a part hereof for all intents and
purposes.
Section 2: This ordinance shall take effect immediately from and after its passage by the
City COLInCil of the City of Baytown.

AND POSSIBLE SUBSEQUENT RUN -OFF ELECTION
THE STATE OF TEXAS
COUNTY OF HARRIS
THIS AGREEMENT is made and entered into by and between the City of Baytown, a
body corporate and politic under the laws of the State of Texas (hereinafter referred to as the
"Entity "), and Harris County, a body corporate and politic under the laws of the State of Texas
(hereinafter the "County").
RECITALS:
The Entity contemplates holding an election on November 7, 2006, and a potential
subsequent nun -off election.
The boundary lines of most or all of the voting precincts of the County that lie within the
limits of the Entity have boundary lines identical to the boundary lines of the voting precincts of
the Entity. Most or all of the voting places in the voting precincts of the County that lie within
the limits of the Entity are identical to the voting places in the voting precincts of the Entity.
The County owns an eSlate voting system that has been duly approved by the Secretary
of State pursuant to Tex. Elec. Code Ann. § §122.031- 122.039, § 122.061, §122.091, as amended,
and duly approved by the United States Justice Department for use in Harris County pursuant to
Voting Rights Act of 1965, (hereinafter "Voting System ").
The Entity desires to use the County's Voting System in its election and agrees to
compensate the County for such use and to share in certain other expenses connected with such
election in accordance with the applicable provisions of Chapters 31 and 271 of the Texas
Election Code, as amended. The County desires to provide certain election services to the Entity
for its election to be held on November 7, 2006, and any potential subsequent run -off elections.
On March 2, 2004 the County entered into a Memorandum of Understanding with the
United States of America to implement a model Vietnamese - language program for compliance
with Section 203 of the Voting Rights Act (hereinafter referred to as "MOU "). According to the
terms of the MOU, whenever the County enters into an election services contract with any other
entity, political subdivision, or political party to conduct an election on behalf of that entity, the
County shall require such other entity to agree to abide by the terms of the MOU as if such entity
were a party to the MOU in a way that is consistent with the responsibility of each such entity to
comply fully with Section 203.
TER-NIS:
In consideration of the mutual covenants, agreements and benefits to the parties, IT IS
AGREED as follows:
EWIT A
ow
I.
The fair and reasonable compensation for use of the County's Voting System, equipment,
supplies, and staff and for other services provided for administration of the election is detailed in
the itemized list of estimated election expenses under Exhibit A. attached hereto and by
reference made a part hereof. The Entity agrees to pay its pro rata share of costs to the County
for the Voting System, equipment, furniture, telephones, election kits, Early Voting Ballot by
Mail, printing, supplies, delivery and transportation services, personnel, polling places, and
administrative costs for the November 7. 2006 Joint Elections (hereinafter referred to as the
"11/7 Election ") held by the County and the Entity and any subsequent run -off elections
(hereinafter the "Runoffs ") and to share the cost of the 11/7 Election and Runoffs in accordance
with the terms of this Agreement.
The determination of the Entity's pro rata share of the costs incurred by the County for
the Voting System equipment, furniture, telephones, supplies, delivery and transportation
services, personnel, and polling locations, and personnel necessary for the purposes
contemplated by this paragraph shall be made by the County and its decision shall be final. The
County agrees to provide polling locations, Voting System equipment, tables, chairs, telephones
and other equipment it deems necessary or desirable for the holding of the 11/7 Election and/or
Runoffs and cause same to be delivered to the polling places. The County agrees to provide the
Voting System to all polling places at least one (1) hour before the time set for the opening of the
polls.
H.
The Entity agrees to furnish the County with a list of race titles and proposition titles and
proposition language, if any, for the 11/7 Election by 5 p.m. on August 30, 2006. If the Entity
does not furnish the County this information by 5 p.m. on August 30, 2006, the Entity shall pay
for the additional costs incurred by the County, in an amount not to exceed $500.00.
The Entity agrees to provide the County with a list of candidates' names and ballot
positions for the 11/7 Election by 9:00 a.m. on September 5, 2006.
Within one (1) business day of receipt thereof, the Entity agrees to proofread and approve
its ballot. The County will assess the Entity the actual cost for revising and/or reprinting ballots
required because of changes made by the Entity to its ballot during proofreading, other than the
correction of simple scrivener's errors. To insure the security of the ballot, the Entity hereby
acknowledges and agrees that it cannot make revisions to its ballot other than during the
aforesaid proofreading period. The failure of the Entity to timely provide its ballot language to
the County and/or comply with the proofreading process outlined herein may be deemed by the
County to be a cancellation of this Agreement and in that event, the Entity will be assessed costs
as provided in Section VIII of this Agreement, below.
Further, the Entity shall verify its current jurisdictional boundaries (including any and all
separate districts) and the total number of Harris County precincts required by those
jurisdictional boundaries no later than August 25, 2006. If the Entity fails to provide the County
with this information by this stated deadline, then the County is hereby authorized to adopt the
current jurisdictional boundaries and total number of Harris County precincts for the Entity that
are provided to the County by the Harris County Voter Registrar's Office, and the Entity hereby
agrees to the County's use of that information to fulfill the requirements of this paragraph.
r` The Entity agrees to provide the County with the date of its Runoffs by 5:00 pan. on
October 6, 2006. Failure by the Entity to provide the County with its Runoffs date by October- 6.

APIk 2006 will be deemed a cancellation of this Agreement by the Entity, and the County will assess
the Entity the costs as outlined in Section VIII of this Agreement, below.
The County will provide the Entity with all dates and times for early voting no later than
the 21s` day before Election Day.
The Entity agrees to prepare, post and publish any and all notices required of the Entity
by state law for the 11/7 Election, as well as for any possible Runoffs.
Waiver of any penalty fees imposed upon the Entity under this Agreement is at the
discretion of the County.
III.
The County agrees to secure and arrange for the delivery of the Voting System equipment
and other equipment and supplies for use in early voting by personal appearance in the 11/7
Election. The County agrees to provide polling locations for use during early voting. The
County is authorized to employ or use such personnel, as it deems necessary or desirable, to
prepare for and conduct early voting by personal appearance.
The County agrees to provide all equipment and supplies for use in early voting by mail
in the 11/7 Election. The County is authorized to employ or use such personnel, as it deems
necessary or desirable, to prepare and conduct early voting by mail. The County will be the
appointing authority for the Early Ballot Board.
Further, the County agrees to provide all the voting places, Voting System equipment,
tables, chairs, telephones, and other equipment as it deems necessary or desirable for the holding
of the 11/7 Election and cause same to be delivered to the polling places. The County agrees to
provide the Voting System to all polling places at least one (1) hour before the time set for
opening the polls. The County shall determine the amount of voting equipment available for the
11/7 Election and/or Runoffs and its decision shall be final.
The County is authorized to employ or use such personnel as it deems necessary to
program and operate the automatic tabulating equipment in accordance with Tex. Elec. Code
Ann. § §124.066, 127.001 -1 27.006, and 127.121 - 127.122, as amended.
The County agrees to pay the presiding judges of the County and their clerks, pursuant to
Tex. Elec. Code Ann. § §32.091- 32.093 and 271.013, as amended, for their services in
connection with the 11/7 Election and/or Runoffs, at the expense of the Entity. The County
agrees to pay the presiding judge and clerks of the Early Voting Ballot Board to process early
voting results pursuant to Tex. Elec. Code Ann. § §87.001- 87.025, 87.101, and 87.103, as
amended.
The County agrees to perform its obligations under this Agreement in accordance with all
applicable federal and state laws, rules and regulations in any manner that allows for the
County's performance of all obligations required by this Agreement.
IV.
The fair and reasonable value of the general overall supervision and advisory services of
the County in connection with decisions to be made and actions to be taken by officers of the
AP" Entity is ten percent (10 %) of the total amount of the Agreement for the Entity, in accordance
with the applicable provisions of Chapters 31 and 271 of the Texas Election Code, as amended.
The Entity agrees to pay the County this ten percent (10 %) fee for advisory services for its 11/7
401, Election. It is understood that the fees paid for these advisory services shall be deposited in a
separate fund in the County treasury. in accordance with Tex. Elec. Code Ann. §31.100, as
amended.

As previously agreed in Section I above, the Entity agrees to pay the County its pro rata
portion of the expenses to be incurred by the County for the 11/7 Election, plus any other costs
incurred by the Entity under this Agreement. The Entity's pro rata share will be computed by
attributing the total number of registered voters in each of the Entity's precincts that will be
serviced by the County in the 11/7 Election. The Voter Registry of the Entity, as of seventy (70)
days before the 11/7 Election, will be used to determine the total number of registered voters in
each of the Entity's precincts.
VI.
The County will charge, and the Entity agrees to pay, a minimum cost of 5900 for the
11/7 Election. At this time, it is estimated that the Entity's total cost will be $25,361.44. The
Entity agrees to deliver sixty percent (60 %) of this total estimated cost for its 11/7 Election to the
County within ten (10) days of the execution of this Agreement. The County agrees to furnish a
final accounting of the 11/7 Election expenses actually incurred within ninety (90) days after the
11/7 Election. The Entity agrees to pay the County's invoice for the balance of its 11/7 Election
expenses within thirty (30) days of receipt of the invoice. Payments, in the name of Harris
County, must be submitted to Beverly Kaufman, Harris County Clerk, Attn: Elections Division,
P.O. Box 1525, Houston, TX 77251 -1525. Copies of all related invoices, records or
documentation used in calculating the total cost of the elections will be made available as soon as
practicable by the County upon written request to the County at the address above. Within ten
(10) days of execution of this Agreement, the County will provide the Entity with a Personal
Entity I.D. ( "PEID ") number assigned by the County Auditor. Each payment by the Entity to the
County shall reference and include this PEID number.
VII.
The County shall provide space on the ballot sufficient to encompass all candidate races
and issues of the Entity. It is understood that to the extent space is available on the ballot labels,
other political subdivisions may wish to participate in the use of the above - mentioned election
equipment and voting places, and it is agreed that the County may contract with other political
subdivisions for such purposes, and that in such event there will be no reduction or adjustment of
the pro rata share to be paid to the County by the Entity. It is understood and agreed by the
Entity that any increased costs associated with the addition of another political subdivision will
be borne by all participating political subdivisions based on the formula for determining pro rata
share set forth in Section V, above.
VIII.
In the event the Entity's 11/7 Election is enjoined or canceled, or if for any reason
whatsoever the Entity shall decide not to proceed with its 11/7 Election, the Entity agrees that it
shall be responsible for its share of any costs and expenses incurred by the County up to the
cancellation date.

IX.
In the event the Entity's Runoffs are enjoined or canceled, or if for any reason
whatsoever the Entity shall decide not to proceed with its Runoffs or if the date(s) of the Entity's
Runoffs are postponed or otherwise changed, the Entity shall be obligated to the County for its
share of any costs and expenses incurred by the County for the Runoffs up to the cancellation
date.
X.
Unless otherwise expressly provided herein, the Entity agrees to do all things that may be
required of it in connection with the 11/7 Election. The Entity and County are responsible for
the preparation of election orders, resolutions, notices and other pertinent documents for
adoption or execution by the appropriate officer of the Entity and County with regard to the 11/7
Election and/or Runoffs, and neither the County nor the Entity shall have any responsibility or
duty in connection with such preparations by the other party hereto. The Entity and County are
responsible for making their own submission, if any is required or desired, to the United States
Justice Department pursuant to the Voting Rights Act of 1965, as amended, and neither the
County nor the Entity shall have any responsibility or duty in connection with such submission
relating to the 11/7 Election and/or Runoffs to be held by the other party hereto. Furthermore,
neither the Entity nor the County hereto shall have any authority or control over the presiding
judges and/or clerks in connection with, or in any manner relating to, things and acts done, or to
be done, by the presiding judges and/or clerks as the presiding judges and /or clerks of any
election held at the expense of the other party.
XI.
The Entity agrees to abide by the terms of the MOU, attached hereto as Exhibit B and by
reference made a part hereof, as if it was a party to the MOU. If the Entity is an independent
school district, to the extent allowed by law, the Entity agrees to implement a program that
allows and encourages selected bilingual students to serve as poll officials for the 11/7 Election,
in accordance with the terms of the MOU. The Entity acknowledges that the County must notify
the U.S. Department of Justice sixty (60) days prior to the 11/7 Election that the Entity agrees to
cooperate with the terms of this Agreement, and the County must also notify the U.S.
Department of Justice if the Entity does not agree to the terms of the MOU.
If and where it is able, the County will assume the lead responsibility in providing
Vietnamese - speaking poll workers in areas of high- concentration of Vietnamese voters.

XIII.
This instrument contains the entire agreement between the parties for the joint use of
voting equipment and the sharing of election expenses in connection with the 11/7 Election
and/or the Runoffs. Any oral or written representations or modifications concerning this
instrument shall be of no force and effect excepting a subsequent modification in writing signed
by the parties.
XIV.
If any provision of this Agreement is construed to be illegal or invalid, this will not affect
the legality or validity of any of the other provisions hereof. The illegal or invalid provisions
will be deemed stricken and deleted here from to the same extent and effect as if never
incorporated herein.
XV.
This Agreement will be executed in several counterparts, each of which shall be an
original and all of which shall constitute but one instrument.
