2019 10 15 FCPEMSD MinutesMINUTES OF THE REGULAR MEETING OF THE BOARD OF DIRECTORS OF THE BAYTOWN FIRE CONTROL, PREVENTION, AND EMERGENCY MEDICAL SERVICES DISTRICT October 15, 2019 The Board of Directors of the Baytown Fire Control, Prevention, and Emergency Medical Services District (FCPEMSD) met in a Regular Meeting on Tuesday, October 15, 2019, at 4:30 P.M., in the Baytown Conference Room of the Baytown City Hall, 2401 Market Street, Baytown, Texas with the following in attendance: John Adkins Vice President Gerald Baldwin Director Richard Carr Director Maurice Watts Director Barry L. Hawkins Director Rick Davis General Manager Ignacio Ramirez, Sr. General Counsel Alisha Segovia Deputy Secretary Vice President John Adkins convened the October 15, 2019 FCPEMSD Board Regular Meeting with a quorum present at 4:30 P.M., all members were present with the exception of President Brenda Bradley Smith who was absent. 1. MINUTES a. Consider approving the minutes of the Baytown Fire Control, Prevention, and Emergency Medical Services District Regular Meeting held on April 16, 2019. A motion was made by Director Barry L. Hawkins, and seconded by Director Richard Carr to approve the minutes of the Baytown Fire Control, Prevention, and Emergency Medical Services District Regular Meeting held on April 16, 2019. The vote was as follows: Ayes: Vice President John Adkins, Director Gerald Baldwin, Director Barry L. Hawkins, and seconded by Director Maurice Watts to approve the minutes of the Baytown Fire Control, Prevention, and Emergency Medical Services District Regular Meeting held on June 18, 2019. Consider approving the minutes of the Baytown Fire Control, Prevention, and Emergency Medical Services District Regular Meeting held on July 16, 2019. A motion was made by Director Barry L. Consider a resolution approving the Baytown Fire Control, Prevention, and Emergency Medical Services District's Investment Policy and Strategy Statement in accordance with the Public Funds Investment Act to add a new brokerage firm and to update the policy based upon recent legislative changes. Finance Director Wade Nickerson presented the agenda item 2.a. and stated that Resolution No. 66 approves the changes to the investment policy which include updating the policy based upon recent legislative changes, extending the time for investments from 270 days to one year, and adding RBC Capital Markets, LLC as a new brokerage firm. Hawkins, Director Maurice Watts, Director Richard Carr Nays: None Other: President Brenda Bradley Smith (Absent) Approved RESOLUTION NO. 66 A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN FIRE CONTROL, PREVENTION, AND EMERGENCY MEDICAL SERVICES DISTRICT ADOPTING THE BAYTOWN FIRE CONTROL, PREVENTION, AND EMERGENCY MEDICAL SERVICES DISTRICT'S INVESTMENT POLICY AND STRATEGY STATEMENT; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. 3. BUSINESS ITEMS a. Consider setting the dates, times and location for the Baytown Fire Control, Prevention, and Emergency Medical Services District meetings for 2020. Deputy Secretary Alisha Segovia presented agenda item 3.a. and stated that the 2020 regular meetings for FCPEMSD will take place on the third Tuesday of the first month of the quarter, at 4:30 P.M., in the Baytown Conference Room, City Hall, 2401 Market Street, Baytown, Texas. She noted that although the following dates provided below are scheduled quarterly, the meeting in June is included in order to receive the FCPEMSD budget: January 21, 2020, April 21, 2020, June 16, 2020, July 21, 2020, and October 20, 2020. A motion was made by Director Maurice Watts, and seconded by Director Barry L. Hawkins approving the FCPEMSD 2020 regular meetings to take place on the third Tuesday of the first month of the quarter, at 4:30 P.M. in the Baytown Conference Room, City Hall, 2401 Market Street, Baytown, Texas. Consider the election of the President and Vice President and the appointment of the Secretary. Deputy Secretary Alisha Segovia presented agenda item 3.b. and stated that this item is to consider the election of officers for President, Vice President, and the appointment of Secretary. She stated that the newly elected officials, and appointee, will serve a one (1) year term which will begin immediately and end on August 31, 2020. Furthermore, she stated that the current officers were as follows: Brenda Bradley Smith, President; John Adkins, Vice President; and the City Clerk, Secretary. A motion was made by Director Maurice Watts, and seconded by Director Gerald Baldwin approving for the current officers to remain the same for another term as follows: Brenda Bradley Smith, President; John Adkins, Vice President; and the City Clerk as Secretary. Receive the Baytown Fire Control, Prevention, and Emergency Medical Services District's Quarterly Financial and Investment Reports for the Quarter Ending September 30, 2019. Finance Director Wade Nickerson presented the Baytown Fire Control, Prevention, and Emergency Medical Services District's Financial Report for Fiscal Year 2018-19 year end and stated that the reports are preliminary as the audit has not been completed yet and that he does not expect the numbers to change, they might change slightly pending the results of the audit. Revenues came in at 101.840/o of budget which is right where Staff expected them to be. Year over year comparison shows Revenues a little lower than last year due to the Hurricane Harvey effect and etc.; however, it still came in as expected from budget to actuals. Expenditures are at 71 % of budget and noted several items of overages and underage: Services line item in the amount of $30,200 was not needed for the election so it will carry over to next fiscal year budget. Capital is slightly under budget which includes fire props which have been encumbered for but not yet purchased for the new facility and Capital funds that have been spent are the purchase of an ambulance and a partial payment in the amount of approximately $37,000 for the new boat. FCPEMSD Board Regular Meeting Minutes October 15, 2019 Page 5 of 5 As it relates to the Investment Report Mr. Nickerson stated that at the end of the quarter there was $965.000 in the bank being invested at a rate of 2.24%, with a combined total earnings of $5,512 for the last quarter. b. Present an update regarding the Baytown Fire Training Field. Assistant Chief Aaron Smith presented the Board with an update of the Baytown Fire Training Field and noted that they are currently heavy into construction and thus far they haven't had any major hang-ups with the project. Assistant Chief Smith further stated that there have been a few issues with the fire pros in the burn building but that Staff is working with the vendor to resolve the issues, as they are still under warranty. 5. MANAGER'S REPORT a. The next Baytown Fire Control, Prevention, and Emergency Medical Services District meeting is scheduled for Tuesday, January 21, 2020, at 4:30 P.M. in the Baytown Conference Room located at City Hall, 2401 Market Street, Baytown, Texas. General Manager Rick Davis introduced the new City's new Assistant City Manager, Mr. Nick Woolery. 6. ADJOURN A motion was made by Director Maurice Watts, and seconded by Director Richard Carr to adjourn the October 15, 2019, FCPEMSD Board Regular Meeting.
