Ordinance No. 8,720991014 -6 ORDINANCE NO. 8720 ® AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS, AUTHORIZING THE CITY MANAGER TO EXECUTE AND THE CITY CLERK TO ATTEST TO THE SECOND AMENDMENT AND EXTENSION - TO LEASE- WITH I -10 REALTY L.P.; AND - PROVIDING FOR THE EFFECTIVE DATE THEREOF. BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS: Section 1: That the City Council of the City of Baytown, Texas, hereby authorizes and directs the City Manager and the City Clerk of the City of Baytown to execute and attest to the Second Amendment and Extension to Lease with I -10 Realty L.P. A copy of said amendment and extension is attached hereto, marked Exhibit "A," and made a part hereof for all intents and purposes. Section 2: This ordinance shall take effect immediately from and after its passage by the City Council of the City of Baytown. HALL, C_ ity Clerk APPROVED AS TO FORM: NACIO RAMIRELAR., City Attorney c: M200 \Counci I\ Ordinances\ I - I ORealty2ndAmendment &Extension2Lease.Ordinance SECOND AMENDMENT AND EXTENSION TO LEASE ® STATE OF TEXAS COUNTY OF HARRIS WHEREAS, on or about October 14, 1991, 1 -10 Really L.P. as landlord ( "Landlord") and the City of Baytown as tenant ( "Tenant ") entered into a lease agreement ( "Lease ") for Suite 260 ( "Leased Premises ") located at 11821 1 -10 East, Houston, Harris County, Texas ( "Project "); WHEREAS, on or about September 16, 1996, Landlord and Tenant entered into a Modification and Ratification of Lease Agreement ("First Amendment "); WHEREAS, Landlord and Tenant desire to enter into this Second Amendment to Lease to amend the terms of the Lease as to certain provisions enumerated herein; and NOW, THEREFORE, for good and valuable consideration the receipt and sufficiency of which arc hereby acknowledged, Landlord and Tenant agree as follows: The term of the Lease is hereby extended from November 1, 1999 through October 31, 2004, effective November 1, 1999. The Base Rent shall be $11.50 per square foot per year calculated on 13,183 square feet of rentable area for the entire terns of the five (5) years. On or before six (6) months prior to October 31, 2004, Tenant shall give written notice to Landlord of exercise of its option to extend the Lease from November 1, 2004 through October 31, 2009, at a Base Rent to be re- computed using the increase in the Consumer Price Index -All Urban Consumers (1982- 1984 =100), with October 1999 as the numerator and October 2004 as the denominator. 2. Other than the Landlord improvements as shown in attached Exhibit "A ", Tenant accepts the Leased Premises as is. Landlord shall, within sixty (60) days of commencement, carpet Tenant's space with a 26 oz. loop style carpel and paint the walls of the Leased Premises one color which carpet and paint shall be selected by Tenant from the Project's building standard within thirty (30) days of execution of this Second Amendment. All other Tenant improvements shown in Exhibit "A" (wall reconfiguration changes and screening of the atrium walkway) shall also be completed within sixty (60) days of commencement. All work by Landlord shall also be subject to permits by the City of Houston. 3. All capitalized terms used in the Second Amendment shall have the same meaning as in the Lease and First Amendment. In the event of any conflict or ambiguity between this Second Amendment and the Lease, this Second Amendment shall govern and supersede. This Article XXVIII of the First Amendment is deleted in its entirety. Other than the construction as described in Exhibit "A" Landlord has no other construction obligations to Tenant.
