ORDINANCE NO. 8478
AN ORDINANCE AUTHORIZING. AND .DIRECTING THE MAYOR TO
EXECUTE AND THE CITY CLERK TO ATTEST TO A PROFESSIONAL
SERVICES AGREEMENT WITH WILBUR SMITH ASSOCIATES, INC., FOR
THE PREPARATION OF THE BAYTOWN COMPREHENSIVE PLAN
UPDATE AND RELATED PLANNING SERVICES; AND PROVIDING FOR
THE EFFECTIVE DATE THEREOF.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN,
TEXAS:
Section l: That the City Council of the City of Baytown, Texas, hereby authorizes
and directs the Mayor and City Clerk of the City of Baytown to execute and attest to a
Professional Services Agreement with Wilbur Smith Associates, Inc., for the preparation of the
Baytown Comprehensive Plan Update and related planning services. A copy of said Agreement
is attached hereto, marked Exhibit "A," and made a part hereof for all intents and purposes.
Section 2: This ordinance shall take effect immediately from and after its passage by
the City Council of the City of Baytown.
INTRODUCED, READ and PASSED by the affirmative vote of the City Council of the

PROFESSIONAL SERVICES AGREEMENT
COMPREHENSIVE PLAN UPDATE
for
THE CITY OF BAYTOWN, TEXAS

This Agreement made this day of , 1999, by and between the City of
Baytown, Texas, acting by and through Bobby Rountree, City Manager, duly authorized by the City
of Baytown City Council, hereinafter referred to as the "CITY," and Wilbur Smith Associates, Inc.,
a Delaware Corporation authorized to do business in Texas, acting by and through its Regional
Vice President, Mr. Richard C. Mobley, II, ASLA, AICP, with offices located at 9800 Richmond
Avenue, Suite 400, Houston, Texas, hereinafter referred to as the "CONSULTANT," do hereby
make and enter into the following Agreement.
ARTICLE I
CONSULTANT .
1.1 The CONSULTANT, as an independent contractor, covenants and agrees to perform the
professional planning services related to the City of Baytown Comprehensive Plan Update
as described in Article II, Scope of Work. Such services shall be performed by the
CONSULTANT in accordance with. the terms of this Agreement and for the consideration
stated. The CONSULTANT covenants and agrees to perform the services in a professional
manner. The CONSULTANT shall complete the Scope of Work and shall submit reports
to the CITY as required.
1.2 The CONSULTANT shall provide its services under this Agreement with the same degree
of care, skill and diligence as is ordinarily provided by a professional planner under similar
circumstances for the preparation of the City of Baytown Comprehensive Plan Update and
to which the Agreement applies. CONSULTANT will further give professional consultations
and advice to the CITY during the performance of the services under this Agreement.
ARTICLE II
SCOPE OF WORK
2.1.1 The CONSULTANT will perform the professional planning services related to the
development of the City of Baytown Comprehensive Plan Update as set forth in Exhibit
"A ", Scope of Work, which is attached and made a part of this Agreement.
2.1.2 Pursuant to this Agreement, the CITY shall have the option to obtain the services of
CONSULTANT to perform Additional Services. Such Additional Services shall be
described in a written Amendment to this Agreement, as agreed mutually by the CITY and
CONSULTANT, including description of the additional work, associated compensation, and
time schedule as applicable. Matters which shall constitute Additional Services shall
include, but are not limited to the following: (1) Additional workshops and meetings other
than the number identified in the Scope of Work and Project Time Schedule; (2) Other work

tasks or study activities not identified in the Scope of Work; (3) Additional products, maps
or deliverables other than the number identified in the Scope of Work; (4) Review and
recommendations relating to other planning related matters other than those that are
included in the Scope of Work for the Comprehensive Plan Update; (5) Analyses and
provision of recommendations for development related issues or matters; or (6) Other
related or unrelated planning or engineering services that may be requested or required by
the City.
ARTICLE III
CONSULTANT PERSONNEL
3.1 The CONSULTANT represents that it has or will secure at its own expense, all personnel
required in performing the services under this Agreement. Such personnel shall not be
employees of or have any contractual relationship with the CITY.
3.2 The CONSULTANT may contract with Subconsultants for portions of the work or services
under this Agreement with the prior written approval of the CITY. Any work or services
subcontracted hereunder shall be specified by a written Agreement and shall be subject to
the provisions of this Agreement.
ARTICLE IV
SUPPORT SERVICES
4.1 The CITY agrees to provide the CONSULTANT with support services during conduct of the
services listed in Article II, Scope of Work. Support services will include the services
described in Exhibit "B ", Support Services to be Provided by the City, which is attached
and made a part of this Agreement.
4.2 To the extent authorized by law, the readily available existing data and documentation
obtained by the CITY that are relevant to the accomplishment of the Scope of Work
specified in Article II shall be made available by the CITY for use by the CONSULTANT.
4.3 The CITY shall consider and act on all documents and project work items submitted by the
CONSULTANT that require review, comments or, approval by the CITY within a reasonable
period of time so as to enable the CONSULTANT to complete the work on schedule as
provided in Article V of this Agreement.
4.4 The CITY agrees to provide the CONSULTANT with support services needed to organize,
schedule, notify, provide meeting locations, conduct meetings, and prepare minutes of
meetings for the Baytown Comprehensive Plan Update, including committees, workshops,
public meetings, and public hearings as described in Article II, Scope of Work. The
CONSULTANT will advise and coordinate with the CITY to accomplish these support
services.
ARTICLE V
TIME OF PERFORMANCE
5.1 The CONSULTANT shall commence services upon execution of this Agreement and receipt
40 of written Notice to Proceed from the CITY.

5.2 The CONSULTANT shall complete the services described in Article 11, Scope of Work within
twelve (12) months from receipt of written Authorization to Proceed by the CITY, unless
terminated, or unless the Scope of Work and Time of Performance are changed in
accordance with Article X, Changes or Termination.
5.3 The completion schedule set forth in Paragraph 5.2 may be subject to causes that result in
delay over which neither the CONSULTANT nor CITY has any control. Notification and
justification for any such delays identified by the CONSULTANT must be made in writing
and approved by the CITY. The schedule of work will be extended to include any such
delays pursuant to Article X, Changes or Termination.
5.4 Except for the indemnity provided for in Section 13.2 and the tail coverage required in 13.1,
this Agreement shall terminate upon the City's final acceptance of work completed by the
CONSULTANT, unless otherwise terminated or modified as hereinafter provided.
ARTICLE VI
COMPENSATION TO CONSULTANT
6.1 The CITY shall compensate the CONSULTANT for the professional services performed
under this Agreement. For the Basic Services described in Exhibit "A" Scope of Work under
Article II, Scope of Work, the CITY shall pay to the CONSULTANT in full payment for
services rendered, a sum not to exceed One Hundred Forty One Thousand Six Hundred
Thirty Six and No /100 Dollars ($141.636.00). The maximum amount is based upon the
project budget contained in Exhibit "C ", Project Budget, which is attached and made a
part of this Agreement. The maximum amount may be modified pursuant to Article X,
Changes or Termination, in the event of increased cost, change in the scope of work, time
of performance delays, or increase or decrease in the complexity or character of the work.
6.2 For Additional Services rendered under Article II, Section 2.2, the CITY shall compensate
the CONSULTANT in a manner similar to the Basic Services and in accordance the
maximum amount payable and other terms as specified in an Amendatory Agreement
providing for the Additional Services.
6.3 Payment shall be made only after receipt of a detailed statement showing the percentage
of project completion and the amount payable less any previous payment made by the CITY
and a monthly progress report letter containing a report of work completed and the
percentage completion by task and for the overall project. The progress report letter will
describe the Basic and /or Additional Services performed and work accomplished during the
report period, as well as any problems or delays encountered and actions taken or to
remedy them. Each statement shall be certified true and correct by an Officer of the
CONSULTANT. Each invoice is due and payable by the CITY within thirty (30) days
following the date of receipt by the CITY or within thirty (30) days of receipt of the service,
whichever is later. However, the CITY shall not be obligated to pay the full amount of an
invoice if there is a dispute in the bill tendered by the CONSULTANT to the CITY for
payment. In such cases, the CITY shall pay only the undisputed amount.
When approximately sixty (60) percent of the $141,636.00 Basic Services authorization has
40 been invoiced by the CONSULTANT, the CONSULTANT shall provide, with the monthly
progress report an assessment of the project to date, including recommend modifications

to the scope of work and /or the expected need for additional authorizations, if any. The
CONSULTANT will not exceed the maximum fee of $141,636.00 for Basic Services, unless
authorized in writing by the CITY.
6.4 The terms of this Agreement are contingent upon sufficient appropriations and authorization
being made by the CITY for the performance of this Agreement. If at any time during the
period of performance under this Agreement sufficient appropriations and authorization are
not made by the CITY, this Agreement shall terminate upon written notice being given by
the CITY to the CONSULTANT. The CITY's decision as to whether sufficient appropriations
are available shall be accepted by the CONSULTANT and shall be final.
ARTICLE VII
PRODUCT OF SERVICES, COPYRIGHT
7.1 The CONSULTANT and the CITY mutually agree that reports, maps and materials prepared
or developed under the terms of this Agreement, shall be delivered to and become the
property of the CITY. The CONSULTANT shall have the right to retain copies and to utilize
the product of services for marketing purposes, except for any confidential information, as
defined in Article XI, hereof.
7.2 The CONSULTANT shall furnish the CITY with the number of copies of reports as shown
in Article II, Scope of Work. !
7.3 Nothing produced in whole or in part by the CONSULTANT under this Agreement shall be
subject of an application for copyright by or for the CONSULTANT.
7.4 The CONSULTANT hereby grants and conveys an ownership interest to the CITY in all work
products relating to the services required to be performed in this Agreement without
additional compensation.
ARTICLE VIII
PRIVATE INTERESTS OF PUBLIC OFFICIALS AND CONSULTANT
8.1 No employee, agent, or member of the local public body of the CITY shall have any financial
interest, direct or indirect in this Agreement or the proceeds thereof, except as allowed in
Section 3.1 of this Agreement.
ARTICLE IX
CERTIFICATIONS OF CONSULTANT
9.1 The CONSULTANT has not employed or retained any company or person, other than a
bona fide employee working solely for the CONSULTANT, to solicit or secure this
Agreement, and that it has not paid or agreed to pay any company or person, other than a
bona fide employee working solely for the CONSULTANT, any fee, any commission,
percentage, brokerage fee, or any other consideration, contingent upon or resulting from
the award or making of this Agreement.
9.2 The CONSULTANT presently has no interest and shall not acquire any interest, direct or
indirect, which would conflict in any manner or degree with the performance of services
under this Agreement.

ARTICLE X
CHANGES OR TERMINATION
10.1 This Agreement may not be altered, changed or amended except by instrument in writing
executed by the parties hereto.
10.2 The CITY may, from time to time, request changes in the scope of work and time of
performance for the services of the CONSULTANT to be performed hereunder. Such
changes, including any increase or decrease in the amount of the CONSULTANT'S
compensation, which are mutually agreed upon by and between the CITY and the
CONSULTANT, shall be incorporated in written amendments to this Agreement.
10.3 This Agreement, with the exception of Section 13.2 and the tail coverage required in Section
13.1, may be terminated before the termination date specified in Article V, "Time of
Performance," by any of the following conditions.
(a) Right of Either Party to Terminate for Cause — This Agreement may be terminated
by either of the parties hereto for failure by the other party to perform in a timely
manner and proper manner its obligation under this Agreement. A signed, written
notice of such termination shall be delivered to the other party by registered or
certified mail and such termination shall take effect twenty (20) days after the notice
is deposited in the mail, provided that the failure to perform has not been remedied
in full prior to the expiration of the twenty -day period. By such termination, either
party may nullify obligations already incurred for the performance or failure to
perform before the termination date.
(b) Right of the ITY to T rmin t f r Qonvenience — This Agreement may also be
terminated by the CITY for reasons other than failure by the CONSULTANT to
perform in a timely manner and proper manner its obligations under this Agreement.
A signed, written notice of such termination shall be delivered to CONSULTANT by
registered or certified mail and such termination shall take effect not less than seven
(7) days following the date that the notice is deposited in the mail or at 5:00 p.m. on
the date the notice is received by the CONSULTANT, whichever is sooner.
10.4 Upon receipt of a notice of termination under any of the conditions under Paragraph 10.3,
the CONSULTANT shall, unless the notice otherwise directs, immediately discontinue all
services in connection with the performance of this Agreement. Within thirty (30) days
after receipt of the notice of termination, the CONSULTANT shall submit a statement,
showing in detail the services performed under this Agreement prior to the effective date
of termination. Data, study products and all other work product prepared by the
CONSULTANT under this Agreement shall be delivered to the CITY within thirty (30) days
after the receipt of the notice of termination if terminated by the CITY or within thirty (30)
days after tendering the notice of termination if terminated by the CONSULTANT.
10.5 Within thirty (30) days after the conditions specified in Paragraphs 10.3 and 10.4 being met
or within thirty (30) days after the CONSULTANT submits a statement of actual services
performed and payment requested, whichever is later, the CITY shall pay the
CONSULTANT allowable costs incurred, less previous payments. The CITY will only be
obligated to compensate the CONSULTANT in a just and equitable manner for those
services actually performed prior to the effective date of termination.

10.6 Notwithstanding the provisions of Section 10.5 above, the CONSULTANT shall not be
relieved of liability to the CITY for damages sustained by the CITY by virtue of any negligent
act or omission or any breach of the. Agreement by CONSULTANT.
ARTICLE XI
CONFIDENTIALITY
11.1 Any information determined to be confidential pursuant to the Texas Public Information Act
that is provided to or developed by the CONSULTANT in the performance of this Agreement
shall be kept confidential and shall not be made available to any individual or organization
by the CONSULTANT without prior written approval of the CITY.
ARTICLE XII
INSPECTION OF RECORDS
12.1 The CONSULTANT shall maintain accounts and records, including personnel, property and
financial records, adequate to identify and account for all costs pertaining to this Agreement
and such other records as may be deemed necessary by the CITY to assure proper
accounting for all project funds. These records will be retained for three years after the
expiration of this Agreement.

12.2 Any time during normal business hours and as requested by the CITY, the CONSULTANT
shall make available to the CITY for examination all of its project records with respect to all
matters covered by this agreement and will allow the CITY to review, examine, and make
excerpts from such records, and to make copies of all contracts, invoices, materials,
payrolls, records of personnel, conditions of employment and other data relating to all
matters covered by this Agreement. The financial records of the CONSULTANT are
maintained in its corporate office located in Columbia, South Carolina, and copies will be
available upon request by the CITY's representative in a timely manner in its regional office
located in Houston, Texas, for audit purposes to the CITY or its authorized representative.
In any event, the financial records shall be made available to the CITY in the
CONSULTANT'S Houston office within ten (10) days of the CITY'S request for the same.
All copies made by the CITY pursuant to this Section shall be made at the sole cost and
expense of the CONSULTANT.
ARTICLE XIII
INSURANCE AND INDEMNIFICATION
13.1 Throughout the term of this Agreement, the CONSULTANT at its own expense shall
purchase, maintain and keep in force and effect insurance against claims for injuries to or
death of persons or damages to property which may arise out of or result from the
CONSULTANT's operations and /or performance of the work and services under this
Agreement, whether such operations and /or performance be by the CONSULTANT, its
agents, representatives, volunteers, employees or subconsultants or by anyone directly or
indirectly employed by any of them, or by anyone for whose acts any of them may be liable.
The CONSULTANT's insurance coverage shall be primary insurance with respect to the
CITY, its officers, agents and employees. Any insurance or self- insurance maintained by
the CITY, its officials, agents and employees shall be considered in excess of the
CONSULTANT's insurance and shall not contribute to it.

The following is a list of standard insurance policies along with their respective minimum
coverage amounts required in this Agreement:
Commercial General Liability (CGL)
General Aggregate: $1,000,000
Personal & Advertising Injury: $1,000,000
Per Occurrence: $500,000
a. Coverage shall be at least as broad as .ISO CG 00 01 10 93
b. No coverage shall be excluded from standard policy without notification of individual
exclusions being attached for review and acceptance.
Business Automobile Policy (BAP)
Combined Single Limits: $1,000,000
a. Coverage for "Any Auto."
Errors & Omissions (E&O)
Limit: $250,000
a. For all architects, consultants, and/or design companies.
b. Claims -made form is acceptable.
C. Coverage will be in force for three years after project is completed.

Workers' Compensation: Statutory Limits
Employer's Liability: $500,000
a. Waiver of Subrogation required.
Upon execution of this Agreement, the CONSULTANT shall file with the CITY valid
Certificates of Insurance and endorsements acceptable to the CITY. Such Certificates shall
contain a provision that coverage afforded under the policies will not be canceled,
suspended, voided, or reduced until at least sixty (60) days' prior written notice has been
given to the CITY via certified mail, return receipt requested.
The CONSULTANT shall also file with the CITY valid Certificates of Insurance covering all
subconsultants.
The following are general requirements that are applicable to all policies:
a. AM Best Rating of A:V or better.
b. Insurance carriers licensed and admitted to do business in the State of Texas will
be accepted.
C. Liability policies will be on occurrence form. Errors and Omissions can be on claims -
made form.
d. CITY, its officials and employees are to be added as Additional Insured to the
commercial general liability policy and the business automobile policy only.
e. Upon request of and without cost to CITY, certified copies of all insurance policies
and/or certificates of insurance shall be furnished to CITY's representative.
Certificates of insurance showing evidence of insurance coverage shall be provided
to CITY's representative prior to performing any work or services in furtherance of
this Agreement.
f. Upon request of and without cost to CITY, loss runs (claims listing) of any and /or all
insurance coverage shall be furnished to CITY's representative.

13.2 CONSULTANT shall indemnify, save harmless and defend the CITY, its officers, agents,
servants and employees (hereinafter collectively referred to as the "CITY ") from all suits,
actions, causes of action, losses, damages, claims, injuries or liability of any character, type
or description, including, without limiting the generality of the foregoing, all expenses of
litigation, court costs, and attorney's fees for loss, damage, injury or death to any person,
or loss, damage or injury to any property, received or sustained by any person or persons
or property arising out of or occasioned by the services provided by the CONSULTANT
pursuant to this agreement, the conduct or management of the CONSULTANT'S business
or activities, or from any other act or omission by the CONSULTANT, its officers, agents,
servants, employees, subcontractors, guests, or invitees when performing services in
accordance with this agreement, where such injuries, death or damages are caused by the
concurrent negligent act or omission of the CITY or entity or the sole or concurrent negligent
act of the CONSULTANT, its agents or employees, in the execution of performance of this
agreement. It is the expressed intention of the parties hereto, both the CONSULTANT and
the CITY, that the indemnity provided for in this paragraph is indemnity by the
CONSULTANT to indemnify and protect the CITY, its officers, agents and employees from
the consequences of (i) the CITY'S own negligence, where that negligence is a concurring
cause of the resulting injury, death or damage and /or (ii) the joint and /or sole negligence of
the CONSULTANT, its officers, agents, servants, employees, subcontractors, guests, or
invitees. Furthermore, the indemnity provided for in this paragraph shall have no application
to the CITY for any claim, loss, damage, cause of action, suit and liability where the injury,
death or damage results from the sole negligence of the CITY, unmixed with the fault of any
other person or entity. In the event that any action or proceeding is brought against the
CITY by reason of any of the above, the CONSULTANT further agrees and covenants to
defend the action or proceeding by legal counsel acceptable to the CITY.
The indemnity provided hereinabove, shall survive the termination and /or expiration of this
agreement.
ARTICLE XIV
MISCELLANEOUS PROVISIONS
14.1 Neither the CITY nor CONSULTANT shall be required to perform any term, condition or
covenant of this Agreement while such performance is delayed or interrupted by acts of
God, material or labor restriction by any governmental authority, civil riot, flood, hurricanes
or other natural disasters, any other cause not within the control of the CITY or
CONSULTANT that by the exercise of due diligence the CITY or CONSULTANT is unable
wholly or in part, to prevent or overcome and supersedes all prior agreements and
understandings between CITY and CONSULTANT concerning the subject matter of this
Agreement. Any such delay in performance shall be excused only for the same amount of
time as occurrence giving rise to the delay shall have lasted or such period of time as is
reasonably necessary after such occurrence abates for the effects thereof to have
dissipated as determined in the sole discretion of the CITY.
14.2 This Agreement constitutes the entire agreement between the CITY and CONSULTANT.
No agreements, amendments, modifications, implied or otherwise, shall be binding on any
of the parties unless set forth in writing and signed by both parties.

14.3 The CITY and CONSULTANT agree that this Agreement shall be construed in accordance
with the laws of the State of Texas. Any legal dispute between the parties shall be resolved
in the following manner:
The parties will in attempt in good faith to resolve any controversy or claim arising out of or
relating to this agreement promptly by negotiation between senior executives of the parties
who have the authority to settle the controversy.
If the controversy or claim has not been resolved within thirty days of the meeting of the
senior executives, the parties shall endeavor to settle the dispute by mediation under the
Construction Industry Rules of the American Arbitration Association. If the matter has not
been resolved pursuant to the aforesaid mediation procedure within ninety days of the
commencement of such procedure, (which period may be extended by mutual agreement),
or if either party will not participate in such procedure, the controversy shall be settled by
arbitration in accordance with "American Arbitration Association Construction Industry
Arbitration Rules" by a sole arbitrator. The arbitration shall be governed by the United
States Arbitration Act, 9 U.S.C. & 1 -16, and the judgement upon the award rendered by the
Arbitrator may be entered by any count having jurisdiction thereof. The place of arbitration
shall be Harris County. The arbitrator is not empowered to award damages in excess of
actual damages, including punitive damages.
14.4 If one or more of the provisions of this Agreement, or the application of any provision to any
party or circumstance, is held invalid, unenforceable, or illegal in any respect, the remainder
of this Agreement and the application of the provision to other parties or circumstances shall
remain valid and in full force and effect.
14.5 Any notice required to be given pursuant to the terms and provisions of this Agreement shall
be in writing and shall be mailed by certified or registered mail addressed as set forth below
or at such other address as may be specified by written notice:

14.6 The waiver by either party of a breach of any provision of this Agreement shall not
constitute a waiver of any subsequent breach of this Agreement.
14.7 The CONSULTANT shall not assign any interest on this Agreement, and shall not transfer
any interest in the same (whether by assignment or notation), without the prior written
consent of the CITY thereto.
14.8 Successors and Agsigns: The CITY and CONSULTANT each binds itself and its
40 successors, executors, administrators and assigns to the other parties of the Contract and
to the successors, executors, administrators and assigns of such other parties, in respect
to all covenants of this Agreement. Nothing herein shall be construed as creating any

personal liability on the part of any officer, board member, commissioner, employee or
agent of any public body, which is a party hereto.
14.9
Reports and Information: The CONSULTANT at such times and in such forms as CITY
may require, shall furnish CITY such periodic reports as they may request pertaining to
the work or services undertaken pursuant to this Agreement, the cost and obligations
incurred or to be in connection therewith, and any other matter covered by this
Agreement.
14.10
Incorporation of Provisions Required by Law. Each provision and clause required by law
to be inserted into the Agreement shall be deemed to be enacted herein and this
Agreement shall be read and enforced as though each were included herein. If through
mistake or otherwise any such provision is not inserted or is not correctly inserted, the
Agreement shall be amended to make such insertion on application by either party.
14.11
Waiver. The failure on the part of any parry herein at any time to require the performance
by any other party of any portion of this Agreement shall not be deemed a waiver of, or in
any way affect that party's rights to enforce such provision or any other provision. Any
waiver by any party herein of any provision hereof shall not be taken or held to be a waiver
of any other provision hereof or any other breach hereof.
14.12
Survival. Any and all representations and conditions made by the CONSULTANT under
this Agreement are of the essence of this Agreement and shall survive the execution,
delivery and termination of it, and all statements contained in any documents required by
the CITY, whether delivered at the time of the execution or at a later date, shall constitute
representations hereunder.
14.13
Cumulative Remedies. In the event of default by any party herein, all other parties shall
have all rights and remedies afforded to it at law or in equity to recover damages and to
interpret or enforce the terms of this Agreement. The exercise of any one right or remedy
shall be without prejudice to the enforcement of any other right or remedy allowed at law
or in equity.
14.14
State or Federal Laws. This Agreement is performed in Harris County, Texas, and is
subject to all applicable Federal and State laws, statutes, codes, any and applicable
permits, ordinances, rules, orders, and regulations of any local, state, or federal
government authority having or asserting jurisdiction.
14.15
Equal Employment Oq ort"m . In the performance of this Agreement, the CONSULTANT
will not discriminate against any employee or applicant for employment because of race,
color, religion, age, sex, or national origin. The CONSULTANT will, in all solicitations or
advertisements for employees placed by or on behalf of it, state that it is an Equal
Opportunity Employer.
14.16
Multi IR e Originals. Two (2) copies of this Agreement are executed;'each shall be deemed
an original.
14.17
Agreement Read: The parties acknowledge that they have read, understand and intend to
be bound by the terms and conditions of this Agreement.

Overview A systematic program of technical analyses and base planning
studies will be performed for the development of the Baytown 2020
Comprehensive Plan Update. The analyses will include, but are not limited
to, review of previous plans prepared for the City, review of existing land
use, preparation of socioeconomic and demographic estimates and
projections for the 20 -year planning period, review of element- specific plans
prepared within recent years, and meetings with various City committees
and staff. A detailed scope of work for the Comprehensive Plan Update
study is described in this work program.
Introduction Planning is a deliberate, organized, and continuous process of
determining community needs and setting goals and objectives for attaining
them. It is the process by which the community can move from today's
reality to tomorrow's possibilities by seizing its opportunities. Planning
bridges the gap between where we are and where we want to go. Planning
enables the community to choose to act -- rather than waiting to be acted
upon. In its simplest terms, planning is deciding, in advance, what to do,
how and where to do it, and who is to do it.
The City of Baytown 2020 Comprehensive Plan Update will be a
multi- faceted document designed not only to update previous plans, but
also to serve as the City's guide for future growth and development, as well
as making decisions that relate to the quality -of -life in Baytown. The plan
should be a highly readable and user - friendly document designed to
acquaint the reader with Baytown while identifying the City's goals,
expectations, and priorities for the 21st Century. It will serve as a long
range work program for the City's departments and public officials to guide
infrastructure investment and other development related decisions.
A comprehensive plan contains many components and serves
numerous functions such as providing information, identifying existing
conditions and characteristics, and establishing local governmental policies
and strategies. The plan is the definitive source of information regarding
the existing and future conditions and characteristics of the community. It
contains several elements addressing population, environmental
characteristics, education, land use, transportation, infrastructure (water,
wastewater, storm drainage, etc.), housing, parks, and economic
development. Each plan element provides a wealth of information to serve
as a solid foundation for future decision- making relating to community
growth and development. A thorough understanding of the community's
past, present, and future is needed to formulate realistic goals, viable
objectives, workable policies, and effective action plans.
Reasons for Cities to Plan:
• Maximize community strengths and minimize community
weaknesses;
• Protect property rights and enhance property values;
• Provide adequate public facilities and services;
• Balance economic growth with quality -of -life issues; and,
• Avoid unmanageable concentrations of population.

The basic purpose of city planning is to further the public good. The
comprehensive plan does this by:
• Stating the community's values, goals, and objectives;
• Becoming a policy guide for physical development;
• Providing a strong legal basis for land use decision - making;
• Using public resources more efficiently and effectively;
• Avoiding decisions that serve only special interests; and,
• Preventing isolated or unconscious decision - making.
Another purpose for planning is to further community investment and
economic development. When it is done well, planning is a financial asset
to a community. A good plan helps the community make the best use of
scarce resources, avoid wasteful or inefficient expenditures, and promote
desirable growth and economic development. Plans can enhance
economic development and investment by:
Projecting future land requirements;
Ensuring that adequate public facilities and services are available to
accommodate future growth; and, t
Protecting existing and future investments.
Another reason for planning is to protect the environment. The
comprehensive plan does this by:
Restricting high risk areas from negative development pressures;
and,
Identifying areas of special environmental consideration.
It is also important to recognize that there are things a
comprehensive plan cannot do. For example, a plan cannot:
• Make long- standing problems go away overnight;
• Automatically solve all problems;
• Regulate land use;
• Be written and used only once to be effective;
• Be successful without the support of citizens and local officials in
using the recommended policies and taking actions; or,
• Be effective without the necessary financial commitment.
The Baytown 2020 Comprehensive Plan Update will guide future
decision- making in two major ways:
Most importantly, the stated goals, objectives, policies, and action
strategies will be the framework for managing the future land use and
development of the City. The City's zoning and subdivision control
processes are closely interwoven with the plan's focus on future
community growth and physical development.
2. The plan's goals, objectives and policies deal with all of the public
facilities and services that contribute to the quality -of -life and
socioeconomic characteristics of the City. The plan format should

clearly articulate the City's goals and provide an effective framework
for formulating strategies and taking actions to achieve the desired
goals.,
Project Operations A eCOject Operations Plan (POP) will be prepared and presented at

schedule, program organization, data requirements, and citizen
participation program. This detailed schedule will be useful for managing
and monitoring the overall plan development process by both the City and
Consultant. One (1) original copy of the POP (suitable for reproduction) will

Project Meetings and WSA's Project Manager will maintain frequent communication and
Progress Reporting coordination with the City's Project Director. Scheduled project meetings
between the City's Project Director and the Consultant Team Project
Manager are included in the project time schedule.
WSA will submit progress updates to the City of Baytown Project
Director. The reports will be prepared in the form of brief letter reports
describing project status and including significant work accomplished during
the report period, actions taken to resolve any problems or delays
encountered, and activities scheduled for the next report period. The
reports will indicate the percent of completion for the overall work program.
The accompanying invoice will include the fee amount earned based upon
the report status of completion.
Project Time Schedule
A project time schedule for preparing a Comprehensive Plan Update
for the City of Baytown is delineated by the time line shown in Figure 1,
Project Time Schedule. The organization of individual tasks, meetings,
citizen involvement opportunities, staff and public reviews, and product
deliverables are included in the preliminary time schedule. Upon consultant
selection, a final project schedule will be developed outlining a master
project schedule, including individual tasks and task durations, key
milestones and deliverables, meetings and presentations, review, and other
required coordination.

Develop Database
of Existing and
Available Data
The task descriptions include the methodology, products, and coordination
related to each step in the planning process. Although the tasks and sub -
tasks are described individually, they will be accomplished in a coordinated
and interactive program, recognizing the important linkages between the
different plan elements, and including necessary coordination and review
by City officials and staff. Also included in this section are descriptions of
the project deliverables to be submitted to the City.
An initial task will be to compile and analyze all pertinent information
from available sources. This task will produce a comprehensive planning
profile including existing conditions and trends, previous plans and studies,
and available information from existing sources. The database will be
compiled by the City and provided to WSA, in digital form if available and
requested.
Compile and Analyze A planning profile will include demographics, socio- economic

TASK 2:
A clear and concise statement of basic goals and specific objectives

consensus on the goals and objectives that will form the framework for the
Baytown 2020 Comprehensive Plan Update. The goals and objectives of
the 1992 Comprehensive Plan will be utilized and updated in order to create
a shared vision of the future. The process will involve city leaders and
citizens in a dialogue to identify updated goals and objectives that will
shape and define that future. Analysis of assets and challenges will be
performed. The consultant's role in this process will be to provide
guidance, direction, and management to facilitate the process. The
Comprehensive Plan Steering Committee will provide the input necessary
to update the goals, objectives and vision statement of the community.
Community Forum A Community Forum is proposed to be conducted during this task.
The purpose of the forum will be to involve citizens in the development of
the vision, goals and objectives, through identification of issues, needs, and
priorities for future city growth and development. The public workshop will
utilize a "nominal group" process, in which participants are divided into
small discussion groups, with a trained facilitators assisting each group.
The participants will identify and prioritize their ideas, needs, and desires
for Baytown's future.
The ideas and priorities expressed by citizens will serve as the basis
for developing the goals, objectives and vision statement. The existing
conditions and needs identified in the 1992 Comprehensive Plan and
baseline studies will provide technical information for use in developing the

updated goals and objectives. The definitions of goals, objectives and
actions that will be used to prepare the community vision are as follows:
Goals are the general ends toward which cities direct their efforts.
A goal addresses issues by stating policy intention. They are both
qualitative and quantifiable, but are not quantified. Goals stretch and
challenge cities, but they are realistic and achievable.
Objectives are clear targets for specific action. They mark
quantifiable interim steps toward achieving a city's long range mission and
goals. Linked directly to goals, objectives are measurable, time -based
statements of intent. They emphasize the results of City actions at the end
of a specific time period.
Actions are methods to achieve goals and objectives. Formulated
from goals and objectives, an action is the means for transforming goals to
outcomes, with the best use of resources. An action reflects budgetary and
other resources.
TASK 3: Forecasts for projected future population, housing, and employment

Understanding the growth dynamics of Baytown is important to

which must be considered in addressing the growth expectations of the
area and the land use and infrastructure requirements.
Projections previously prepared by the City, Houston - Galveston Area
Council, Texas State Data Center, and other agencies will be compiled and
reviewed for relevance to the Comprehensive Plan study. Projections and
analysis previously utilized in past plans and studies for the City of
Baytown, such as the 1992 Comprehensive Plan and the 1998 Population,
Land Use and Growth Report will also be reviewed and considered. The
City will provide WSA with digital files of the 1992 Comprehensive Plan and
the 1998 Population, Land Use and Growth Report for use in preparing the
Socioeconomic Element of the Comprehensive Plan Update.
Projections for Years Projections and forecasts will be prepared for use in identifying future
2000, 2010, and 2020 needs and alternative growth strategies for the City. After reviewing
previous projections, growth projections will be developed for the City of
Baytown. Projections for Years 2020 will be prepared using one of the
following methodologies:
• Extrapolative, curve - fitting, and regression -based techniques
(extension of past trends);

Ratio -based techniques (share of projected growth for county or
region);
Land use techniques (desired density levels and carrying capacity);
and,
Economic -based techniques (economic projections with specific
assumptions relating to population and migration changes).
The projection will be prepared using a range of assumptions
concerning future conditions, including existing trends, in- migration at
varying rates, and comparison with growth rates experienced in other
communities in the region that have experienced comparable growth to
those in the City of Baytown.
Development of the growth forecasts for use in the Comprehensive
Plan study will recognize that the community is seeking to influence future
conditions. Projections based upon current trends will provide a baseline
prediction of the future without any changes in existing growth policies, but
alternative forecasts based on modified growth assumptions are important
for selecting the desired future scenario for the City. The proposed
methodology may be characterized as envisioning where the community
wants to be in the future, and then looking backward to determine the steps
needed to get there. The purpose of forecasting future conditions is not just
to quantify anticipated growth, but to also determine how the City can
influence its future through current choices, policies, and actions.
Deliverable: Results of Task 3 will be documented in a City oL_Baytown
Co.Inmunitypcofite Commun. ity�sofile report. The profile will document the existing
ReP -or-t conditions and characteristics of the community, which will include data
relating to historical and current population and employment; local socio-
economic and demographic characteristics; and, building and development
trends. The report will summarize the community data for existing and
future conditions including appropriate text, tables and illustrations.
TASK 4: This task will include preparation of an updated existing land use

Inventory Existing Existing land uses within the planning area will be inventoried as

Comprehensive Plan (if available). The inventory will identify existing types
of uses, their location, pattern, and intensity. The land use inventory will be
performed on a parcel -level basis using available block maps and air
photos, with field verification as needed. Existing land use data maintained
by the City will be utilized to initiate the land use inventory. Available aerial
photographs, pianimetric maps and parcel -based block maps will need to
be provided by the City in paper copy and digital format. The Harris County
Appraisal District will be a valuable resource for mapping information. Air
photos will be either paper prints or film positives.

The updated existing land use inventory will be performed using
"windshield survey" methodology, supplemented by aerial photo analysis.
After preparing working maps, field verification will be performed focusing
primarily on mixed use and higher density areas that cannot be readily
interpreted from the air photos.
Prepare Existing Land The updated existing land use map will be prepared using the
Use Map CAD -GIS capabilities of WSA. Digitizing the existing land use inventory will
produce a color land use map showing existing uses within the planning
area. The land use categories used to identify different types and densities
of uses will be determined jointly with the City. In addition to the color land
use map, utilizing GIS technology allows development of a land use
database, which can be used by the City to conduct further planning
analyses regarding existing quantities of land use and future allocation.
Project Future Land Spatial requirements for future land use will be analyzed in relation

extent of future development. The spatial requirements for future land use
and development will be determined using a Land Use Allocation Model
(LUAM), which estimates the area required for each type of land use
according to its relationship to the population and economic growth
forecasts and other land uses. The model is based upon statistical analysis
of the relationship between the type and amount of land use required to
accommodate the projected future population, employment, and housing
growth for the study area. Spatial requirements are determined in terms of
total additional acreage of developed area for each category of land use.
The location and general pattern of future development areas will be
determined based upon the goals and objectives; development principles
and guidelines; and analysis of existing opportunities and constraints,
accessibility, market factors, and testing of alternative development
scenarios for future growth of the city.
Analyze Growth Existing opportunities and constraints that are major determinants of

Sustainable Environmental constraints will include factors such as soils, slopes,

areas as potential locations for future development.

Prepare Future Land The Future Land Use Plan will be prepared for Year 2020, which will

TASK 5: The yision2020 Me m-p- olitaxLTms.pDdation Plan for the Hous_toi[L-
Galveston Area is prepared and maintained by the Houston - Galveston Area
Develop Council, in coordination with the Texas Department of Transportation
Transportation (TXDOT). The Metropolitan Transportation Plan identifies planned
Mobility Plan improvements to roadways and other transportation facilities of regional and
statewide importance. Planning for local streets is the responsibility of the
City of Baytown.
The Metropolitan Transportation Plan addresses short and
long -range improvement needs for the next 20 years. The Baytown 2020
Comprehensive Plan should include a transportation mobility plan,
commonly referred to as the thoroughfare plan or major street plan, which
addresses not only the foreseeable transportation improvement needs over
the 20 -year planning periods, but also includes consideration of
requirements for preservation of rights -of -way over a longer term (more
than the 20 -year period). This right -of -way preservation function of the City
of Baytown's Transportation Plan is an important consideration in
subdivision platting, in order to avoid short- sighted development decisions
which overlook the opportunity to preserve future rights -of -way needed to
accommodate the longer term development of the City's arterial and
collector thoroughfare system.
This task will develop the Transportation Mobility Plan as an element
of the City's Comprehensive Plan, in coordination with the Metropolitan
Transportation Plan for the Area. The following sub -tasks will be included.
Collect and Review Available plans, reports, and data will be compiled from existing

existing capacity deficiencies will be analyzed based upon available
information.
Available traffic volume projections will be analyzed to assess overall
conditions and needs relating to roadway capacity and level of service for
the Baytown planning area. If needed, WSA will assist the City in
developing a request for MPO modeling assistance. If needed, WSA also
has the necessary capabilities to perform additional services for further
modeling using TRANPLAN, which is the same computer model program
used by the MPO.
Deliverable: The Ranspor_tatiotLMtobility Plan will be prepared including
T-r-ansp- or-ta,ti-on delineation of functional classes of existing and proposed major
Mobility -Van thoroughfares, and thoroughfare system improvement needs identified in
coordination with the Houston - Galveston Region Metropolitan
Transportation Plan.
Functional classes of roadways will include Freeways/Tollways,
Principal and Minor Arterials, Collectors, and Local Streets. Geometric
design criteria and typical cross sections will be identified for each class.

TASK 7: The purpose of the Environmental Resources Inventory is to ensure

The environmental information will be analyzed as part of the
inventory of existing physical conditions. The analysis will include maps of
the Baytown area that identify jurisdictional wetlands prepared by the Corps
of Engineers and U.S. Fish and Wildlife Service, soil suitability maps
prepared by the Harris County Soil Conservation District; information on
known locations or sightings of potential habitat for threatened or
endangered species, available from the U.S. Fish and Wildlife Service and
the Texas Natural Resources Conservation Commission (TNRCC );
locations of hazardous waste sites, underground storage tank sites and
regulatory requirements available from the TNRCC and U.S. Environmental
Protection Agency; landfill regulations of the TNRCC; and, urban storm
waster pollution information available from the TNRCC and the City. The
City will coordinate with the above agencies to assist WSA in collecting this
information.
Identify Sensitive Sensitive habitat areas associated with threatened or endangered

TASK 8: The purpose of the Parks and Recreation Element is to ensure the

• Analyze acquisition strategies such as development dedications,
impact fees, user fees, and joint use agreements; and,
• Recommend policies, standards, facilities, and programs to eliminate
existing recreational and open space deficiencies and provide for
future needs.
Future development patterns, growth areas, and population
projections for the study area will be analyzed through the Year 2020 to
determine the future recreation facility and open space needs. Potential
future parks and recreation areas will be analyzed in terms of conservation,
wilderness, and scenic areas. Options such as public or private acquisition,
development restrictions, land banking, joint use of floodplains, and other
means for preserving large areas of open space will be considered. The
plan will reflect the goals, objectives, and standards adopted by the City.
As a supplement to the General Parks and Recreation Plan, WSA will
assist the City to address the comments and requested revisions of the
Texas Parks and Wildlife Department, issued on June 26, 1997. The
assistance will be to provide the City with acceptable methodology needed
to assess and identify parks and recreation system needs utilizing locally
adopted standards. In addition, WSA will assist the City in preparing an
overall list of priorities, listed from highest to lowest.

In October 1996, the City of Baytown completed a Parks, Recreation,
Open Space and Greenway Master Plan, which was submitted to the Texas
Parks and Wildlife Department for review to meet the Texas Recreation and
Parks Account Program Master Plan Standards. In addition, in 1996, an
Assessment of Recreation Needs in Baytown, Texas, was prepared by the
Department of Recreation, Park and Tourism Sciences at Texas A &M
University, These two studies and other plans and studies will be utilized
in preparing this element of the comprehensive plan.
Trails and Greenways The General Parks and Recreation Plan will include a proposed
Plan network of both off - street trails and greenways and on- street bike lanes.
The off - street trails and greenways will utilize existing rivers and streams
as well as rights -of -way and easements for drainageways, pipelines and
power lines. The plan will include design standards, system development
criteria, typical cross - sections and other design and construction
considerations. In addition, sources of funding for bicycle and pedestrian
projects will be identified and recommendations provided for priority
projects.
TASK 9: The purpose of the Housing Plan is to provide a comprehensive
Prepare Housing neighborhood development and protection strategy that promotes the
Plan availability of housing for all segments of the community. It should identify
short, intermediate, and long range goals and programs for revitalizing the
existing housing stock and promoting construction of new, affordable
housing, especially for low and moderate income households. In addition,

Housing Plan will be integrated into the City's Consolidated Plan. Any
revisions to the Consolidated Plan standards and requirements of the

Plan will address the following:
• Inventory housing conditions using available data and Census
records;
• Identify the housing needs of community residents including
subpopulations such as mentally ill, alcohol /drug addicted, Fleeing
family violence, homeless youth and AIDS and related diseases;
• Identify target areas suitable for rehabilitation, infill development, and
redevelopment;
• Document rental housing availability and address the future need;
• Document the existing availability and future need of assisted
housing such a Section 8 and public housing opportunities;
• Project the housing requirements, by type of unit, through the Year
2020;
• Analyze identified deficiencies of the housing stock in terms of the
availability and affordability of land, and the provision of
infrastructure;
• Identify and discuss fair housing issues and any impediments;
• Identify ordinance provisions to protect residential neighborhoods
from encroaching incompatible development;

Assess the viability of techniques such as land banking, code
enforcement, subdivision standards, and rental assistance;
Identify and recommend funding alternatives for rehabilitation and

TASK 10: The purpose of the Storm Drainage System Analysis is to ensure
Conduct Storm there is adequate provision for stormwater management and flood control.
This task will utilize available information and previous plans and studies to
Drainage Analysis formulate a stormwater management plan for the Baytown area. WSA will
coordinate with the consulting engineer currently preparing the Storm
Drainage Master Plan to incorporate the findings, conclusions and
recommendations of their study into the Comprehensive Plan. The Storm
Drainage System Analysis will:
• Identify drainage basins, major drainage facilities, and flood prone
areas;
• Identify existing stormwater management problems and techniques
for managing stormwater runoff;
• Discuss alternatives for managing stormwater; and,
• Recommend environmentally sensitive policies and programs for
solving existing drainage problems and minimizing the potential for
future problems.
The Storm Drainage System Plan will be delivered to the City in a
black and white draft review format. Copies of the plan will be provided to
each Steering Committee member. In addition, one (1) reproducible
original will be provided to the City for reproduction.
TASK 11: This task will compile available information on the City's existing and

facility requirements, service demands and improvement needs. The
Wastewater system will be evaluated to determine whether there will be sufficient

requirements will be compared to existing facilities and services to identify
needed future improvements.
Existing plans for meeting the identified needs for facilities and
services will be analyzed and reviewed. Generalized locations, service
areas, capacities and characteristics will be identified for recommended
improvements. The need, size, location, and characteristics of planned
facilities and services will require further engineering analysis and study to

determine the specific requirements to meet the water and wastewater
demands placed on the City's system.
The purpose of the Water System Study is to ensure there is
adequate supply, storage and distribution capacities of water to meet the
existing and projected future demands for potable water. The Water
System Study will:
• Collect available information on existing facilities, service capacities,
demands and planned improvements;
• Review previous water system plans;
• Identify generalized service areas for improvement;
• Evaluate the need for additional facilities and line extensions to meet
the needs of future development;
• Prioritize improvement needs; and,
• Utilize existing and planned improvements to prepare appropriate
future land use designations on the Land Use Plan.
The purpose of the Wastewater System Study is to ensure adequate
collection, treatment, reuse and disposal capacities of the wastewater
system to meet existing and projected future demands The Wastewater
System Study will:
• Describe ongoing efforts to provide adequate wastewater service;
• Identify and map areas which have or are planned for wastewater
service and have densities sufficient to support wastewater service;
• Compare plans for extension with population projections to identify
areas of deficiency;
• Analyze alternative strategies for serving the deficiencies; and,
• Define policies and programs for the extension of wastewater
service.
TASK 12: The purpose of the Capital Improvement Program /Capital Financing
Prepare Capital Plan is to identify and evaluate the various methods available to the City to
fund infrastructure, and to identify specific capital projects required to

Implementation Planning is a continuous process. As such, it is important to realize
that the Baytown 2020 Comprehensive Plan Update is by no means an end
to itself, but rather a beginning to implement the desired goals, objectives
and policies of the City. The plan should be a process- oriented statement
of the City's development goals, a graphic portrayal of the strategic view of
its physical development over the next twenty-year period, and address the
implementation strategies for the direction and coordination of private
development and public infrastructure investments. As an independent
document, the plan is merely a source of information, capable of
accomplishing very little. A commitment to implementation is, therefore,
necessary to ensure that the policies and guidelines established through
the comprehensive planning process are upheld and ultimately
implemented. The planning process is not complete upon adoption of the
plan, rather it is the beginning of implementation. The most important
method of implementing the plan will come from the day - to-day commitment
of elected and appointed officials, City staff members, and the citizens of
Baytown.
The essence of the Comprehensive Plan will be the implementation
program. This section of the plan will synthesize the goals and objectives
of the City by formulating specific program recommendations and actions
addressing the issues of economic development, land use and housing,
transportation, public services, environment, parks and recreation, and
infrastructure systems. The products of the implementation program will
include a capital improvement program with order -of- magnitude estimates
for recommended public improvements.
The Baytown 2020 Comprehensive Plan Update will be the City's
guide for government officials and citizens in making decisions about land
use, future development, and a wide array of socioeconomic issues which
have a realistic and significant impact on the quality -of -life in Baytown.
Most importantly, the plan must be brought to life through a dynamic
implementation framework which recommends specific proposals for
programs and actions that should be implemented by the City.
Implementation tools include the zoning ordinance, subdivision regulations,
capital improvements program, and capital budget.
TASK 13: Effective mechanisms for citizen involvement and debate are an
essential part of the planning process. Citizens of Baytown have a special
Citizen Participation pride of place and sense of identity with their community, and a concern for
Program _ its future. The Comprehensive Plan study will incorporate the community's
values in terms of quality of life, character and scale of development, urban
form, aesthetic appeal, and how new development should be integrated
with the existing and future city fabric. The plan will include a vision with
specific goals and objectives which assesses the opportunities and
challenges facing the City, identifies important policies, strategies and
actions to be taken, and sets priorities for an aggressive implementation
program that emphasizes practical results.

Management Advisory Commission, assisted by the Planning
Department staff, are the bodies of city government that are responsible for
developing and administering the Comprehensive Plan Update, so these
groups will perform a key role in making the decisions and choices that
shape the form and detail of the plan. The Commissions should commit
sufficient time to perform this role, in addition to their other responsibilities
and functions. The Mayor and City Council are the ultimate decision -
making body and need to be involved at key stages during the plan's
development, so the resulting plan will fulfill their expectations and
requirements. The Consultant Team's role will be to work as an extension
of the City staff to manage and facilitate the public participation process,
and perform the primary technical role in analysis and incorporation of
citizen input received into the plan.
Baytown Area Long The proposed work program envisions study sessions for the
Range Planning Baytown Area Long Range Planning Commission and Growth
Commission and Management Advisory Commission. These work sessions will be
Growth Management devoted to review and consideration of recommendations and decisions
Advisory Commission forwarded to the Commissions by the Steering Committee. The sessions
Study Sessions could be part of the Commissions' regularly scheduled meetings or may
entail separate special workshop meetings. All study sessions should be
open public meetings with advance public notice of the agenda.
City Council Presentations for the City Council are also included in the
Presentations proposed work program. These presentations will include presentations at
key milestone points during the planning process. Each of the Council
sessions could also include a public hearing to provide opportunity for
citizen comment. A joint study session for the City Council, Baytown
Area Long Range Planning Commission and Growth Management
Advisory Commission is proposed near the end of the planning process,
when the recommended draft Comprehensive Plan Update would be
presented for review and discussion during a "retreat" type working session
held on a weekday afternoon or a Saturday morning, for an intensive half -
day workshop on the planning recommendations.
Steering Committee WSA recommends creating a Steering Committee to serve as a focus
group throughout the plan development process. The Steering Committee
would provide overall review and monitoring of the planning process and
act as liaison between the Consultant Team and the City's Boards and
Commissions. Recommendations of individuals to serve on the Steering
Committee may include representatives from the following:

Community One major public forum is proposed to be conducted toward the
Workshops /Public beginning of the Comprehensive Plan study. The purpose of the
Meetings community meeting will be to involve a large number of citizens in the
identification of issues, improvement needs and priorities toward
development of the updated goals and objectives and the "visioning"
process. The meeting will be widely publicized in advance of the scheduled
date. Community organizations might be invited to co- sponsor the
meetings with the City.
Public Hearings The final stage of the proposed citizen participation process will

meetings and include the final plan presentation by City staff, with
assistance provided by the Consultant Team.
The Consultant will be responsible for assistance with presentations
and preparation of one reproducible original of the handouts or graphic aids
for all meetings, which the City will be responsible for reproducing.
Administrative support for preparation and distribution of committee meeting
notices and agendas will be provided by City staff. The Consultant will
request approval from the City for any proposed dissemination of public
information and proposed responses to public information requests.
The Consultant will also be available to assist the City and participate
in additional meetings and presentations to community groups, civic
associations, homeowners associations, and similar groups during the
planning process, on an additional services basis.
Citizen participation will be an integral part of the Comprehensive
Plan study, with opportunities for public involvement throughout the work
program. Part of the fundamental value of the Comprehensive Plan Update
will be in the commitment of citizens to agree on Baytown's future, and form
a constituency of citizens who take ownership in the plan and lend their
continuing support to its implementation.
Preparation of the final plan documentation will be initiated upon final
approval of the City Council. Final documentation of the Comprehensive
Plan Update will include a Final Text Document. WSA will prepare the
Final Text Document in draft form for review, comment and approval by the
City. Upon receipt of comments and suggestions, the Final Text Document
will be prepared and printed. The Final Text Document will be in 8%" X 11"
format with 11" X 17" fold -out illustrations where necessary, and will be
bound in a 3 -hole binder, which allows efficient updating of applicable
sections in the future. The Final Text Document will be provided to the City
in one (1) reproducible full -color original and twenty -five (25) bound full -
color technical plan documents. The binder will be wrapped with front, back
and spine illustrated covers. If the final number of copies requested by the
City differs from the number specified above, the budget for this task will be
adjusted accordingly.
Copies of the digital computer files for all documents prepared for the
Baytown 2020 Comprehensive Plan Update will be provided for use by the
City upon completion of the project. Text files will be provided in Microsoft
Word 98 format. Spreadsheets will be provided in Microsoft Excel 98
format. Mapping will be provided in ArcView format. Other graphics will be
provided in CorelDRAW 7.0, Microsoft Publisher 98, or other formats as
may be required.
Optional Services Optional services will be performed under an Amendatory Agreement
upon receipt of separate written authorization from the City to proceed with
preparation of the Brochure Plan. Preparation of the Brochure Plan will be

initiated upon the City's authorization, following review of the Final Text
Document prepared under Task 13 - Citizen Participation Program.
Preparation of the final plan documentation will be initiated upon final
approval of the City Council. Final documentation of the Comprehensive
Plan Update will include a Brochure Plan. WSA will prepare the Brochure
Plan in draft form for review, comment and approval by the City. Upon
receipt of comments and suggestions, the Final Brochure Plan will be
prepared and printed. The Brochure Plan will be in 17" X 22" format and
may be folded into four 8' /z" X 11" panels on each side. The Brochure Plan
will be illustrated in full color (where necessary) and will include an
executive summary of the technical plan document and plan illustrations
such as the Baytown 2020 Land Use Plan and Transportation Mobility Plan.
The Brochure Plan will be provided to the City in one hundred fifty (150) full -
color original - printed fold -out brochures. If the final number of copies
requested by the City differs from the number specified above, the budget
for this task will be adjusted accordingly.
Wilbur Smith Associates will be available to provide Additional
Services to the City of Baytown during the term of the Professional Services
Agreement for the Comprehensive Plan Update. Such services will be
specified in written amendments to the Agreement, including the scope of
work, time schedule, and compensation for the proposed services.
Additional Services include services and work that are not included
in the Basic Services described in the previous tasks. Examples of other
services and work that would be considered Additional Services include the
following: (1) Additional workshops and meetings other than the number
identified in the Scope of Work and Project Time Schedule; (2) Other work
tasks or study activities not identified in the Scope of Work; (3) Additional
products, maps or deliverables other than the number identified in the
Scope of Work; (4) Review and recommendations relating to other
planning related matters other than those that are included in the Scope of
Work for the Comprehensive Plan; (5) Analyses and provision of
recommendations for development related issues or matters; or (6) Other
related or unrelated planning or engineering services that may be
requested or required by the City.

Exhibit "B"
Support Services to Be Provided by the City
The City of Baytown will provide administrative and technical support services to assist the
Consultant in performing the Scope of Work described in Exhibit "A" for development of the Baytown 2020
Comprehensive Plan Update. The support services to be provided by the City will include the following types
of general services and specific tasks for the planning program:
The City's Director of Planning and Community Development will be the .Project Director for the
Comprehensive Plan program, and will provide overall program management and direction for the
collaborative effort involving City and Consultant personnel, resources and capabilities;
Other City personnel including the City Manager, Assistant City Managers, Public Works Director,
Parks and Recreation Director, City Traffic Engineer, Fire Chief, City Secretary, City Attorney,
Finance Director, and other City staff will participate, as needed, in the planning process and will be
available upon request to provide existing information, data, previous studies, referrals, opinions, and
recommendations that are necessary for development of the Comprehensive Plan Update;
The City's Project Director will obtain coordination and assistance from other state and local
governmental entities that may be involved in the planning process, including Harris County,
Baytown Chambers of Commerce, Economic Development Corporation, Independent School
District(s), Baytown Housing Authority, Houston - Galveston Area Council, Harris County Central
Appraisal District, Texas Department of Transportation, and other entities;
4. The City will organize, appoint, and provide administrative support for the Comprehensive Plan
Steering Committee and other standing or ad hoc committees that are required for public
participation and community involvement in the development of the Comprehensive Plan. This
administrative support includes preparation and distribution of agendas and packets, recording of
meeting minutes, documenting or scribing meeting discussion and general coordination for
arrangement of meeting times and locations;
5. The City will be responsible for arranging and providing use of public meeting facilities; providing
public notification; maintaining a database of names and addresses of all persons attending
meetings, presentations or workshops; distributing and printing notices, newsletters and other media;
postage; reproducing handout materials; preparing minutes (if needed) of public meetings,
workshops, community forums, neighborhood meetings, and other public involvement meetings to
be conducted as part of the planning process; and, typing written documentation of all meetings.
6. The City will make available for use by the Consultant copies of existing maps, air photos, reports,
plans, studies, data, and information, which are available to the City in a compatible digital or printed
format, and are pertinent and necessary for development of the Comprehensive Plan Update, and
will designate any such documents or materials that are required to be returned to the City following
their use and/or conclusion of the project. The City will prepare an inventory of all materials provided
to WSA upon delivery. It will be the City's responsibility to provide all materials in a digitally
compatible format, the cost of which to convert will be borne by the City.
7. The City of Baytown will provide the base map. The base maps provided by the City will be complete
coverage of the study area including the City and ETJ, and will be in a useable condition and
compatible format. If further development or refinement of the base map is needed, the necessary
work will be performed by WSA on an "Additional Services" basis. Availability of the base map is an
essential component for initiation of the study. The protect time schedule may be delayed if an
® accurate base map is not provided in a timely and convenient manner.
