• AN ORDINANCE AUTHORIZING AND DIRECTING THE CITY MANAGER
TO EXECUTE AND THE CITY CLERK TO ATTEST TO AN AGREEMENT
FOR ENGINEERING SERVICES WITH TANK INDUSTRY CONSULTANTS;
AUTHORIZING PAYMENT BY THE CITY OF BAYTOWN, THE SUM OF
FIFTY -TWO THOUSAND THREE HUNDRED EIGHTY AND N01100
DOLLARS ($52,380.00) ; AND PROVIDING FOR THE EFFECTIVE
DATE THEREOF.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN,
TEXAS:
Section 1: That the City Council of the City of Baytown,
Texas, hereby authorizes and directs the City Manager and City
Clerk of the City of Baytown to execute and attest to an Agreement
for Engineering Services with Tank Industry Consultants. A copy of
said Agreement is attached hereto, marked Exhibit "A," and made a
part hereof for all intents and purposes.
Section 2: That the City Council of the City of Baytown
authorizes payment to Tank Industry Consultants of the sum of
FIFTY -TWO THOUSAND THREE HUNDRED EIGHTY AND N01100 DOLLARS
($52,380.00), pursuant to the Agreement.
Section 3: This ordinance shall take effect immediately
from and after its passage by the City Council of the City of
Baytown.
INTRODUCED, READ and PASSED by the affirmative vote of the

The OMmR intends to have one elevated tank dismantled and devel-
op a maintenance program (including rehabilitating) for seven
other elevated tanks. The SNOXV281 agrees to erform various
professional services required for design, specifications and on-
site project representation of said project as re

SECTION A - ENGINEERING SERVICES rOR
TANK EVALUATION AND REPORT pREpARATION
After written authorization to proceed with the Evaluation and
Report phase, ZNGX :egg shall perform the following services for
each of the above referenced eight tanks listed for evaluation:
1. Perform a careful study of the tank's interior, exterior,
foundation(s), and accessories.
2. Take color photographs of the tank's interior, exterior,
foundation(s), and accessories.
3. Take pertinent measurements of the tank's accessories.

4. Take ultrasonic thickness measurements as deemed necessary by
the iwG=3MEA. For the Baker Road Tank ONLY, nG2NEER would
ultrasonically test the weld quality of this specific tank.
5. A certified engineering report shall be issued concerning the
:observed condition Of the tank.
6. The engineering report shall describe the observations of the
technician and our recommendations.
7. The engineering report shall address the tank coatings, cor-
rosion protection, operating, sanitary and safety deficien-
cies, and compliance with present industry and TNRCC stan-
dards.
8. The engineering report shall include an ENG13aE1R1s opinion of
probable costs for the Project, including the following which
Will be separately itemised: construction costs, allowances
for engineering costs and contingencies, and (on the basis of
information furnished by OMR) allowances for such other
items as charges of all other professionals and consultants.
The total of all such costs, allowances, etc. are hereafter
called "Project costs.,,
9. The engineering report shall include anticipated life of
coatings and structure, and an estimated replacement cost of
the tank.
10. one copy of the engineering report shall include mounted
color photographs bound with the written text. Another nine
copies of the engineering report shall include color copies
of the mounted photographs with the written text.
11. The report shall be certified by a Texas Registered
Professional Engineer who is on the BNGINEER's full -time
staff.
13. In connection with each evaluation, the E1fQI1i,mR shall wash-
out the tank by removing all mud and debris from the tank in-
terior and placing it on the ground at the bass of the tank
for removal by the ONNER. The ENGINEER shall remove up to
three sets of discarded cathodic protection anodes from the
bottom of the tank.
13. In connection with the evaluation, the ZNGIMER shall dis-
infect the tank in accordance with AwwA C652�92 Method Three.
The 7GINNER shall be compensated for such engineering aer-
vices in accordance with Section K.

SECTION B - ENGINEERING SERVICES FOR TANK DMOLITION
After written authorization to proceed with the Tank Demolition
Phase, BNGINXNR shall perform the following services for the
above referenced tank listed for dismantling:
1. Review evaluation report to determine tank demolition re-
quirements.
2• Prepare detailed plans, technical specifications, and con-
tract documents o in the ENatNEai's selected format for the
dismantling, removal, handling and proper disposal /reuse of
scrap material, protection of other structures on -site, and
site clean -up.
3. Provide Additional Engineorinq services and/or Representation
services as outlined in Section D and section E.
The ENGINEER shall be compensated for such engineering ser-
vices irn- accordance with Section K.
SECTION C - ENGINEERING SERVICES FOR
TANK RMBILITATION SPECIFICATION MapARATION
After written authorization to proceed with the Tank Rehabilita-
tion Specification Preparation Phase, ENGINEER shall:
1• The ENGINEER will prepare detailed plans, technical specifi-
cations, and contract documents in the EmaINEmaps selected
format for (and limited to):
- The cleaning and painting of tank.
- The handling and disposal /treatment of the wants material
from the cleaning operations.
The repairs to correct struetural,sanitary, safety,
TNRCe, and operational deficiencies.
- The cathodic protection system.
The tank disinfection.
Z. The ENGINEEi! will distribute Notice to Bidders to Contractors
and distribute bidding packages to those contractors who re-
quest them. The ENGINEER will answer questions which con-
tractors may have while preparing their bids. The GIIi

The ENGINEER shall be compensated for such engineering ser-
vices in accordance with Section K.

SECTION D - ADDITIONAL ENGINEERING SERVICES FOR
TANK REHABILITATION
After written authorization to proceed with the Tank Rehabilita-
tion specification Preparation phase, the MIUNR shall furnish
basic engineering and project administration services as follows:
1. The XNe1nER will review the bids, tabulate and certify the
bids, and make recommendation of award.
2. The ENaIn2R will review the Contractor's submittals and shop
drawings for proper general design concept, sound structural
engineering procedures, ANNA requirements, and compliance
with the project specifications.
3. The ENGINEER will be available for in -house contract adminis-
tration as requested by the OWNER. Such administration would
include phone or on -site consultation, assist the o11X33t with
the "Services Provided by the OWNXR," community acceptance
meetings and presentations, change order preparation, pay
estimate review, mediation.of contractor's disputes, and any
other matter related to the project as requested in writing
by the OWNER and mutually agreeable to both the ENGINEER and
OWNER.
The ExaINEER shall be compensated for such additional
engineering services in accordance with section K.
SECTION E - REPRESENTATION SERVICES rOR TANK REHABILITATION
After written authorisation to proceed with the Representation
services for Tank Rehabilitation Phase, SxoxmxR shall:

of the drawings and specifications to protect the OWNER
against defects and deficiencies in workmanship and materials
on the part of the contractor(s). The ExeinnZR will not,
however, guarantee the performance of any contractor.
2. The ExaINUR will cooperate and work closely with representa-
tives of the OWNER and all parties involved.
3. The ExalxsER shall provide construction observation as di-
rected by the OWNER for the tank rehabilitation.
;:The ENGINEER will furnish the OWN RIM representative a writ-
,ten report of the findings of each observation. The ENGINIZA
does not guarantee the performance of the Contractor by the
zmaINEER's performance of such detailed construction observa-

tion. The ZyalnlR's undertaking hereunder shall not relieve
the contractor of his obligation to perform the work in con -
formity with the drawings and specifications and in a work-
manlike mannert shall not make the ENGINEER an insurer of the
contractors performance; and shall not impose on the MZMZR
an obligation to see that the work is performed in a safe
manner. Specifically omitted from the ENGINVERIs duties are
any review of the Contractor's safety precautions, or the
means, methods, sequences, or procedures required for the
Contractor to perform the work but not related to the final
or completed project. omitted design or review services in-
clude but are not limited to shoring, scaffolding, underpin -
ninq, temporary retainment of excavations and any erection
methods and temporary bracing.
4. The ENOINERR will make final evaluation of all construction
and a written verification of final evaluation to the 0 2-

steel Structures Painting Council visual standard SSPC -Vie 1
to evaluate the cleanliness of the blast cleaning. A Teo -Tex
tape system will be used to determine the surface profile. A
11 Kling psychrometer and surface temperature measurement
thermometers will be used to monitor the environmental condi-
tions and cleaning and painting surface conditions under
which the work is performed. Vat and dry coating thickness
gages will be used to monitor the coating film thickness. A
wet sponge holiday detector will be used on all submerged in-
terior surfaces to detect voids in the coating. Should they
be necessary, Tooke gage and adhesion measuring equipment
will be dispatched from our Speedway office.
6, The xNaINEER shall perform a one -year Anniversary evaluation
of each tank within 13 months of the completion of each raha-
bilitation project. This evaluation shall identify any
deficiencies and have the contractor correct. A certified
„engineering report shall be issued concerning the findings
and the verification of rework performed.
7. The duties of the RNGINXNA shall be:
a. Conduct on -site observation of the Work in progress to
assist the OWNER in determining if the Work is in gener-
al proceeding in accordance with the Contract Documents.
b. Report to OWNER whenever EmGINBER believes that any Work
is unsatisfactory or defective or does not conform to
the Contract Documents, or has been damaged, or does not
meet the requirements of any observation, test or ap-
proval required to be made; and advise OWnR of Work
that guai SEER believes should be corrected or rejected
or should be uncovered for observation, or requires spe-
cial testing, observation or approval.

C. Accompany visiting inspectors representing public or
other agencies having jurisdiction over the Project,
record the results of these visits and report to the
OWNER.
d. Report to OWNER when clarifications and interpretations
of the Contract Documents are needed and transmit to
Contractor clarifications and interpretations as issued
by OWNER.
e. Conduct final evaluation in the company of Contractor
and prepare a list of items to be completed or cor-
rected.
f. Observe that all items on the list have been completed
or corrected and make recommendation to OWNER concerning
acceptance.
S. The limitations of authority of the zNax XR shall include:
a. The ENGINEER shall not authorize any deviation from the
Contract Documents or substitution of materials or equip-
ment, unless directed by the OwXZR.
b. The ENGINEER shall not exceed the limitations of the
OWNER's authority as set forth in this AGREEMENT and the
Contract Documents.
c. The ENGINEER shall not undertake any of the responsibil-
ities of the contractor, subcontractors or contractor's
superintendent.
d. The ENGINEER shall not advise on, issue directions rela-
tive to or assume control over any aspect of the means,
methods, techniques, sequences or procedures of construc-
tion.
e. The ENGINEER shall not advise on, issue directions regard-
ing or assume control over safety precautions and programs
in connection with the Work.
f. The ENGINEER shall not advise on, issue directions regard-
ing or assume control over contractor's compliance with
environmental regulations.
The sme3sasR shall be compensated for such project repre-
sentation services in accordance with Section K.
SECTION F - SERVICES FURNISHED BY THE OWNER
I. Designate a person to act as OWNERIB representative with re-
spect to the work to be performed under this AGRESMENT. Such
person shall have the authority to transmit instructions,
receive information, interpret and define the OWNER18
policies and decisions with respect to materials, equipment,
elements, and systems pertinent to $NaINEEArs services.

• 3. ',Arrange for access to and make all Provisions for ENGINNER to
enter upon public and private property as required for ENGI-
NEER to perform services under this Agreement.
4. Remove all ground level manhole covers before the evaluation
and resecure them after completion of the field services pro-
vided by ENGINEER. (Frequently the manhole gasket must be re-
placed to seal the manhole properly.)
5. Drain and refill the tank prior to and after completion of
the field services provided by ENr,,INZBR.
6. Drain and prepare the tank for the field evaluation on the
agreed date and time.
7. Operate the water works distribution system while the tank is
out of service without any aesistanca or consultation by ZN-
GMER.
S. Furnish a ground man for safety reasons for the duration of
the field services performed by BNGZMZR.
9 - supply water with a standard garden hose connection within
50' of the base of the tank.
10. Sample and test the water in the tank after completion of the
field work and the disinfection of the tank by IM=NUR. The
water shall meet all State Board of Health (or other applica-
ble regulatory agencies) requirements prior to returninq the
tank to service.
11. Provide the $NOINXzR all pertinent information required to
specify and design repairs to each tank.
12. Fulfill all legal advertising requirements.
13. Pay all permitting fees.
14. Perform a thorough review of all materials submitted by =gZ-.
NBBR.
15. Give - prompt written notice to BN4ttt2R whenever oRNma ob-
serves or otherwise becomes aware of any development that af-
fects the scope or timing of INQUSBRIs services, or any
defect or nonconformance in the work of any Contractor.
16. Bear all costs incident to compliance with the requirements
of this section F.

b. The term OWN ;R shall include all authorities, boards,
bureaus, commissions, division, departments and offices of
the OWNER and the individual members, employees and agents
thereof in their official capacities, and /or while acting
on behalf of the onmR.
C. All provisions of the contract concernin g

be underwritten by contractual liability coverage suffi-
cient to include such obligations within applicable
policies

General Liability, Automobile Liability and the profes-
sional Liability policies.
3. Concerning insurance to be furnished by SNaINSaN, it is a
condition precedent to acceptability thereof that:

Texas.
SECTION H - TERMINATION
1' The OWNER may, by written notice to the RXgXNEgR, terminate
this AGREEMENT in whole or in part at any time, either for
the OMR16 convenience or because of the failure of the EN--
aSNEER to perform services in a timely manner, failure to

SECTION a - INDEMNIFICATION
The NNO=NEEA agrees to and shall indemnify, hold harmless, and
defend the C1IIIER, its officers, agents and employees, from and
against any and all Claims. losses, damages, causes of action,
suite and liability of every kind, including all expenses of lit-
igation, court costs, and attorneys' fees, for injury to or death
Of any parson, Or for damage to any property, arising out of or
in connection with the services rendered by the ENGINEER under
this AGREEMENT, where such injuries, death, or damages, are
caused by the ENaINSER's sole negligence or the joint negligence
Of the ENGINEER and any other person or entity, but only for that
portion of such claims, negligence of the ENOIN$ER as Compared to
the total negligence of all persons, firms, or corporations
results in said damages to the OWNER. It is the expressed inten-
tion of the parties hereto, both the ENGINEER and the 01, R, that
the indemnity provided for in this paragraph is indemnity by =-
GINERR to indemnify and protect the ONSBR from the consequences
of the NNQ1XZZR's own negligence, whether that negligence is the
sole or concurring cause of the injury, death, or damage.
SECTION K - COMPENSATION FOR PROFESSIONAL ENGINEERING SERVICES

tion 8, Item 3 of this AGREEMENT on a time and expanses basis
at the rates specified on Attachment A of this AGREEMENT.

prior to proceeding with this phase of work.

4. The OWMR agrees to pay the INGI ZER Compensation for the
services listed under Section D of this AGREEMENT on a time
and expenses basis at the rates specified on Attachment A of
this AGREEMENT. The EUGIZZER will provide the OWNiA an
estimate of these fees prior to proceeding with this phase of
work.
5. The OWnit agrees to pay the ENOZNZZR compensation for the
services listed under Section E of this AGREEMENT on a time
and expenses basis at the-rates specified on Attachment A of
this AGREEMENT. The SNOINBER will provide the owwXX an
estimate of those fees prior to proceeding with this phase of
work. The fees associated with Section E, Item 6 for the
Baker Road Tank will be a fixed fee of $1,100.00.
6. All invoices for fixed fee work would be invoiced upon sub-
mittal of prepared work. All invoices for time and expenses
