THE LEASE AGREEMENT WITH SPARTAN BROOK REALTY
CORPORATION FOR OFFICE SPACE; AND PROVIDING FOR THE
EFFECTIVE DATE THEREOF.

FIRST AMENDMENT TO LEASE
•
This First Amendment to Lease made and entered into the 24th
day of May, 1990 by and between 1st Nationwide Bank, A
Federal savings Bank, Landlord, and The City of Baytown,
Tenant.
Whereas Landlord leased certain premises in Suite 260,
located at 11821 1--10 East, Houston, Texas, 77029 tc Tenant
pursuant to that certain Office Building Lease Agreement
dated December 13, 1989 (hereinafter referred to as
"Lease") .
Now, therefore, Landlord and Tenant agree that the said
Lease and Amendments shall hereby be amended as of the 1st
day of June, 1990 as follows:
1. The "Leased Premises" as defined in Section I.A.
of the said Lease shall be increased by
approximately 2,248 square feet of expansion space
making a total of 8,087 rentable square feet.
2. The "Term" as defined in Section 2 of the said
Lease shall not change for the initial 5,839
rentable square feet. The term for the 2,248
rentable square feet shall begin June 1, 1990 and
expire May 31, 1993.
3. The "Security Deposit" as defined in Section 3
of the said Lease shall be increased to $5,405.44.
4. The "Base Rent" as defined in Section 4 of the
said Lease shall be increased to $64,865.28 annually,
due in equal monthly installments of $5,405.44.
January 1, 1993 through May 31, 1993, the monthly
base rent shall. be $2,135.60.
5. The "Failure to Give Possession" as defined in
Section 31 of the said Lease shall be omitted in
its entirety.
6. The "Non -- Funding Clause" as defined in Section 35
of the said Lease shall be altered as follows:
In the event the Non - Funding Clause is exercised,
• Tenant shall pay all unamortized leasehold
improvements and commissions, depreciated on a
straight -Line basis beginning June 1, 1990 and
continuing through May 31, 1993 at a rate of
$866.54 per month. Tenant shall pay all rent and
other charges due through and including the
effective date of termination.

7. See attached Exhibit "E ".
8. It should be clearly understood that all of the
above is subject to approval by ownership.
9. All other terms, covenants, and conditions of
this Lease as amended shall remain in full force
and effect as heretofore.
