BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS: Section 1: That the City Council of the City of Baytown, Texas, hereby approves an agreement for computerized library services with the City of Houston; and authorizes and directs the City Manager of the City of Baytown to execute said agreement. A copy of said agreement is attached hereto, marked Exhibit "A," and made a part hereof for all intents and purposes. Section 2: This ordinance shall take effect immediately from and after its passage by the City Council of the City of Baytown. W I T N E S S E T H: WHEREAS, the Texas State Library and Archives Commission ( "Texas State Library ") has designated the City of Houston Public Library as a Major Resource Center in accordance with the .provisions of the Texas Library Systems Act, Tex.. Rev. Civ. Stat. Ann..art.- 5446a; and WHEREAS, the Texas Library Systems Act provides that go- erning bodies within a major resource system area may collectively contract to provide for library services for participating libraries; and LI 1 J C: 70813 -4c EWB14 6/5/87 WHEREAS, Houston and the Participating Library agree to provide, joint funding for the Houston Area Library Automated Network; . NOW, THEREFORE, for and in consideration of the mutual covenants and obligations herein contained, the Houston Public Library and the Participating Library do hereby agree as follows: I. Purpose. The Texas State Library through a series of grants has funded the procurement, operation and maintenance of the Houston Area Library Automated Network serving the Houston Public Library as well as the various Participating Libraries. During the Texas State Fiscal Year 1988 grant funding will terminate. Consequently the Houston Public Library and the various Participating Libraries have undertaken the joint funding and operation of the Houston Area Library Automated Network as detailed herein. II. Definitions. Terms used shall have the following meaning for purposes of this Agreement: A. "Additional Terminal Units" are described in Article IX. B. "Central Site Equipment" means the central processing unit and associated equipment located at 500 McKinney Avenue, Houston, Texas. -2- 70813 -4d EWB 14 6/5/87 C. "Communication Lines" means leased telephone lines over which data may be transmitted between the Central ® Computer Site and a Participating Library. D. "Computerized Library Services" are defined in Article III. E. "Contract Year" means the time period of September 1 through August 31. F. "Director" means the Director of Libraries for the City of Houston. n -3- G. "Houston Area Library Automated Network," sometimes designated "HALAN," means the. combination of all computer equipment and software used to provide Computerized Library Services as described herein. "Houston H. Area Library Automated Network Fund," sometimes designated "HALAN Fund," is defined in Article III(D). I. Houston Public Library, Texas State Librar y. and "Participating Library" are defined in the Preamble to this Agreement. When "Participating Library" is used in the plural or in a generic sense it refers to each and every governing body which has executed this identical agreement with the Houston Public Library for Computerized Library Services. J. "Local Site Equipment" means computer equipment that is ® part of the Houston Area Library Automated Network, which is located at the site(s) of a Participating Library. n -3- Ll C 70813 -4e EWB14 6/5/87 K. "Locally -owned Equipment" means terminals and peripheral devices which are purchased by the Participating Library and which are approved for use with the Houston Area Library Automated Network by the Houston Public Library. L. "Materials" means books, pamphlets, periodicals, and other printed and audio- visual items stocked and circulated by libraries to the general public. M. "Network Advisory Board" is described in Article XI. N. "Telecommunications Equipment" means modems and multiplexors used to communicate with the Central Site Equipment. 0. "Terminal Unit" means a keyboard display device, an OCR wand reader (on site at either the Houston Public Library or a Participating Library) plus that portion of the Central Site Equipment necessary to provide Computerized Library Services. III. Duties of the Houston Public Libra A. The Houston Public Library shall provide the following on -line services ( "Computerized Library Services ") for Participating Libraries through operation of the Central Site Equipment: 1) basic circulation support (charge, discharge, automatic calculation of fines, patron registration and control); -4- EWB14 70813 -4f 6/5/87 2) production of overdue notices at user - specified intervals; 3) management reports, including, but not limited to, circulation statistics, patron registration statistics, and collection size statistics; 4) database maintenance, include cataloging, bibliographic maintenance, item creation and maintenance; and 5) materials booking support. Hours of service shall be as follows: 7:30 A.M - 9:00 P.M. Mon. -Fri. 8:00 A.M - 6:00 P.M. Saturday 12:30 P.M - 6:00 P.M. Sunday Provided, however, Computerized terized Librar Y Services will not be available,, New Year's Day, Memorial Day, the Fourth of July, Labor Day, Thanksgiving Day, and Christmas Day; and provided further, that the Network Advisory Board may establish other holidays or days during which only limited services are available. B. In addition to the Computerized Library Services described above, the Houston Public Library shall provide Participating Libraries the following services: 1) training in use of these functions at local and central site; and ® 2) assistance in the purchase, installation and maintenance of Locally -owned Equipment. C -5- 70813 -4g EWB14 6/5/87 ® C. The Houston Public Library shall maintain and operate the Central Site Equipment. Its maintenance and operation functions ® include the following: 1) provide adequate space and lighting for the Central Site Equipment; 2) pay costs of power necessary to run the Central Site Equipment and provide air conditioning for the Central Site Equipment; 3) Maintain the Central Site Equipment as required; 4) Act as purchasing agent for the Central Site Equipment; 5) Monitor the Communication Lines; and 6) Provide fire and hazard insurance for Central Site Equipment. D. The Houston Public Library shall budget for and maintain the Houston Area Library Automated Network Fund, into which user fees shall be paid. Such Fund shall be audited yearly at the time other City of Houston funds are audited. The audit report for the HALAN Fund shall be distributed to each Participating Library. E. Subject to the provisions of Article V, the Houston Public Library shall pay its share of user fees, which shall equal: TU X TUC ® _ Where: TU is the number of Terminal Units serving the Houston Public Library; and EWB14 70813 -4h 6/5/87 TUC is the assessed per terminal cost for a particular Contract Year. ® For the initial year of this contract the Houston Public Library will be served by one hundred twenty -two Terminal Units at a cost of $ 2,540 each, for a total user charge of $ 309,880 F. The Houston Public Library shall maintain the Central Site Equipment in such a fashion as to provide for minimal down time, but will assume no liability if the HALAN experiences down time despite reasonable efforts to prevent it. The Houston Public Library may when necessary temporarily suspend the availability of Computerized Library Services because of operational or maintenance requirements of the HALAN. The Houston Public Library shall provide the Participants with reasonable prior notice of the unavailability of Computerized Library Services whenever such unavailability can be foreseen. The Houston Public Library acts merely in the capacity of an operating agent to provide the services described herein and does not warrant or guarantee the HALAN and shall not be liable for any damages to Participating Libraries arising out of failure of the HALAN or the use thereof. IV. Duties of the Participatina Libra A. The Participating Library shall be responsible for providing the following at its own site: 1. For the initial year of this contract the Participating Library will be served by six Terminal Units at a cost of $ 2,540 each, for a total user charge of $ 15,240 I:Z 2. Overdue forms. notice j I® 3. Maintenance of all Local Site Equipment. (Maintenance vendors must be approved by the Director of the Houston Public Library) 4. Contract for Communication Lines and pay the costs therefor. 5. Pay for electrical and other work necessary for the installation, operation and maintenance of the Local Site Equipment. B. On or before September 1 of each Contract Year and subject to the provisions of Article V. the Participating Library shall pay to the Houston Public Library for deposit in the Houston Area Library Automated Network Fund user fees, which shall equal: TU X TUC U LJ Where: TU is the number of Terminal Units serving the Participating Library; and TUC is the assessed per terminal cost for a particular contract year. Disposition of Grant Monies A. The Texas State Library through its funding of the ® Houston Area Library System ( "HALS ") may provide grant monies for the HALAN. Such funding is subject to review by libraries that are members of the Houston Area Library System and the approval of the HALS Advisory Council. Participating Libraries in HALAN as members .of HALS have the same rights of review of the HALS grant budget as all other members of HALS. Such funding may reduce but will not eliminate user fees. Although the various Contract Years LJ of this Agreement and the Texas state fiscal years are coincident, it is anticipated that grant agreements with the Texas State Library may be executed after approval of the HALAN budget or after payment of user fees for a particular Contract Year. Accordingly the Houston Public Library and the Participating Libraries agree as follows with regard to grant funding from the Texas State Library: 1. The Houston Public Library shall have authority to enter into grant agreements with the Texas State Library in support of HALAN. 2. The terms and conditions provided in such grant agreements shall be incorporated as provisions of this Agreement. 3. The Director of the Houston Public Library is authorized to grant the Houston Public Library and the Participating Libraries credits toward payment of their respective user 70813 -4k EWB14 6/5/67 ® fees or refunds of user fees already paid in accordance with the grant agreement with the Texas State Library. ® Whenever the Director provides for such credits or refunds, he shall supply each Participating Library a copy of the subject grant agreement together with a statement of the manner in which the credits or refunds are derived for each of the Participating Libraries and the Houston Public Library. B. It is anticipated that for the 1988 Texas state fiscal year approximately $340,000 of grant money will be available from the Texas State Library based on anticipated telecommunications costs for the Houston Public Library and the Participating Libraries. The grant monies, if available, will be used for granting credits to the Houston Public Library and the various Participating Libraries toward payment of user fees rather than direct payment of telecommunications charges. A schedule detailing allocation of the anticipated grant from the Texas State Library is attached hereto as Attachment C. VI. Ownership of Equipment Ownership of the various items of equipment comprising the HALAN is described in the following table. Description ® A. Equipment purchased with funds of the Partici- pating Library or the Houston Public Library Title Title is in the entity which purchased the equipment. -10- 70813 -41 EWB14 6/5/87 C VII. Network Standards, Rules and Procedures. All Participating Libraries shall participate in the Houston Area Library Automated Network on the same terms, and have signed identical agreements with the Houston Public Library. As participants of the Network, Participating Libraries agree to meet cataloging and equipment standards as described in Attachment A. -11- B. C VII. Network Standards, Rules and Procedures. All Participating Libraries shall participate in the Houston Area Library Automated Network on the same terms, and have signed identical agreements with the Houston Public Library. As participants of the Network, Participating Libraries agree to meet cataloging and equipment standards as described in Attachment A. -11- 70813 -4m EWB14 6/5/87 VIII. Sharing Resources. The bibliographic database has been constructed by Houston ® Public Library and -the Participating Libraries for use by the current and future participants, and as such is a shared resource among the Houston Public Library and the Participating Libraries. The Participating Libraries and the Houston Public Library agree to use this shared resource for internal library purposes only, and not to sell or otherwise provide information to third parties for purposes other than local library use. IX. Acquisition of Additional Terminal Units. During the term of this Agreement. the Houston Public Library shall act as purchasing agent for the acquisition of Additional ® Terminal Units for itself and the Participating Libraries. Costs per unit will vary from year -to -year depending on the number of Participating Libraries which wish to acquire Additional Terminal Units. X. Term and Termination. A. The initial term of. this Contract runs from September 1, 1987 to August 31, 1988. This Contract is renewable annually for one -year renewal terms, each running from September 1 to August 31, in accordance with the following procedure: The Director of ® the Houston Public Library not later than sixty (60) days prior to the expiration of any Contract Year will declare the intent of the n -12- 70813 -4n EWB14 6/5/87 Houston Public Library to continue operation of the Houston Area Library Automated Network for the forthcoming Contract Year, ® contingent on the availability of .adequate operating funds. The Director will send each Participating Library a copy of his declaration, together with a schedule of user fees for operation and maintenance of the Houston Area Library Automated Network for the forthcoming year. This schedule of costs shall include a proposed budget similar to Attachment B (Budget for 1987 -88 Contract Year) and may include the cost for purchasing Additional Terminal Units for the forthcoming year. Each schedule of costs must be approved by the Network Advisory Board described in Article X. Payment by the Participant of the user fees on or before the commencement (September 1) of a particular Contract ® Year shall constitute renewal of this Contract for the particular Contract Year. For good cause the Director may extend the date payment is due. Renewal by the Houston Public Library shall be authorized by ordinance adopted by the Houston City Council and duly certified by the Controller of the City of Houston. B. The Participating Library has the right to terminate this Agreement by sending at least 90 days' written notice to the Director. C. The Houston Public Library through the Director may terminate this agreement for cause in the event the Participating ® Library fails to comply with any of its obligations under this Agreement and such failure is not cured prior to the thirtieth -13- E, v 70813 -4o EWB14 6/5/87 (30th) day after the Director's notice of termination is received by the Participating Library. To be effective, the Director's notice of termination must: (1") give an effective date of termination (which must be at least 30 days after receipt of notice by Participating Library); and (2) cite the specific activities or omissions of the Participating Library which are noncompliant with the terms of this Agreement. D. In the event this Contract is terminated either for convenience or for cause as provided herein, the Participating Library within two (2) weeks of the effective date of termination shall return to the Houston Public Library all Houston Public Library and Texas State Library equipment, and the Houston Public Library shall: (a) terminate access to the HALAN on the effective date of termination and (b) shall offload the Participating Library's data base onto computer tapes provided by the Participating Library. XI. Network Advisory Board. A. In .order to provide oversight, review and.guidance to the operation, funding and future development of the Houston Area Library Automated Network there is hereby created the Network Advisory Board. Initial membership of the Network Advisory Board shall be determined as follows: three (3) members Appointed to serve by the City Council of Houston -14- EWB14 ® two (2) members ® one (1) member 70813 -4p 6/5/87 Appointed to serve by the Harris County Commissioners Court Appointed. by unanimous agreement by other Participating Libraries Terms of office shall be two years, concurrent with two (2) Contract Years as defined herein. Upon the expiration of the members' terms of office or resignation, vacancies shall be filled as follows: three (3) members chosen by the Houston City Council, two (2) members chosen by Harris County Commissioners Court, and one (1) member chosen by unanimous choice of the remaining Participating Libraries. B. Duties of the Network Advisory Board shall include the following: 1. Holding a meeting at least twice each Contract Year. 2. Establishing its own rules of procedure, except that a quorum shall equal five members and that simple majority shall be required for passage of any measure. 3. Providing by -laws not inconsistent with this agreement relating to the operation, funding, development and governance of the Houston Area Library Automated Network. -15- EWB14 70813 -4q 6/5/87 4. Approval of user fees and costs for Additional Terminal Units each Contract Year. Approval of yearly budget for the .Houston Area Library Automated Network Fund. XII. Patron Information. Patron information in the Houston Area Library Automated Network database remains the property of the Participating Library which entered it. Except to the extent required by the Texas Open Records Act, such information shall be restricted to necessary official in- library use of the Participating Library and Houston Public Library, and shall not be released to others without the written consent of the library which entered it. XIII. Additional Participating Libraries; Favorable Amendments After September 1, 1988 additional Participating Libraries may be added to the HALAN by agreement with the Houston Public Library. Any such additional Participating Library shall: (1) execute an agreement with the Houston Public Library substantially identical to this Agreement, and (2) shall pay user fees that are applicable for the particular Contract Year during which the Participating Library is added to HALAN. Any amendments to this Agreement that have the effect of providing lower costs or otherwise more - favorable terms shall be simultaneously tendered to all other Participating Libraries. -16- 70813 -4r EWB14 6/5/87 XIV. Provisions of State and Federal Law. This Agreement is subject to all applicable provisions of the ® laws of the United States of America and the State of Texas, including but not limited to, the Texas Library Systems Act, Tex. Rev. Civ. Stat. Ann. art. 5446a. XV. Limitation of Funds Notwithstanding anything herein to the contrary or that may be construed to the contrary, it is understood that the Participating Library has the total maximum sum of $15,240 specifi- cally allocated to fully discharge any and all liabilities which may be incurred by Participating Library, including any and all costs for any and all things or purposes, ensuing under or out of ® this Agreement, irrespective of the nature thereof. Policy on Bibliographic Data Base Maintenance: A. Some information detailed in this section may also be found in the "Da- tabase Maintenance Manual ", latest edition developed by the HALS UTLAS Users Group. This manual is considered part of the Network Standards, Rules, and Procedures. B. In order to avoid unnecessary duplication of bibliographic records, Participating Libraries should use a standard item record creation (i.e., conversion) approach consisting of an online search using at least the Library of Congress card number, author, and title. 70813 -4u HOUSTON AREA LIBRARY AUTOMATED NETWORK NETWORK STANDARDS, RULES AND PROCEDURES Page 2 ® C. Converting and cataloging fiction: 1. Record information for new books using the author shown on the title page. 2. Record information for retrospective conversion titles not previ- ously entered by another library as it is now in your catalog. 3. For retrospective conversion titles already entered by another library, a library should add its copies to that record. If the .record uses a different author's name, the library should do as follows: a) If the author already in the file is obviously not the title page author, the library adding extra copies should correct the author. b) If the author already in the file differs from the author in the catalog or shelf list of the inquiring library and it is not obvious which is the title page author, the inquiring lib- rary should enter its holdings under the catalog record as it stands, and may enter an author added entry for its form of the author's name. 4. Libraries may enter variant editions of fiction if their own needs dictate. They may,-if they wish, add their own holdings to any of the various editions of a fiction title without regard for pub- lisher, date, critical annotations, etc. D. Converting and cataloging non - fiction: 1. Each library should enter as full information as is available us- ing the Library of Congress established main entry if available. 2. Each edition of a separate non - fiction work should be entered as a separate record. 3. Retrospective conversion titles not already entered by another library should be entered as recorded in the catalog or shelf list of the inquiring library (both main entry and subject catalog- ing). ® 4. Other libraries may upgrade cataloging by changing the main entry to the Library of Congress standard or by adding additional infor- mation so long as they are concerned with exactly the same edi- tion. Libraries are encouraged to upgrade outdated subject headings found in the file to the most current LC subject heading form. E. Converting and cataloging rush /best seller items: For libraries wishing to enter a brief catalog record for rush items, it is required that the author, title, and LC card number be entered. The entering library may upgrade the record later when full cataloging information becomes available or another library may upgrade the record if it needs that title record and has more current information avail- able. F. Generic titles: For libraries wishing to convert their non - cataloged collections (espe- cially paperbacks and audio- visual materials), a number of generic records have been entered into the database. These records may be used for conversion of these items; if the library desires, an item note with a specific title or item information may be added to each item record. The Automation Office at the Central Computer Site distributes this list as new generic titles are added. Additional copies may also be requested from the Database Manager in the Automation Office. G. Deletions: Until further notice no bibliographic records will be deleted.
