AN ORDINANCE AUTHORIZING AND DIRECTING THE MAYOR TO
EXECUTE AND THE CITY CLERK TO ATTEST TO A MANAGEMENT
CONTRACT WITH B. H. GREER FOR DATA PROCESSING SERVICES;
AND PROVIDING FOR THE EFFECTIVE DATE HEREOF.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN,
TEXAS:
Section 1: That the City Council of the City of Baytown,
Texas, hereby approves a contract with B. H. Greer and authorizes
the Mayor, and City Clerk of the City of Baytown to execute and
attest to said Contract for data processing services. A copy of
said contract is attached hereto, marked Exhibit "A," and made a
part hereof for all intents and purposes.
Section This ordinance shall take effect immediately
from and after, its passage by the City County of the City of
Baytown.

This contract is made and entered into by and between the
City of 9aytown, Texas, a municipal corporation, hereinafter
called the "City," and R. H. Greer, hereinafter called the
"Manager," this the day of September, 1985, the
parties having agreed to the following terms and conditions:
For and in consideration of the compensation provided in
paragraph II, Manager will plan and direct the City's data
process inq operations consistent with the Scope of Services of
the Facilities Manaqer formulated by the City of Baytown, a copy
of which is attached hereto marked Exhibit "A," and made a part
hereof for all intents and purposes.
It is agreed and understood that the City and the Manager
will set priorities in regards to system maintenance, operation,
and developments. These priorities shall outline work flow,
goals, and timetables, and shall be reduced to writing. It is
further agreed and understood that modifications to the goals set
for any fiscal year durinq the duration of this contract shall be
mutually agreed upon by the City and the Manager, and shall be
compensated on a scale as indicated in paragraph II. These
modifications will also outline workflow, goals, and timetables,
and shall also be reduced to writina.

The City will pay the Manager $40,008.00 for the services
covered by this contract. Payment will be in twelve eaual
payments of $3,334.00 due on or before the fifth day of each
month of the month in which service is rendered.
The work schedule for the contract year will be drawn up
durinq the month of October.
It is further agreed and understood that the City may desire
additional modification over and above those originally agreed to
at the beoinninq of the year and that for the performance of such
additional services the manager shall be compensated at the
following hourly rates.

The term of this contract shall be for a period of one (1)
year beoinninq October 1, 1986 , and ending September 30, 1987.
Either oarty hereto may cancel this contract upon sixty (60) days
written notification to the other party. Any amount due for any
part of a month shall be pro rated.
IV
It is agreed and understood that although the Manager may be
using employees other than R. H. Greer to perform portions of the
work contemplated by this contract, the contract is for

professional personal services and that the City is relying upon
the special and personalized knowledge of B. H. Greer; therefore,
this contract is not assignable.

SCOPE OF SERVICES - FACILITIES MANAGER
The Facilities Manager will be responsible for planning and
directing the technical work flow of the City's onqoing data
processinq operations. This will include employee technical
training, operating procedures development, system backup, and
system security. He will also be responsible for the maintenance
and development of new and existing data processing systems. This
will include the analvsis of the work flow involved in any of the
data processing systems, includino work flows in user departments
needing data processing services, the development or enhancement
of the general systems design of new or existing systems, the
programming and testino of new programs and the maintenance or
modification of existing programs, the development of data
conversion plans and procedures, the preparation of documentation
on new and existing systems specifically including computer
operatinq manuals and kevpunch manuals, the implementation of new
systems, and the traininq of user department employees in the use
of new systems. He will also be responsible for advising the
City staff on the use of the City's data processing equipment and
problems associated with data processing operations. The Manager
may assign the tasks of writing and testinq new programs and the
preparation of documentation to his employees.

The Manager will coordinate his work with the City staff
which will be responsible for setting production priorities and
making decisions concerning priorities for program maintenance
and new systems development. The City staff will also retain
responsibility for personnel management of City data processing
employees.
