H. Greer, d /b /a Computer Consulting Services, and authorizes the Mayor and City Clerk of the City of Baytown, to execute and attest to said Contract for data processing services. A copy of said contract is attached hereto, marked Exhibit "A," and made a part hereof for all intents and purposes. Section 2: This ordinance shall take effect immediately from and after its passage by the City Council of the City of Baytown. S NG, ity orney ALLEN CANNON, Mayor �J 171 I,. 11-E STATE OF TEXAS § § C NTRACT caiNTY of HARR I S § This contract is made and entered into by and between the City of Baytown, Texas, a municipal corporation, hereinafter called the "City," and Greer Computer Consulting, Inc., hereinafter called the "Manager," this the 20th day of November, 1984, the parties having agreed to the following terms and conditions: I For and in consideration of the compensation provided in paragraph II, Manager will plan and direct the City's data processing operations consistent with the Scope of Services of the Facilities Manager formulated by the City of Baytown, a copy of which is attached hereto marked Exhibit "B," and made a part hereof for all intents and purposes. It is agreed and understood that the City and the Manager will set priorities in regards to system maintenance, operation, and developments. These priorities shall outline work flow, goals, and timetables, and shall be reduced to writing. It is further agreed and understood that modifications to the goals set for any fiscal year during the duration of this contract shall be mutually agreed upon by "the City and the Manager, and shall be compensated on a scale as indicated in paragraph I1.. These modifications will also outline workflow, goals, and timetables, and shall also be reduced to writing. li The City will pay the Manager $40,000.00 for the services covered by this contract. Payment will be in twelve equal payments of $3,334.00 due on or before the fifth day of each month of the month in which service is rendered. The work schedule for the contract year will be drawn up during the month of October. LJ C] ;i It is further agreed and understood that the City may desire additional modification over and above those originally agreed, to at the beginning o( tn° year and that for the performance of such additional services the manager shall be compensated at the following hourly rates. EWLOYEE RATE PER 1-O-R Bob Greer $30.00 i any other GCC employee $25.00 � II1 The term of this contract shall be for a period of one (1) year beginning October 1, 1984, and ending September 30, 1985. Either party hereto may cancel this contract upon sixty (60) days written notification to the other party. Any amount due for any part of a month shall be pro - rated. ME IV It is agreed and understood that although the r.Aanager may be using employees other than B. H. Greer to perform portions of the work contemplated by this contract, the contract is for professional personal services and that the City is relying upon the special and personalized knowledge of B. H. Greer; therefore, this contract is not assignable and further it shall be declared void at such time B. H. Greer ever sells or divests himself of Computer Consulting Services. H. d2EER------- - - - - -- C SCOPE OF SERVICES - FACILITIES MANAGER The Facilities Manager will be responsible for planning and directing the technical work flow of the City's ongoing data processing operations. This will include employee technical training,, operating procedures development, system backup, and system security. He will also be responsible for the maintenance and development of new and existing data processing systems. This will include the analysis of the work flow involved in any of the data processing systems, including work flows in user departments needing data processing services, the development or enhancement of the general systems design of new or existing systems, the programming and testing of new programs and the maintenance or modification of existing programs, the development of data conversion plans and procedures, the preparation of documentation on new and existing systems specifically including computer operating manuals and keypunch manuals, the implementati,,n of new systems, and the training of user department employees in the use of new systems. He will also be responsible for advising the City staff on the use of the City's,data processing equipment and problems associated with data processing operations. The 'Manager may assign the tasks of writing and testing new programs and the preparation of documentation to employees of Computer Consulting Services The Manager will coordinate tiis work with the City staff which will be responsible for setting production priorities and making decisions concerning priorities for program maintenance and new systems development. The City staff will also retain responsibility for personnel management of City data processing employees. r u Ll
