That the City Council of the City of Baytown, Texas, hemby aWOVes a contract with Retired Senior Volunteer Program and authorizes the City Manager and City Clerk of the City of Baytown to execute and attest to said Contract for the registration, recruitment and coordination of senior volunteer community service. A COPY of said contract is attached hereto, marked Exhibit "A", and mede a part hereof for all intents and purpOft& Section 2: The City Council hereby authorizes payment of THREE THOUSAND ONE HUNDRED EIGHTY SIX AND NO /100 ($3,186.00) DOLLARS to Retired Senior Volunteer Program for the registration, recruitment and coordination of senior volunteer community service. Section 3: This ordinance shall take effect immediately from and after its Passage by the City Council of the City of Baytown. W I TN£ SSE TH: NHEREAS, the Retired Senior Volunteer Program has been organized to strengthen and supplement efforts to meet a broad range of human, social, and environmental needs by encouraging and enabiing constructive volunteer service in agencies, institutions and situations where the application of human talent and dedication may help to meet such ends; and 110*31EAS, the City Council of the City of Baytown has determined it is in the public interest that such a program to help retired persons avail themselves of opportunities for volunteer service in the community is in the public interest; NOW TMtEFCW, 1 NDN ALL KN BY THESE IF'RESENTSs That in consideration of the mutual covenants, agreements, and benefits to both parties, it is agreed as follows: A I The Program Applicant, es independent contractor, agrees to register non - profit and public agencies and institutions in the City of Baytown that are in need of volunteers, to recruit men t and women over sixty to act as volunteers, to support and publicize these senior volunteers, and to do all other acts necessary for the successful operation of this civic enterprise. II This Agreement is to cover services to be rendered from October I, 1983, to September 30, 1984. I EKW A 4Q III The City agrees to pay to Retired Senior Volunteer Program the sum of Three Thousand One Hundred Eighty -Six and No /k00 ($3,186.00) Dollars for service to be rendered in the development, organization, supervision, and management of this Program. The City agrees to pay the Program Applicant in advance in equal quarterly payments of Seven Hundred Ninety -Six and 50 1100 (:796.50) Dollars. In no event will the City pay more than Three Thousand One Hundred Eighty -Six and No/IOU ($3,186.00) Dollars to the Program Applicant. Payments shall be made on March 31st. IV In performance of the services agreed to herein, the Program Applicant agrees to observe and strictly comply with all the terms, conditions, rules, and regulations of all applicable federal, state, and city statutes. V Program Applicant agrees to furnish the City with a copy of its 1984 annual budget. A written annual report shall be f sulm-nittad to the City Manager which shall include the year's activities. VI It is expressly agreed and understood by all parties hereto that the Program Applicant is an independent contractor in its relationship to the City of Baytown. Nothing herein contained at any time or in any manner shall be construed to effect an agreement of partnership or joint venture or render any party . hereto the employer or master of any other party and /or its employees, agents or representatives. VII The Program Applicant agrees to indemnify, and does hereby indemnify, hold harmless and defend, the City of Baytown, its agents, servants, or employees, from and against any and all 2 40308 -bc claims for damages or injuries to persons or property, whether F081 or asserted, arising out of or inc-dent to the operation of this program.
