Ordinance No. 3,69431006 -2 ORDINANCE NO. 3694 AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF BAYTOWN AUTHORIZING AND DIRECTING THE MAYOR AND CITY CLERK OF THE CITY TO EXECUTE AND ATTEST TO A MANAGEMENT CONTRACT WITH B. H. GREER, D /B /A COMPUTER CONSULTING SERVICES, FOR DATA PROCESSING SERVICES AND PROVIDING FOR THE EFFECTIVE DATE HEREOF. BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS: Section 1: That the City Council of the City of Baytown hereby authorizes and directs the Mayor and City Clerk of the City of Baytown to execute and attest to a management contract with B. H. Greer, d /b /a Computer Consulting Services, for data processing services. A copy of said contract is attached hereto, marked Exhibit "A ", and made a part hereof for all intents and purposes. Section 2: This Ordinance shall take effect immediately from and after its passage by the City Council of the City of Baytown. STRUNG, Cit Attorney 31006 -2a EXHIBIT "A" 31006 -2b THE STATE OF TEXAS § C0.NTY OF KWR I S § This contract is made and entered into by and between the City of Baytown, Texas, a municipal corporation, hereinafter called the "City ", and Greer Computer Consulting, Inc., hereinafter called the "Manager ", this the day of 1983, the parties having agreed to the following terms and conditions: 1. For and in consideration of the compensation provided in paragraph I I , Manager wi 1 1 pl an and di rect the Ci ty's data processing operations consistent with the Scope of Services of the f=acilities Manager formulated by the City of Baytown, a copy of which is attached hereto marked Exhibit "A ", and made a part hereof for all intents and purposes. It is agreed and understood that the City and the Manager will set priorities in regards to system maintenance, operation, and developments. These priorities shall outline work flow, goals, and timetables, and shall be reduced to writing. It is further agreed and understood that modifications to the goals set for any fiscal year during the duration of this contract shall be mutually agreed upon by the City and the Manager, and shall be compensated on a scale as indicated in paragraph II. These modifications will also outline workflow, goals, and timetables, and shall also be reduced to writing. II. The City will pay the Manager $40,008.00 for the services covered by this contract. Payment will be in twelve equal payments of $3,334.00 due on or before the fifth day of each month of the month in which service is rendered. The work schedule for the contract year will be drawn up during the month of October. 33.006 -2c It is further agreed and understood that the City may desire additional modification over and above those originally agreed to at the beginning of the year and that for the performance of such additional services the manager shall be compensated at the following hourly rates. EMPLOYEE RATE PER HOUR Bob Greer $30.00 any other GCC employee $25.00 III. The term of this contract shall be for a period of one (1) year beginning October 1, 1983, and ending September 30, 1984. Either party hereto may cancel this contract upon sixty (60) days written notification to the other party. Any amount due for any part of a month shall be pro rated. IV. It is agreed and understood that although the Manager may be using employees other than B. H. Greer to perform portions of the work contemplated by this contract, the contract is for professional personal services and that the City is relying upon the special and personalized knowledge of B. H. Greer; therefore, this contract is not assignable and further it shall be declared void at such time B. H. Greer ever sells or divests himself of Computer Consulting Services.
