Ordinance No. 2,97900925 -8 ORDINANCE NO. 2979 AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF BAYTOWN AUTHORIZING AND DIRECTING THE MAYOR AND CITY CLERK OF THE CITY TO EXECUTE AND ATTEST TO A FACILITIES MANAGE - MENT CONTRACT WITH B. H. GREER, d /b /a COMPUTER CON- SULTING SERVICES, FOR DATA PROCESSING SERVICES AND PROVIDING FOR THE EFFECTIVE DATE HEREOF. BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS: Section l: That the City Council of the City of Baytown hereby authorizes and directs the Mayor and City Clerk of the City of Baytown to execute and attest to a facilities management contract with B. H. Greer, d /b /a Computer Con- sulting Services, for data processing services. A copy of said contract is attached hereto, marked Exhibit "A ", and made a part hereof for all intents and purposes. STRONG, City A orney Oo925 -8a E X H I B I T "A" 00925 -.8b THE STATE OF TEXAS COUNTY OF HARRIS This contract made and entered into by and between the City of Baytown, Texas, a municipal corporation, hereinafter called the "City ", and B. H. Greer, doing business as Computer Consulting Services, hereinaf ter called the "Manager ", this theday o / , 1980, witnesseth that: I. For and in consideration of the compensation provided in paragraph II, Manager will plan and direct the City's data processing operations consistent with the Scope of Services of the Facilities Manager formulated by the City of Baytown, a copy of which is attached hereto marked Exhibit "A ", and made a part hereof for all intents and purposes. It is specifically agreed and understood by the parties hereto that the planning and directing of the City's data processing operations contemplated by this contract should require no more than fifteen hundred (1,500) hours in the 1980 -81 fiscal year and that fifteen hundred (1,500) hours is the maximum number of hours that Manager and his employees shall be required to devote to the performance of these duties during the 1980 -81 fiscal year. It is further agreed and understood that the City shall set at its discretion prior to the beginning its 1981 -82 and 1982 -83 fiscal years a maximum number of hours that the Manager and his employees shall be required to work for the City in each of these fiscal years. In each fiscal year the maximum number of hours shall be not less than one thousand (1,000) hours, and the maximum shall be determined by the City according to its need. The City shall submit its maximum number of required hours to the Manager in writing no less than thirty (30) days after the beginning of each fiscal year. 00925 -8c II. City will pay the Manager during the 1980 --81 fiscal year the sum of Thirty Thousand and No /100 ($30,000.00) Dollars which shall be computed using the following hourly rates: B. H. Greer Systems Analysts Programmers $25.00 per hour $20.00 per hour $18.00 per hour Payments shall be made in twelve (12) equal monthly payments on or before the fifth day of the month following the month of service to the Manager by the City. It is further agreed and understood that the City may desire additional services over and above the maximum number of hours of work required in the fiscal year and that for the performance of such additional services the Manager shall be compensated at the following rates: B. Greer Systems Analysts Programmers ?30.00 per hour $25.00 per hour $20.00 per hour It is further agreed and understood that the hourly compensation for the Manager and his employees may be increased in the City's 1981 -82 and 1982 -83 fiscal years up to, but no more than the percentage increase granted to City employees by the City Council of Baytown as a cost of living salary increase. III. The term of this contract shall be for a period of three (3) years beginning October 1, 1980 and ending September 30, 1983. Either party hereto may cancel this contract upon sixty (60) days written notification to the other party. Any amount due for any part of a month shall be pro rated. -2- 00925- 8d IV. If funds are not appropriated to continue the planning and data processing of the City's operations contemplated by this agreement and for the payment of the fees hereunder, City may terminate this agreement at the end of its current fiscal period. City will pay to Manager all charges incurred through the end of such fiscal period. V. It is agreed and understood that although the Manager may be using employees other than B. H. Greer to perform portions of the work contemplated by this contract, the contract is for professional personal services and that the City is relying upon the special and personalized knowledge of B. H. Greer; therefore, this contract is not assignable and further it shall be declared void at such time B. H. Greer ever sells or divests himself of Computer Consulting Services. G EER -3- 00925 -Se E X H I B I T "A" 0925 -Sf SCOPE OF SERVICES - FACILITIES MANAGER The Facilities manager will be responsible for planning and directing the technical work flow of the City's ongoing data processing operations. This will include employee technical training, operating procedures development, system backup, and system security. He will also be responsible for the maintenance and development of new and existing data processing systems. This will include the analysis of the work flow involved in any of the data processing systems, including work flows in user departments needing data processing services, the development or enhancement of the general systems design of new or existing systems, the programming and testing of new programs and the maintenance or modification of existing programs, the development of data conversion plans and procedures, the preparation of documentation on new and existing systems specifically including computer operating manuals and keypunch manuals, the implementation of new systems, and the training of user department employees in the use of new systems. He will also be responsible for advising the City staff on the use of the City's data processing equipment and problems associated with data processing operations. The Manager may assign the tasks of writing and testing new programs and the preparation of documentation to employees of Computer Consulting Services. The Manager will coordinate his work with the City staff which will be responsible for setting production priorities and making decisions concerning priorities for program maintenance and new systems development. The City staff will also retain responsibility for personnel management of City data processing employees.
