ORDINANCE NO. 32 -- AN ORDINANCE AUTHORIZING THE CITY W01 -AGER TO EXECUTE A CONTRACT 11TH THE KAR.PARK CORPORATION, 2453 GILBERT AVENUE, CINCINNATI 6, OHIO, FOR AND BEHALF OF THE CITY, IN CONNECTION WITH THE PURCHASE AND INSTALLATION OF PARKING METERS IN THE CITY OF BAYTO'NN. BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN: 1. That the City Manager be and he is hereby authorized to exe- cute a contract on behalf of the City of Baytoom, Texas with THE KARPARK CORPORATION of 2453 Gilbert Avenue, Cincinnati, Ohio, for the purchase and installation of parking meters in the City of Baytcw n, 10 more fully set forth in said contract, a copy of which attached hereto and marked Exhibit "A ", reference.to which is here made for all purposes, and the City Clerk be and she is hereby authorized to affix the corporate seal of said City to said contract and attest said seal. 2. This ordinance shall take affect from and after the date of its passage. Willi s, Mayor Pro-'Tem 0 ATTEST: Edna Oliver, City --clerk • -1- 1�" y • EXHIBIT "All THIS AGREEMENT made this 8th day of December, 1918, between THE KARPARK CORPORATION, a Corporation organized and existing under the laws of the State of Delaware with its principal office at 2153 Gilbert Avenue, Cincinnati 6, Ohio (hereinafter called "the Company ")., party of the first part and the CITY OF BAYTOWN (hereinafter called "the City "), party of the second part, WITNESSETH: WHEREAS the Company on November 4, 1948, duly filed its pro- posal in writing for the furnishing of automatic parking meter units in the City, Sh ich proposal eras on December 7, 1918, duly accepted by the City. NOW THEREFORE, it is hereby mutually agreed by and between the parties hereto as follows: 1. That the Company will furnish to the City under and in full compliance with the Company's proposal and specifications dated November 4, 1918 for five hundred seventy -five (575) Model KS -PNN KARPARK automatic parking meters at and for the price of seventy -one dollars and twenty -five cents ($,71.25) per each parking meter, or a total price of forty thousand nine hundred sixty -eight and seventy -five cents ($640,968.75). 2. That the City, in consideration of the above, hereby agrees to pay to the Company the aforesaid sum of forty thousand nine hundred sixty -eight and seventy -five cents (840,968..75) according to payment plan (a) of Section No. 5 of said proposal, and otherwise the City agrees to do and perform all matters and things required of it under the said proposal; provided however that the Company shall not be reimbursed for freight charges in any manner whatsoever. 3. The Company's said proposal and specifications are hereby by this reference made a part of this contract as though specifically incor- porated and set forth herein.
