Ordinance No. 14,003ORDINANCE NO. 14,003 AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS, APPROVING THE SECOND AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT BETWEEN THE BAYTOWN AREA WATER AUTHORITY AND HATCH ASSOCIATES CONSULTANTS, INC., F/K/A SHRADER ENGINEERING INC., FOR THE BAWA SCADA UPGRADE PROJECT; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. **************************************************************************************************** WHEREAS, the Baytown Area Water Authority's enabling legislation requires that the City Council approve certain agreements before Baytown Area Water Authority (`BAWA") enters into the same; and WHEREAS, on January 16, 2019, the Board of Directors of BAWA approved the Second Amendment to the Professional Services Agreement with Hatch Associates Consultants, Inc., f/k/a Shrader Engineering Inc., for the BAWA SCADA Upgrade Project; and WHEREAS, the City of Baytown desires to approve such agreement; NOW THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS: Section 1: That the recitals set forth hereinabove are hereby found to be true and correct and are hereby adopted. Section 2: That the City Council of the City of Baytown, Texas, hereby approves the Second Amendment to the Professional Services Agreement between the Baytown Area Water Authority and Hatch Associates Consultants, Inc., f/k/a Shrader Engineering Inc., for the BAWA SCADA Upgrade Project, which amendment is attached hereto as Exhibit "A" and incorporated herein for all intents and purposes. Section 3: This ordinance shall take effect immediately from and after its passage by the City Council of the City of Baytown. I r y RAKarenTiles •City CoundhOrdinances\2019Vanuary 24\ApprovingBAWAAmendment2forShraderEngineering. doc Exhibit "A" SECOND AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT BETWEEN THE BAYTOWN AREA WATER AUTHORITY AND SHRADER ENGINEERING, INC., FOR THE BAYTOWN AREA WATER AUTHORITY WATER TREATMENT PLANT SCADA UPGRADE PROJECT STATE OF TEXAS COUNTY OF HARRIS This Second Amendment ("Second Amendment") to the Professional Services Agreement between the Baytown Area Water Authority and Shrader Engineering, Inc., for the Baytown Area Water Authority Water Treatment Plant SCADA Upgrade Project, dated March 2, 2016, is made by and between the same parties on the date hereinafter last specified to authorize the additional services indicated herein for the Baytown Area Water Authority Water Treatment Plant SCADA Upgrade Project (the "Project"). WITNESSETH: WHEREAS, the Baytown Area Water Authority ('BAWA" or "Owner") and Hatch Associates Consultants, Inc., f/k/a Shrader Engineering, Inc., (the "ENGINEER") did enter into an Agreement for engineering services, dated March 2, 2016, for the Project ("Agreement"); and WHEREAS, OWNER and the ENGINEER amended the Agreement on November 13, 2017, for the ENGINEER to provide additional programming services as requested by BAWA for the Project (the "First Amendment"); and WHEREAS, OWNER and the ENGINEER desire to amend the Agreement for the ENGINEER to provide additional engineering services for the plant water equipment to be connected to the upcoming, new PLC -HSP as detailed herein; NOW THEREFORE, for and in consideration of the mutual covenants and agreements herein contained, the parties hereto do hereby mutually agree as follows: 1. Definitions. Unless a different meaning clearly appears from the context, words and phrases as used in this Second Amendment shall have the same meanings as in the First Amendment and the Agreement. 2. Amendments. a. The scope of the services to be performed by the ENGINEER is hereby amended to include the services detailed herein for the Project. b. Exhibit A, Part 2 "Additional Services," Section A2.02 "Required Additional Services" of the Agreement is hereby amended to add subsection B, which subsection shall read as follows: PART 2 — ADDITIONAL SERVICES A2.02 Required Additional Services B. ENGINEER shall perform services necessary for the connection of the following signals within the cabinet PLH-HSP: Second Amendment, Page 1 1. Plant Water Pump No. 1 VFD - Comm: Ethernet Cable, 2. Plant Water Pump No. 2 VFD - Comm: Ethernet Cable, 3. Plant Water Pump No. 3 VFD - Comm: Ethernet Cable, 4. Plant Water Flow Transmitter - Power. Conductors (2 - #12 + GND), 5. Plant Water Flow Transmitter - Comm: 1PR#16 Twisted Shielded Pair, 6. Plant Water PS Suction Pressure - Comm: 1PR#16 Twisted Shielded Pair, and 7. Plant Water PS Discharge Pressure - Comm: 1PR#16 Twisted Shielded Pair. Task 1: SCADA Design Services. ENGINEER shall perform the following additional SCADA design tasks: 1. PLC and HMI control diagrams and design drawings to incorporate three (3) VFDs, connected to an OWNER provided and OWNER - programmed network switch within cabinet PLC -HSP. Three (3) open Ethernet ports will be required. 2. PLC and HMI control diagrams and design drawings to incorporate one (1) flow transmitter within cabinet PLC -HSP. The design will include both power and communications cabling. Hatch will provide an additional analog I/O module in the design if it is required. 3. PLC and HMI control diagrams and design drawings to incorporate two (2) pressure transmitters within cabinet PLC -HSP. Hatch will provide an additional analog 1/0 module in the design if it is required. Task 2: SCADA and HMI Programming Services. ENGINEER shall perform the following additional SCADA and HMI Programming Services to incorporate the equipment into the SCADA/HMI System: 1. Program the assigned IP addresses into each of three (3) VFD controllers. 2. Set up and configure the required VFD I/Os for operating the plant water system. 3. Develop the PLC ladder -logic required for remote manual and automatic control of the plant water system. 4. Modify the existing HMI graphics and displays to add monitoring and control functionality for the plant water system. 5. Test the functionality of the HMI graphics and the PLC programming with the plant water system field instrumentation and electrical devices once they are all installed and wired 6. Ensure that the programs will provide means for control, data logging, and alarms for the following items: a. Pump Control - Automatic and Manual Start/Stop control. Automatic control will have operator adjustable set -points for start/stop operation of the plant water pumps. Set points are based on plant water pressure. b. PID speed control — each of the VFD speeds will be controlled via a PID loop within the PLC. The PID loop will vary the VFD Second Amendment, Page 2 speed to maintain a constant pressure within the plant water system. c. Data Logging and Trending The following information will be stored and be available for the operator to view on the screen or download in a spreadsheet format: (1) VFD Speed on continuous intervals. (2) System pressure readings on continuous intervals. (3) Daily number of pump starts, elapsed time, and start/stop times (4) System flow GPM readings on continuous intervals d. Cumulative Totalized Flow and Daily Total Flow e. Alarm Reporting and History The following alarms will be reported to the Autodialer. Alarm history will be saved and available for review. (1) Pump fail to respond to call signal (2) VFD Fault (all critical alarms from VFD will be monitored over Ethernet) (3) Extra Low, Low, High, and Extra High System Pressure (4) Extra Low GST, Pump Lock -Out (5) Extra Low, Low, High, and Extra High Flow 7. Troubleshoot and diagnose issues related to the PLC and HMI programs and communications with field equipment and devices. Task 3: Engineering Design Services. ENGINEER shall perform the following additional engineering design services: 1. Power Supplies: The level detectors will be loop powered through the 2 -wire shielded cable, so an external power supply will be designed to power the devices. A location in one of the RIO panels will be strategically chosen. 2. Conduits to GSTs: ENGINEER will design the conduit and ductbank pathway from the chosen RIO panel/power supply to the three (3) GSTs. Those conduits will run up to the top to an area that will be chosen by BAWA for final connection and installation of the level sensors. 3. Wiring: ENGINEER will design the 2 -wire shielded cables required to connect the level sensors to both the power supply and the 4-20mA spare analog inputs at the chosen RIO panel. If a repeater is required, ENGINEER will also design the location of the repeater. 4. OWNER -provided Equipment: ENGINEER's design shall include the level sensor, installation bracket, outdoor display, and manufacturer's cable between the level sensor and outdoor display as OWNER -provided equipment that the contractor will install, Second Amendment, Page 2 which will allow OWNER to purchase the equipment without markup from the contractor. c. Exhibit C, Article 4 "Payments to the ENGINEER," Section C4.03 "For Additional Services" of the Agreement is hereby amended to read as follows: C4.03 For Additional Services A. OWNER shall pay ENGINEER for Additional Services as follows: General. For services of ENGINEER's employees engaged directly on the Project pursuant to paragraph A2.01 or A2.02 of Exhibit A of the Agreement, except for services as a consultant or witness under paragraph A2.0l.A.13, an amount based upon the actual hours worked plus Reimbursable Expenses. Additional Services shall not be performed without the prior written consent of the OWNER. Additional services which may be authorized in accordance with Section A2.02.A shall not exceed $11,000. Additional services which may be authorized in accordance with Section A2.02.13, including Reimbursable Expenses shall not exceed the following: 3. Entire Agreement. The provisions of this Second Amendment, the First Amendment, and the Agreement should be read together and construed as one agreement provided that, in the event of any conflict or inconsistency between the provisions of this Second Amendment and the provisions of the First Amendment and/or the Agreement, the provisions of this Second Amendment shall control. 4. Interpretation. This Second Amendment has been jointly negotiated by the parties hereunder and shall not be construed against a party hereunder because that party may have assumed primary responsibility for the drafting of this Second Amendment. 5. Captions. Captions contained in the Agreement, the First Amendment, and the Second Amendment are for reference only and, therefore, have no effect in construing the documents. The captions are not restrictive of the subject matter of any section. 6. No Waiver. By this Second Amendment, BAWA does not consent to litigation or suit, and BAWA hereby expressly revokes any consent to litigation that it may have granted by the terms of this Second Amendment, the First Amendment, and/or the Agreement or any other contract or agreement or addenda, any charter, or applicable state law. Nothing contained in this Second Amendment. The First Amendment, or in the Agreement shall be construed in any way to limit or to waive BAWA's sovereign immunity.
