BAWA Resolution No. 2018-16RESOLUTION NO. 2018-16 A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER AUTHORITY AUTHORIZING PAYMENT BY THE CITY OF BAYTOWN IN AN AMOUNT NOT TO EXCEED ONE HUNDRED TWO THOUSAND EIGHT HUNDRED FORTY-SIX AND N0/100 DOLLARS ($102,846.00) TO PURAFIL INC., FOR THE SOLE -SOURCE PURCHASE OF MATERIAL REPLACEMENT SERVICES FOR THE BAYTOWN AREA WATER AUTHORITY'S EMERGENCY GAS SCRUBBER SYSTEM; MAKING OTHER PROVISIONS RELATED THERETO; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. ****************************************************************************** WHEREAS, state law provides that when the functional requirements of the City can only be satisfied by one source, the requirement for competitive bids is not applicable; and WHEREAS, Purafil Inc., is the sole manufacturer and provider in Texas for Purafil's chemical filtration media, including the Purafil Chlorosorb Ultra and Purafil Chlorosorb 2 media, which are specially designed for the Purafil Emergency Gas Scrubber D03-4990 used at BAWA's Water Treatment Plant; and WHEREAS, material replacement services for the Baytown Area Water Authority's emergency gas scrubber system may only be purchased from a single source — Purafil Inc., NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER AUTHORITY: Section 1: That the Board of Directors of the Baytown Area Water Authority hereby declares that only one source can satisfy the needs of the Baytown Area Water Authority for material replacement services for the Baytown Area Water Authority's emergency gas scrubber system. Section 2: That the Board of Directors of the Baytown Area Water Authority authorizes payment to Purafil Inc., for the sole -source purchase of material replacement services for the Baytown Area Water Authority's emergency gas scrubber system in an amount not to exceed ONE HUNDRED TWO THOUSAND EIGHT HUNDRED FORTY-SIX AND NO/100 DOLLARS ($102,846.00). Section 3: That pursuant to the provisions of Texas Local Government Code Annotated §252.048, the General Manager is hereby granted general authority to approve any change order involving a decrease or an increase in costs of FIFTY THOUSAND AND NO/100 DOLLARS ($50,000.00) or less, subject to the provision that the original contract price may not be increased by more than twenty-five percent (25%) or decreased by more than twenty-five percent (25%) without the consent of the contractor to such decrease. Section 4: This resolution shall take effect immediately from and after its passage by the Board of Directors of the Baytown Area Water Authority.
