2017 08 24 MDD Minutes, SpecialMINUTES OF THE SPECIAL MEETING OF THE BOARD OF DIRECTORS OF THE BAYTOWN MUNICIPAL DEVELOPMENT DISTRICT August 24 2017 The Board of Directors of the Baytown Municipal Development District (MDD) met in a Special Meeting on Thursday August 24 2017 at 4:33 P M., in the Council Chamber of the Baytown City Hall 2401 Market Street Baytown Texas with the following in McCartney Director Terry Sam Director Rick Davis General Manager Ignacio Ramirez Sr General Counsel Leticia Brysch Assistant Secretary President DonCarlos convened the August 24, 2017, Municipal Development District (MDD) Board Special Meeting with a quorum present at 4:33 P M., all members were present with the exception of Director McCartney who arrived at 4,46 P M. and Directors Englert and Hernandez who were both absent a Consider a resolution making a change in the 2016-17 budget to reprogram $13,000 from Unforeseen/New Initiatives to Machinery & Equipment to fund the proposed Travis School Park Special Needs Playground Project Mr Dustin Schubert presented the agenda item and stated that the requested amount of $13,000 was remammg funds from the Bowie Playground Project which would be transferred to help staff complete the construction of the new Travis School Park Special Needs Playground Mr Nick Woolery noted that the Rotary Club contributed $30,000, the Kiwams Club $10,000, and the Lions Club $1 000 towards this project A motion was made by Director Charles Johnson and seconded by Director Robert C Hoskins approving Resolution No 318, regarding agenda item DEVELOPMENT DISTRICT'S FISCAL YEAR 2016-2017 BUDGET IN ORDER TO REPROGRAM FUNDS FOR THE TRAVIS SCHOOL PARK SPECIAL NEEDS PLAYGROUND PROJECT MAKING OTHER PROVISIONS RELATED THERETO, AND PROVIDING FOR MUNICIPAL DEVELOPMENT DISTRICT AUTHORIZING THE PRESIDENT TO EXECUTE THE FIRST AMENDMENT TO THE AGREEMENT FOR FUNDING OF THE SPECIAL NEEDS PLAYGROUND PROJECT AT WILLIAM B TRAVIS ELEMENTARY SCHOOL PARK WITH THE CITY OF MDD Board Special Mccung Minutes August 24 2017 Page 3 of 5 BAYTOWN, AUTHORIZING PAYMENT OF AN AMOUNT NOT TO EXCEED THIRTEEN THOUSAND AND NO/100 DOLLARS ($13,000.00), MAKING OTHER PROVISIONS RELATED THERETO AND PROVIDING FOR THE EFFECTIVE DATE THEREOF DISCUSSIONS a Discuss improvements to the Brunson Theater Building, located at 315 W Texas Avenue, and related off site infrastructure and parking improvements Deputy General Manager Bottoms presented the agenda nem and introduced Mr Randall, the Architect designing the improvements to the Brunson Theater He stated that there will be an agreement between the MDD and the City of Baytown whereas the City will hire the Architect He further noted that because the MDD is the financing mechanism for flus project_ staff wanted the MDD Board to be informed of such improvements directly from the architect Mr Randall provided the Board with a Texas Highway Magazine that included pictures of other historical facility facades much of what he feels the City of Baytown wants to do He stated his initial proposal was written several months prior to this meeting, but was not selected because of the budget that was submitted He stated that he received a call back for reconsideration of his proposal and after several meetings the budget was set at $15 million to include the necessary engineering and architectural fees With regards to the improvements, Mr Randall stated that they would consider roofing as much of if not the entire roof structure He stated that the last four (4) bays of the rear end of the theater is approximately 72 feet long and 50 feet wide and noted that one (1) of the bays would become a back entrance similar to that of an outdoor covered courtyard He stated that the other three (3) bays of about 2,500 square feet, would be considered as Phase II to allow them to focus on Phase I which includes the front of the facade, restoring the old sign, saving the lobby, most of the balcony and stairs and developing the business incubator program offices, as well as, a large conference room that will be located in the center volume of the space Mr Randall stated that they would like to retain the character of the old red brick walls inside and create a south end entrance with upper lighting bringing sunlight into the space possibly having a few narrow slits in the top roof for sky lighting. He stated that they also want to preserve the exterior as it was, but have a viewing of vestiges from the past once inside In conclusion he noted that the symbol icons of the industrial development would be saved on the exterior facade Mayor DonCarlos inquired if preliminarily, the intent is to keep only the Brunson sign or also the marquee Mr Randall stated that the marquee needs to be brought back because he thought there was sediment in the foundation but after further study noticed that was the way it was splashed into the brick therefore if it's put back would take away the eye sore Director Sam inquired if the marquee was in stable condition Mr Randall stated that the marquee would have to be restored and noted that the structural engineer who made some improvements to this facility years ago and is familiar with the budding, Mr Jackie Spurting, agreed to work with him on this He further noted that they met at the site and Mr Spurting MDD Board Special Meeting Minutes August 24 2017 Page 4 of 5 showed him some of the improvements that were done structurally Director Sam inquired if there was a concern regarding molding being that the building has been sitting for a while Mr Randall stated that to his understanding testing was already done but noted that it should be taken care of because it is an issue on timing as it takes approximately 90 days to dry out once the air conditioner is running Mayor DonCarlos asked Mr Randall if he was comfortable that the building was in good structural security so that it would hold the new roof Mr Randall stated that he had reservation at the beginning, but he's standing behind the surety of the structural engineer being that they walked through the building and was assured that it could be done Director Hoskins stated that the original sign in front and the marquee was lit up with neon lights all the way underneath it which needs to be emulated but noted that the marquee itself should have the led lighting for messages as opposed to the portable letter signs He further stated that in the center of the Branson Theater on the floor was an enormous maroon six (6) foot tall couch and further inquired if it was going to be preserved as well General Manager Davis stated that as much historical items would be preserved as possible and requested time to respond to Director Hoskins inquiry as it has not been part of the discussion Director Presley inquired if the architect would be there from start of the project to completion and if Mr Randall would offer construction management or guidance along the way In response to Director Presley's inquiry Mr Randall stated that Director Presley's stated inquiry was correct as this was included in the contract Director Alvarado stated that she had the opportunity to walk through the building and although it's hard for her to envision what could be she trust that it would be brought to life and looks forward to it Mr Randall noted that he had the opportunity 40 years ago to do the major drawings for a New York Firm on the Opera House in Galveston, which has been renovated and that he now frequently visits Director Brewer inquired if there were citizens expecting a motion picture going back into this building In response to Director Brewer's inquiry Mayor DonCarlos stated that he hopes that citizens doesn't think so, because all effort was made clear to the community that this must be a daily functional budding for the amount of public funds being put towards this project With regards to an inquiry as to how soon the work process could begin Mr Randall noted that they plan to start drawing the week after Labor Day General Manager Davis inquired if the ambition of a ribbon cutting for this project was still realistic Mr Randall stated the enough preliminary discussions have been done and the next step is to bring a graphic solution for approval Additionally Mr Randall noted that the first Phase I of the project is to protect the integrity of the facility from rain and then move forward from there with what's the best use of the funds MDD Board Special Meeting Minutes August 24, 2017 Page 5 of 5 MANAGER'S REPORT a Reminder that the next Baytown Municipal Development District meeting is scheduled for Thursday, September 07, 2017, at 4.30 P M., in the City Council Chamber, 2401 Market Street, Baytown, Texas, 77520 General Manager Davis stated that the next Baytown Municipal Development District meeting is scheduled for Thursday, September 07 2017. at 4.30 P M. in the City Council Chamber 2401 Market Street, Baytown, Texas, 77520 Due to the expected Hurricane Harvey concerns President DonCarlos noted that from a rainfall perspective the weather conditions didn't look good and further emphasized that no one drives tato high waters ADJOURN A motion was made by Director Terry Sam and seconded by Director Charles Johnson adjourning the August 24, 2017, MDD Board Special Meeting.
