2011 04 19 FCPEMSD MinutesMINUTES OF THE REGULAR MEETING OF THE BOARD OF DIRECTORS OF THE BAYTOWN FIRE CONTROL, PREVENTION AND EMERGENCY MEDICAL SERVICES DISTRICT April 19, 2011 The Board of Directors of the Baytown Fire Control, Prevention and Emergency Medical Services District (FCPEMSD) met in a Regular Meeting on Tuesday, April 19, 2011, at 4:30 P.M., in the Council Chamber of the Baytown City Hall, 2401 Market Street, Baytown, Texas with the following in attendance: Brenda Bradley -Smith President John Adkins Vice - President Gerald Baldwin Director Ryan Hightower Director Maurice Watts Director Kevin Troller Assistant General Manager Ignacio Ramirez, Sr. General Counsel Jason Cozza Deputy Assistant Secretary President Bradley -Smith convened the April 19, 2011, Fire Control, Prevention and Emergency Medical Services District (FCPEMSD) Board Regular Meeting with a quorum present at 4:30 P.M., all members were present with the exception of Director Desormeaux. 1. MINUTES a. Approve the Minutes of the Baytown Fire Control, Prevention, and EMS District (FCPEMSD) Board Regular Meeting held on January 25, 2011 - Secretary. A motion was made by Director Maurice Watts and seconded by Director Ryan Hightower approving the January 25, 2011, FCPEMSD Board Regular Meeting. The vote was as follows: Ayes: Vice President John Adkins, Director Gerald Baldwin, Director Ryan Hightower, President Brenda Bradley- Smith, Director Maurice Watts Nays: None Other: Director Lovella Desormeaux (absent) Approved 2. PROPOSED RESOLUTIONS a. Resolution: Consider Revisions to the Baytown Fire Control, Prevention, and EMS District's Investment Policy and Strategy - Finance. Assistant General Manager Troller presented the agenda item and stated that Resolution No. 16 revises the Baytown Fire Control, Prevention, and Emergency Medical Services District's Investment Policy and Investment Strategy in order to update authorized investment officers and the name of the regulatory agency certifying broker dealers and financial institutions. The changes to the policy are as follows: EXHIBIT A - Authorized Investment Officials: Mike A. Lester, City of Baytown Interim Director of Finance Louise Richman, City of Baytown Assistant Director of Finance Carl C. Currie, City of Baytown Controller Genie Ginzel, City of Baytown Treasurer EXHIBIT B — Statement of Ethics and Conflicts of Interest with the names of the new authorized investment officials: Mike A. Lester, City of Baytown Interim Director of Finance Louise Richman, City of Baytown Assistant Director of Finance Carl C. Currie, City of Baytown Controller Genie Ginzel, City of Baytown Treasurer RESOLUTION NO. 16 A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN FIRE CONTROL, PREVENTION, AND EMERGENCY MEDICAL SERVICES DISTRICT ADOPTING THE BAYTOWN FIRE CONTROL, PREVENTION, AND EMERGENCY MEDICAL SERVICES DISTRICT'S INVESTMENT POLICY; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. A motion was made by Director Maurice Watts and seconded by Vice President John Adkins approving Resolution No. 16. The vote was as follows: Ayes: Vice President John Adkins, Director Gerald Baldwin, Director Ryan Hightower, President Brenda Bradley- Smith, Director Maurice Watts Nays: None Other: Director Lovella Desormeaux (absent) Approved 3. REPORTS a. Receive the FCPEMSD Revenue and Expenditure Report for Quarter ending March 31, 2011 - Finance. Assistant General Manager Troller stated that Ms. Louise Richman will present agenda items 3.a. and 3.b. Ms. Richman presented the update on the Baytown Fire Control, Prevention, and Emergency Medical Services District's revenues and expenditures report for the quarter ending March 31, 2011 and stated that the revenues and expenditures are on target. b. Report: Receive the FCPEMSD Quarterly Investment Report for Quarter Ending March 31, 2011 - Finance. Ms. Richman presented the FCPEMSD Quarterly Investment Report for the period ending March 31, 2011 and stated that the investments are on target at $514,000. C. Receive May 14, 2011 FCPEMSD Continuation Election Update - Secretary. Assistant Secretary, Jason Cozza presented the update on the Baytown Fire Control, Prevention, and Emergency Medical Services District Continuation Election to be held on May 14, 2011. Assistant Secretary Cozza stated that a pre - clearance has been received from the Department of Justice (DOJ) to move forward with the election. This joint election will include the City of Baytown, Baytown Crime Control and Prevention District, and Goose Creek Consolidated Independent School District. Assistant Secretary Cozza indicated that the Judges and Alternate Judges working the elections received elections training by the City of Baytown and Goose Creek CISD staff on April 120h and will receive elections equipment training by Harris County on April 26`h. Lastly, he stated that the FCPEMSD continuation election will be canvassed on May 23rd. 4. BUSINESS ITEMS a. Set Time, Date and Place for Next FCPEMSD District - Secretary. Assistant General Manager Troller presented the agenda item and stated that the recommendation for the next meeting is June 21, 2011, at 4:30 P.M. in the Council Chamber. A motion was made by Vice President John Adkins and seconded by Director Gerald Baldwin approving the next scheduled meeting for June 21, 2011 at 4:30 P.M.
