The Board of Directors of the Baytown Area Water Authority (BAWA) met in a
Regular Meeting on Wednesday, February 09, 2011 at 8:00 A.M., in the Council
Chamber of the Baytown City Hall, 2401 Market Street, Baytown, Texas with the
following in attendance:

Director Dan Mundinger was absent from the February 09, 2011, Baytown Area Water
Authority (BAWA) Board Regular Meeting.
President Smith convened the February 09, 2011, Baytown Area Water Authority
(BAWA) Board Regular Meeting with a quorum present at 8:00 A.M.
1. MINUTES
a. Approve Minutes of the Baytown Area Water Authority (BAWA) Board
Regular Meeting held on January 26, 2011- Assistant Secretary.
A motion was made by Director John Sandhop and seconded by Secretary Wayne
Baldwin. The vote was as follows:
Ayes: President Brenda Bradley- Smith, Secretary Wayne Baldwin,
Director John Sandhop, Director Mike Wilson
Nays: None
Approved
2. PROPOSED RESOLUTIONS
a. Consider BAWA Power Distribution System Improvements Project Contract
- Engineering.
General Manager, Bob Leiper presented the agenda item and stated that Resolution No.
2011 -02 authorizes a Professional Service Agreement with Malcolm Pirnie Inc. for the
design of the Power Distribution System Improvement Project in the amount of
$428,745.00 which includes reimbursable. The City Council will consider this agreement
at its meeting on February 24, 2011, if approved by the BAWA Board.
RESOLUTION NO. 2011-02
A RESOLUTION OF THE BOARD OF DIRECTORS OF THE
BAYTOWN AREA WATER AUTHORITY AUTHORIZING A
PROFESSIONAL SERVICES AGREEMENT WITH MALCOLM
PIRNIE, INC., FOR THE DESIGN OF THE BAWA POWER
DISTRIBUTION SYSTEM IMPROVEMENTS PROJECT SUBJECT TO
THE APPROVAL OF THE CITY COUNCIL OF THE CITY OF
BAYTOWN; AUTHORIZING PAYMENT BY THE BAYTOWN AREA
WATER AUTHORITY, IN THE AMOUNT OF FOUR HUNDRED
TWENTY -EIGHT THOUSAND SEVEN HUNDRED FORTY -FIVE
AND NO /100 DOLLARS ($428,745.00); MAKING OTHER
PROVISIONS RELATED THERETO; AND PROVIDING FOR THE
EFFECTIVE DATE THEREOF.
A motion was made by Director John Sandhop and seconded by Secretary Wayne
Baldwin. The vote was as follows:

b. Amendment to the Water Supply Contract with Cindy Riley, d/b /a C &R
Water Supply.
President Smith stated that this item was tabled.
3. REPORTS
a. BAWA Revenues and Expenditures - Finance.
Interim Finance Director, Mike Lester presented the update on the Baytown Area Water
Authority's revenues and expenditures for the quarter ending December 31, 2010 and
stated that the budget is on target as estimated.
b. Quarterly Invests ient Report for the Period Ending December 31, 2010 -
Finance.

period ending December 31, 2010 and stated that the average interest is .1677% earning
an interest of $1,800,
C. Annual Financial Report for the Year En(led September 30, 2010 - Finance.
Mr. Nathan Krupke, a Belt I larris Pecli ace k, LLLP representative presented the Annual
11inancial Report for the Year I nded Septeniber 30, 2010 and stated that the total
operating revenue was at $7.3 million Nvith expenses at $5,6 million lcaving an operating
income cif` S1.6 million, Mr. Krupke stated that the net asset was increased froin
approximately $1 million to $18 million.
4. MANAGER'S REPO "I'
G'eneral Manager, Bob Leifer stated that the BAWA plant, was affected by the rolling
blackOLIt and Centupoint is working to get the issue resolved so that the plant will not be
affected in the future.
