2009 04 02 MDD MinutesMINUTES OF THE MEETING OF THE BAYTOWN MUNICIPAL DEVELOPMENT DISTRICT April 02, 2009 The Baytown Municipal Development District of the City of Baytown, Texas met in a Regular Meeting on Thursday, April 02, 2009, at 4:30 P.M. in the Council Chamber of the Baytown City Hall, 2401 Market Street, Baytown, Texas with the following in attendance: Reggie Brewer Brandon Capetillo Lynn A. Caskey, II Ruben Linares David McCartney Terry Sain Scott Sheley Lena Yepez Kirven Tillis Mary Hernandez Stephen DonCarlos Garrison C. President DonCarlos called the meeting to order with a quorum present. 1. MINUTES a. Considered approval of the minutes from the Baytown Municipal Development District Regular Meeting on February 5, 2009. Motion was made by Director Sain, seconded by Director Caskey approving the minutes from the February 5, 2009, Municipal Development District Regular Meeting. The vote was as follows: Ayes: Directors: Brewer, Capetillo, Caskey, Linares, McCartney, Sain, Sheley, Ycpez, and President DonCarlos. Nays: None. The motion passed. Page 2 of 4 2. PROPOSED RESOLUTIONS Minutes of the April 2, 2009 MDD Meeting a. Resolution 129: Interlocal with City for the development of the Parks Master Plan - Parks and Recreation. Resolution 129 authorized an Interlocal Agreement with the City of Baytown for funding the development of a Parks, Recreation, Open Space and Greenway Master Plan. Pursuant to Resolution 129, the MDD would fund up to $100,000 for the development of the plan. These funds were reprogrammed for this purpose at the Board's February, 2009 meeting. Motion was made by Director Brewer, seconded by Director Capetillo approving Resolution 129. The vote was as follows: Ayes: Directors: Brewer, Capetillo, Caskey, Linares, McCartney, Sain, Yepez, Tillis, Hernandez, and President DonCarlos. Nays: None. The motion passed. RESOLUTION 129 A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN MUNICIPAL DEVELOPMENT DISTRICT AUTHORIZING THE PRESIDENT TO EXECUTE AND THE ASSISTANT SECRETARY TO ATTEST TO AN AGREEMENT BETWEEN THE BAYTOWN MUNICIPAL DEVELOPMENT DISTRICT AND THE CITY OF BAYTOWN TO PROVIDE FUNDING FOR THE DEVELOPMENT OF A PARKS, RECREATION, OPEN SPACE AND GREENWAY MASTER PLAN; AUTHORIZING PAYMENT OF A SUM NOT TO EXCEED ONE HUNDRED THOUSAND AND NO /100 DOLLARS ($100,000.00); MAKING OTHER PROVISIONS RELATED THERETO; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. b. Resolution 130: Baytown Municipal Development District's Investment Policy and Strategy - Finance. Resolution 130 adopted the Baytown Development District's Investment Policy and Strategy in compliance with the Public Funds Investment Act. We submitted the Baytown Municipal Development Districts' Investment Policy for review and approval in accordance with the Public Funds Investment Act Section 2256- 005 (e) & 2256 -005 (f). Page 3 of 4 The changes to the policy are as follows: Minutes of the April 2, 2009 MDD Meeting Exhibit A — Authorized Investment Officials. Exhibit B — Statement of Ethics and Conflicts of Interest. The change was made to reflect the new personnel responsible for the City's investments. Exhibit C — Approved Broker/Dealers, Financial Institutions and Investment Pools. The change was made to remove UBS Financial Services, Inc. and add Morgan Stanley. Motion was made by Director Capetillo, seconded by Director McCartney approving Resolution 130. The vote was as follows: Ayes: Directors: Brewer, Capetillo, Caskey, Linares, McCartney, Sain, Yepez, Tillis, Hernandez, and President DonCarlos. Nays: None. The motion passed. RESOLUTION 130 A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN MUNICIPAL DEVELOPMENT DISTRICT ADOPTING THE BAYTOWN MUNICIPAL DEVELOPMENT DISTRICT'S INVESTMENT POLICY AND INVESTMENT STRATEGY IN ACCORDANCE WITH THE PUBLIC FUNDS INVESTMENT ACT; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. 3. MANAGER'S REPORT a. Update the Sales Tax — Finance. Received update on sales tax collections for the Baytown Municipal Development District. 4. ADJOURN Motion was made by Director Yepez, seconded by Director Butler adjourning the MDD April 2, 2009, Regular Meeting. The vote was as follows: Ayes: Directors: Brewer, Capetillo, Caskey, Linares, McCartney, Sain, Yepez, Tillis, Hernandez, and President DonCarlos.
