A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN AREA
WATER AUTHORITY AUTHORIZING THE GENERAL MANAGER TO
NEGOTIATE AND EXECUTE A PROFESSIONAL SERVICES AGREEMENT WITH
SHRADER ENGINEERING, INC., FOR THE BAWA HIGH SERVICE PUMP
STATION IMPROVEMENTS PROJECT; AUTHORIZING PAYMENT IN AN
AMOUNT NOT TO EXCEED THREE HUNDRED FORTY -THREE THOUSAND
NINE HUNDRED SIXTEEN AND NO /100 DOLLARS ($343,916.00); MAKING
OTHER PROVISIONS RELATED THERETO; AND PROVIDING FOR THE
EFFECTIVE DATE THEREOF.
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER
AUTHORITY:
Section 1: That the Board of Directors of the Baytown Area Water Authority hereby
authorizes the General Manager to negotiate and execute a Professional Services Agreement with Shrader
Engineering, Inc., for the BAWA High Service Pump Station Improvements Project under terms and
conditions acceptable to the General Manager and the General Counsel.
Section 2: That the Board of Directors of the Baytown Area Water Authority hereby
authorizes the payment of an amount not to exceed THREE HUNDRED FORTY -THREE THOUSAND
NINE HUNDRED SIXTEEN AND NO /100 DOLLARS ($343,916.00) to Shrader Engineering, Inc.,
consistent with the Agreement.
Section 3: That the General Manager is hereby granted general authority to approve any
change order involving a decrease or an increase in costs of FIFTY THOUSAND AND NO/ 100
DOLLARS ($50,000.00) or less, provided that the original contract price may not be increased by more
than twenty-five percent (25 %) or decreased by more than twenty-five percent (25 %) without the consent
of the firm to such decrease.
Section 4: This resolution shall take effect immediately from and after its passage by the
Board of Directors of the Baytown Area Water Authority.
INTRODUCED, READ and PASSED, by the affirmative vote of the Board of Directors of the
Baytown Area Water Authority this the 17th day of February, 2016.
