LOCATED ON THE WEST SIDE OF EASTPOINT BOULEVARD,
ADDRESSED AS 7447 EASTPOINT BOULEVARD TO STANMORE /ADEF
BAYTOWN, LP, CONTINGENT UPON THE RECEIPT OF
CONSIDERATION AS EXPRESSED HEREIN; AUTHORIZING THE MAYOR
TO EXECUTE A QUITCLAIM DEED UPON RECEIPT OF
CONSIDERATION FOR THE ABANDONMENT; AND PROVIDING FOR
THE EFFECTIVE DATE THEREOF.

WHEREAS, Stanmore /ADEF Baytown, LP (the "Petitioner ") has petitioned the City for
the abandonment of the 16 -foot utility easement dedicated by H.C.C.F. No., located on the west
side of Eastpoint Boulevard and addressed as 7447 Eastpoint Boulevard; and
WHEREAS, the Petitioner has received releases from utility companies releasing their
interests in the 16 -foot utility easement; and
WHEREAS, the 16 -foot utility easement subject to the petition for abandonment
referenced herein is no longer necessary for the City; and
WHEREAS, contingent upon the receipt of (i) payment as detailed below and as required
in Section 2 -767 of the Code of Ordinances, Baytown, Texas, from Stanmore /ADEF Baytown,
LP, the City is willing to abandon the above - referenced 16 -foot utility easement; NOW
THEREFORE,
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN,
TEXAS:
Section 1: That contingent upon the receipt of the consideration detailed in Section 2,
the City Council of the City of Baytown, Texas, hereby authorizes the abandonment of its
interests in the 16 -foot utility easement dedicated in Harris County Clerk's File No., H- 002699,
located on the west side of Eastpoint Boulevard, addressed as 7447 Eastpoint Boulevard, as more
particularly described in Exhibit "A," which is attached hereto and incorporated herein for all
intents and purposes.
Section 2: That the City Council of the City of Baytown, Texas, hereby finds that the
fair market value of the utility easement described in Section 1 hereof is determined to be
thirteen thousand seven hundred eighty -seven and no /100 DOLLARS ($13,787.00).
Section 3: That upon the satisfaction of the contingency referenced in Section 1
hereof, the Mayor is hereby granted the general authority to execute the quitclaim deeds, which
is attached hereto and incorporated herein for all purposes as Exhibit "A" to the Petitioner.
Section 4: This ordinance shall take effect immediately from and after its passage by
the City Council of the City of Baytown.

I KNOW ALL MEN BY THESE PRESENTS:
COUNTY OF HARRIS
THAT NED S. HOLhIIES, TRUSTEE (hereinafter called "Grantor'), a resident

and Incorporated hrein by this reference for all purposes (the "Easement Tract ").
It Is expressly provided that Grantor reserves unto himself, his substitutes
and assigns all other rights in and to the Easement Tract which do not unreasonably
interfere with and prevent the use of the utility easement herein granted and
conveyed to Grantee. Grantee covenants and agrees, as part of the consideration
for this utility easment, that at all times after doing any work on or in connection '
with said utility easement, to restore the Easement Tract to the same condition as
existed before such work was undertaken, and that in the use of the rights and
privileges hereinafter granted, Grantee will not create a nuisance; and also upon
the condition that at any time Grantee does any work on or in connection with this
utility easement, such work will be done as quickly as is reasonably practical In
order to disturb the Easement Tract as brief a time as is reasonably possible. It is

expressly agreed and provided that Grantee shall have the right to make reasonable
use of the surface of the — Easement Tract for placement of surface mounted
facilities and equipment appurtenant to Grantee's underground utility lines, and
while constructing, installing, maintaining, repairing, altering, protecting, changing
the size of, replacing, moving, removing and /or operating the underground lines and
appurtenances to be installed within this utility easement, but such surface of the h�
Easement Tract shall forthwith be restored by Grantee to the same condition as

Without limiting the foregoing, Grantor reserves the right, at his sole cost
and expense, to place, construct, lay, maintain, protect, operate, repair, alter,
change the size of, substitute, replace, move and remove at any time and from
time to time along, on, over, through, across, above, below or upon the Easement
Tract as many.drainage ditches, pipelines, fences, electric light and power poles,
gas lines, water lines, sewer lines, roads, streets, sidewalks, parking lots,
driveways, storm sewers, and passageways as Grantor, his successors, substitutes or
assigns as.the owner of the Easement Tract may desire, provided, however, that
such use by Grantor does not unreasonably Interfere with and prevent use of the
easement rights herein granted.
It is additionally provided that this utility easement is granted and conveyed
subject to any and all matters of public record or existing on the ground, if any
such matters do exist and affect the Easement Tract and the easement rights
herein granted and now remain in effect.

objection to the release or abandonment of the .2098 acre tract or parcel of land situated in the
Talcott Patching Survey, Abstract No. 620, Harris County, Texas, being out of Eastpoint
Apartments minor replat, Lot one, Block one, map or plat thereof, recorded in film code (FC) No.
675209, Harris County map records (HCMR.) This easement is also out of a called 13.43 acre
