MDD Resolution No. 237RESOLUTION NO.237 A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN MUNICIPAL DEVELOPMENT DISTRICT AUTHORIZING THE PRESIDENT TO EXECUTE AN INTERLOCAL AGREEMENT WITH THE CITY OF BAYTOWN FOR FUNDING OF THE TEXAS AVENUE STREETSCAPE AND TOWN SQUARE PROJECT;AUTHORIZING PAYMENT OF AN AMOUNT NOT TO EXCEED ONE MILLION TWO HUNDRED SIXTY-FOUR THOUSAND NINE HUNDRED SIXTY- SEVEN AND NO/100 DOLLARS ($1,264,967.00);MAKING OTHER PROVISIONS RELATED THERETO;AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. ************************************************************************************* BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE BAYTOWN MUNICIPAL DEVELOPMENT DISTRICT: Section1:That theBoard of Directors of the Baytown Municipal Development District hereby finds thatthe expenditures authorized herein arefor improvements,whichsatisfythe purposes for which the funds canbe expended pursuant toChapter377oftheTexasLocal Government Codeand/or Section3888.102 of theSpecialDistrictLocalLawsCode.Allrequiredfindingspursuanttheretoare herebydeclaredtohavebeenmadeandadoptedasfindings of theBoard of Directors. Section2:That theBoard of Directors of theBaytown Municipal Development District hereby authorizes the President to execute the Interlocal Agreement with theCityof Baytown for funding oftheTexasAvenueStreetscapcandTownSquareProject.Acopy of saidagreementisattachedhereto asExhibit "A,"and incorporated hereinforallintentsand purposes. Section3:ThattheBoard of Directors of theBaytownMunicipalDevelopmentDistrict hereby authorizes the pavment of an amount not to exceed ONE MILLION TWO HUNDRED SIXTY- FOUR THOUSAND NINE HUNDRED SIXTY-SEVEN AND NO/100 DOLLARS (51,264,967.00)to theCityof Baytown in accordance withthe agreement referenced inSection2 hereof. Section 2.Description of Program. The City,with the assistance ofthe District as herein specified,agrees to design and construct the Texas Avenue Streetscape and Town Square Project (the "Project").The Project includes the first phase of development ofa Town Square inthe city-owned block bounded by Texas,Gaillard,Pearce and Ashbel andthe extension ofthe streetscape along Texas Avenue from Gaillard to Ashbel,including the Ashbel/Texasintersection.TheProjectalsoentails: >aroundplaza, >a fountain,which will bethe centerpiece ofthe round plazaandwillbe designed such thatitcanbecoveredbyalargeChristmastree, >aplatformforaportableicerink, >aset of permanentrestrooms, >a matching buildingforstorage, >fountainequipment, >the skate concession center,and >anareaforfoodtrucksalongGaillard. Section 3.Reports. TheCityshall prepare andsubmittothe District within 120daysaftertheendofeach fiscal year duringtheterm of this Agreement averbalorbriefwrittenreportdescribingtheservicesperformedbythe Citypursuanttothiscontractduringthe previous yearalongwithasummary of expendituresforthe previousfiscalyear. TheDistrictunderstands,herebydirectsandauthorizestheCitytomakeanyProjectclarifications and/ormodificationsasmaybenecessaryasdeterminedbytheCityinitssolediscretion. Section 5.Funds tobe provided by the District. ForandinconsiderationoftheservicestobeprovidedbytheCityin furtherance of this Agreement,theDistrictshalltenderfundstotheCityinanamountnottoexceedONE MILLION TWO HUNDRED SIXTY-FOUR THOUSAND NINE HUNDRED SIXTY-SEVEN AND NO/100 DOLLARS ($1,264,967.00).Allpaymentsrequiredtobemadehereinshallbepayableonorbefore30daysafterthe DistrictreceivesaninvoicethereforfromtheCity. Section 6.Term. This Agreement shallbe effective onOctober 1,2014,andshallexpirethirty(30)daysafter final completion and acceptance ofthe Project bythe City,unless sooner terminated byeitherpartyhereto pursuanttothetermshereof. Section 7.Termination for Cause. A party may terminate its performance underthis contract onlyupon default bytheother party. Default bya party shalloccurifthe party fails to perform or observe anyofthetermsand conditions of this Agreement required tobe performed or observed bythat party.Should sucha default occur,the party against whom the default has occurred shall have the right to terminate allor part ofits obligations under this contract asof the 30th day following the receipt by the defaulting party ofa notice describing such default and intended termination,provided:(1)such termination shallbe ineffective if within said30-day period the defaulting party cures or has commenced the cure of the default,or (2)such termination may be stayed,at the sole option of the party against whom the default has occurred,pending cure of the default. Upon the termination of this Agreement,both parties shall be relieved of their respective obligations herein stated,except for those referenced in Section 9 hereinbelow.This Agreement shall not besubjecttoterminationforconvenience. Section 8.Force Majeure. Any prevention,delay,nonperformance,or stoppage duetoanyofthe following causes shall excuse nonperformance forthe period ofanysuch prevention,delay,nonperformance,or stoppage, except the obligations imposed bythis Agreement forthe payment of funds allocated forthe District's programs.The causes referred to above are strikes,lockouts,labor disputes,failure of power,acts of God,actsof public enemies ofthis State orofthe United States,riots,insurrections,civil commotion, inability to obtain labor or materials or reasonable substitutes for either,governmental restrictions or regulations or controls,casualties orother causes beyond the reasonable control ofthe party obligated to perform. Section 9.Refund and Payment upon Termination. Upon termination ofthis Agreement pursuant to Section 7hereofduetoan uncured default bythe City,theCity hereby agrees to refund all unexpended,unappropriated monies previously paidbythe DistricttotheCitypursuanttothis Agreement.Ifatthetime of terminationtheDistrictowestheCity monies,theDistrictshallremittotheCitythe appropriate amountcomputedas of theeffectivedate of the termination. Section 10.Parties in Interest ThiscontractshallbindandbenefittheCityandtheDistrictandshallnotbestowanyrightsupon anythirdparties. Section 11.Non-waiver. Failure of eitherpartyheretotoinsistonthestrict performance of any of theagreementshereinor toexerciseanyrightsorremediesaccruingthereunderupondefaultorfailure of performanceshallnotbe considered awaiver of therighttoinsistonandtoenforce,byanappropriateremedy,strictcompliance withanyother obligation hereunder orto exercise anyrightor remedy occurringasaresultofany future defaultorfailure of performance. Section 12.Compliance with Applicable Laws. The parties hereto shall comply with all rules,regulations,andlawsofthe United Statesof America,theState of Texas,andalllaws,regulations,andordinances of theCity of Baytownastheynow existormayhereafterbeenactedoramended. Section 13.Choice of Law;Venue. This contract is subject toand shall be construed in accordance with thelawsofthe State of Texas,thelawsofthe federal government ofthe United States of America andallrulesand regulations of any regulatory body orofficer having jurisdiction.This contract is performable inHarris County,Texas. Section 14.Notices. TheCityandtheDistrictmay,atanyreasonabletime,conductorcausetobeconductedanaudit of theotherparties'recordsandfinancial transactions.Thecost of saidauditwillbebornebytheentity requesting theaudit.TheCityandtheDistrictshallmakeavailableall of itsrecordsinsupport of the audit. Intheevent of anyambiguityinany of theterms of thiscontract,itshallnotbeconstruedforor againstanypartyheretoonthebasisthatsuchpartydidordidnotauthorthesame. Section 17.Captions. Thecaptions of thesectionsandsubsections,ifany,of thisAgreementareforconvenienceand ease of referenceonlyanddonotdefine,limit,augmentordescribethescope,contentorintent of this Agreementor of anypartorparts of thisAgreement. Section 18.Entire Agreement. ThisAgreementcontainsalltheagreementsofthepartiesrelatingtothesubjectmatterhereofand isthefullandfinalexpression of theagreementbetweentheparties.Anyoral representations or modificationsconcerningthisinstrumentare of noforceoreffectexceptingasubsequentmodificationin writingsignedbyallthepartieshereto. Section 19.Assignment or Transfer of Rights or Obligations. TheCityshallnotsell,assign,ortransferany of itsrightsorobligationsunderthisAgreementin wholeorinpartwithoutpriorwrittenconsentoftheDistrict. Section 20.Severability. Allpartiesagreethatshouldanyprovision of thisAgreementbedeterminedtobeinvalidor unenforceable,suchdeterminationshallnotaffectanyotherterm of thisAgreement,whichshallcontinue in full force and effect. Section 21.Authority. Theofficersexecutingthis Agreement onbehalf of thepartiesherebyrepresentthatsuchofficers havefullauthoritytoexecutethisAgreementandtobindtheparty he/she represents. INWITNESSWHEREOF,thepartieshavemadeandexecutedthiscontractinmultiplecopies, each of which shall bean original and effective onthe Is*day of October,2014.
