MUNICIPAL DEVELOPMENT DISTRICT AUTHORIZING THE PRESIDENT TO
EXECUTE AN INTERLOCAL AGREEMENT WITH THE CITY OF BAYTOWN FOR
FUNDING AN INCREASE TO THE SIZE AND CAPACITY OF THE
WASTEWATER INFRASTRUCTURE ALONG TR1-CITIES BEACH ROAD FROM
SH99 TO EVERGREEN ROAD;AUTHORIZING PAYMENT OF AN AMOUNT
NOT TO EXCEED NINETY THOUSAND AND NO/100 DOLLARS ($90,000.00);
MAKING OTHER PROVISIONS RELATED THERETO;AND PROVIDING FOR
THE EFFECTIVE DATE THEREOF.

BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE BAYTOWN MUNICIPAL
DEVELOPMENT DISTRICT:
Section 1:ThattheBoard of Directors of theBaytownMunicipalDevelopmentDistrict
hereby finds thatthe expenditures authorized herein are for improvements,whichsatisfythepurposesfor
which the funds canbe expended pursuant to Chapter 377oftheTexasLocal Government Codeand/or
Section 3888.102 oftheSpecial District Local Laws Code.All required findings pursuant theretoare
hereby declared tohavebeenmadeand adopted as findings oftheBoardof Directors.
Section2:That theBoard of Directors of theBaytown Municipal Development District
herebyauthorizesthePresidenttoexecutetheInterlocalAgreementwiththeCity of Baytownforfunding
anincreasetothesizeandcapacityofthewastewaterinfrastructurealongTri-CitiesBeachRoadfromSH
99to Evergreen Road.Acopy of saidagreementisattachedheretoasExhibit "A,"andincorporated
herein forall intents and purposes.
Section3:That theBoard of Directors of theBaytown Municipal Development District
herebyauthorizesthepayment of anamountnottoexceedNINETYTHOUSANDANDNO/100
DOLLARS($90,000.00)totheCity of BaytowninaccordancewiththeagreementreferencedinSection
2 hereof.
Section4:This resolution shalltakeeffect immediately fromandafteritspassagebythe
Board of Directors of the Baytown Municipal Development District.//

AGREEMENT FOR FUNDING AN INCREASE TO THE SIZE
AND CAPACITY OF WASTEWATER INFRASTRUCTURE

This Agreement for Funding an Increase totheSizeandCapacityof WastewaterInfrastructure
(the "Agreement")is made byand between the CITY OF BAYTOWN,a municipal corporation located in
HarrisandChambersCounties,Texas,(the"City")andtheBAYTOWNMUNICIPALDEVELOPMENT
DISTRICT,created underChapter377oftheTexas Local Government Code,as amended,(the"Act")
andlocatedinHarrisCounty,Texas,(the"District").Forandinconsideration of themutualcovenants
hereincontained,itisagreedasfollows:
Section1.Representations and Warranties of District.
a)The District is engaged inan on-going effortto provide new resources toplan,acquire,
establish,develop,construct and/or renovate oneormore development projects beneficial
totheDistrict,whichincludesthe incorporated limits of theCitylyingwithinHarris
County.
b)The District covenants that it shall actively work to productively coordinate its activities
withtheCityinanefforttoreduce duplication ofservices.
c)The District represents and warrants thatithasbeenproperlycreatedandisduly
authorized pursuanttotheActtoenterintothis Agreement.
Section 2.Description of Program.
The City,with the assistance ofthe District as herein specified,agrees toenter into a Cost-Share
Agreement with Texas Capital Development Corporation (the "Developer")to increase the size and
capacity of infrastructure along Tri-Cities Beach Road from SH 99to Evergreen Road.Specifically,the
project entails upsizing an 8-inch force main toa 12-inch force main,increasing the diameter ofa new lift
station wet from 8feetto 12 feetalongwith appropriately sized headwork,and lowering theliftstationan
additional 6feet(the "Project"),which will promote or expand business development inthe District.The
CitywilladministertheProject.
Section 3.Reports.
The City shall prepare and submit to the District within 120 days after the end of each fiscal year
during the term of this Agreement a verbal orbriefwritten report describing the services performed bythe
City pursuant to this contract during the previous year along with a summary of expenditures for the
previousfiscalyear.
Section 4.Approvals.
TheDistrict understands,herebydirectsand authorizes theCitytomakeanyProject clarifications
and/or modifications asmaybe necessary as determined bytheCityinitssole discretion.
Section 5.Funds tobe provided by the District.
Forandinconsideration of theservicestobeprovidedbytheCityinfurtherance of this
Agreement,the District shall tender funds tothe City inan amount notto exceed NINETY THOUSAND
AND NO/100 DOLLARS ($90,000.00).All payments required tobemadehereinshallbepayableonor
before30daysaftertheDistrictreceivesan invoice thereforfromtheCity.

Section 6.Term.
This Agreement shallbeeffectiveonAugust 14,2014,andshallexpirethirty(30)daysafterfinal
completionand acceptance of theprojectbytheCity,unlesssoonerterminatedbyeitherpartyhereto
pursuanttothetermshereof.
Section 7.Termination for Cause.
Apartymay terminate its performance underthis contract onlyupondefaultbytheother party.
Default bya party shalloccurifthe party fails to perform or observe any of thetermsand conditions of
this Agreement requiredtobeperformedorobservedbythatparty.Shouldsuchadefaultoccur,theparty
againstwhomthedefaulthasoccurredshallhavetherighttoterminateallorpart of itsobligationsunder
this contract asof the 30*day following the receipt by the defaulting party ofa notice describing such
defaultandintendedtermination,provided:(I)such termination shallbeineffectiveifwithinsaid30-day
periodthedefaultingpartycuresorhas commenced thecure of thedefault,or(2)suchterminationmay
be stayed,atthesoleoptionofthe party against whom the default has occurred,pending cureofthe
default.
Upon the termination ofthis Agreement,both parties shall be relieved oftheir respective
obligations herein stated,exceptforthose referenced in Section 9 hereinbelow.This Agreement shall not
besubjecttoterminationfor convenience.
Section 8.Force Majeure.
Any prevention,delay,nonperformance,or stoppage duetoanyofthe following causes shall
excuse nonperformance fortheperiodofanysuch prevention,delay,nonperformance,or stoppage,
except the obligations imposed by this Agreement forthe payment of funds allocated forthe District's
programs.The causes referred to above are strikes,lockouts,labor disputes,failure of power,acts of
God,actsof public enemies ofthis State orofthe United States,riots,insurrections,civil commotion,
inability to obtain labor or materials or reasonable substitutes for either,governmental restrictions or
regulations or controls,casualties or other causes beyond the reasonable control ofthe party obligated to
perform.
Section9.Refund and Payment upon Termination.
Upon termination ofthis Agreement pursuant to Section 7 hereof duetoan uncured default bythe
City,the City hereby agrees to refund all unexpended,unappropriated monies previously paidbythe
District totheCity pursuant tothis Agreement.Ifatthetimeof termination the District owestheCity
monies,the District shallremittotheCitythe appropriate amount computed asofthe effective dateofthe
termination.
Upon termination ofthis Agreement pursuant to Section 7hereofduetoan uncured default bythe
District,the District hereby agrees topaythe total amount committed in Section 5hereofonor before the
effective date of the termination.
Section 10.Parties in Interest
ThiscontractshallbindandbenefittheCityandtheDistrictandshallnotbestowanyrightsupon
anythirdparties.
Section 11.Non-waiver.
Failure of eitherpartyheretotoinsistonthestrictperformance of any of theagreementshereinor
toexerciseanyrightsorremediesaccruingthereunderupondefaultorfailure of performanceshallnotbe
considered awaiver of therighttoinsistonandtoenforce,byanappropriateremedy,strictcompliance
withanyother obligation hereunder orto exercise anyrightor remedy occurringasaresult of anyfuture
defaultorfailure of performance.

Section 12.Compliance with Applicable Laws.
Thepartiesheretoshall comply withall rules,regulations,andlawsoftheUnitedStatesof
America,theStateofTexas,andalllaws,regulations,andordinances of theCity of Baytownastheynow
existormayhereafterbeenactedoramended.
Section 13.Choice of Law;Venue.
This contract issubjecttoandshallbe construed in accordance withthelaws of theStateof
Texas,thelaws of the federal government ofthe United StatesofAmericaandallrulesand regulations of
any regulatory bodyorofficerhavingjurisdiction.This contract is performable inHarris County,Texas.
Section 14.Notices.
All notices required or permitted hereunder shallbeinwritingandshallbe deemed delivered
when actually received or,if earlier,onthe third day following deposit ina United States Postal Service
postofficeor receptacle withproper postage affixed (certified mail,returnreceipt requested)addressed to
the respective other party atthe address described below oratsuchother address asthe receiving party
mayhavetheretofore prescribed bynoticetothesendingparty:

Section 15.Audits.
The City and the District may,at any reasonable time,conduct or cause tobe conducted an audit
ofthe other parties'records and financial transactions.The cost of said audit will be borne bythe entity
requesting the audit.TheCity and the District shall make available allofits records in support of the
audit.
Section 16.Ambiguities.
Intheeventofany ambiguity inanyofthe terms ofthis contract,itshallnotbe construed foror
againstanypartyheretoonthebasisthatsuchpartydidordidnotauthorthesame.
Section 17.Captions.
The captions ofthe sections and subsections,ifany,ofthis Agreement arefor convenience and
easeof reference onlyanddonot define,limit,augment or describe thescope,contentorintentofthis
Agreementor of anypartorparts of thisAgreement.
Section 18.Entire Agreement
This Agreement containsallthe agreements of thepartiesrelatingtothesubjectmatterhereofand
isthefullandfinalexpression of theagreementbetweentheparties.Anyoralrepresentationsor
modifications concerningthis instrument are of noforceoreffectexceptingasubsequent modification in
writingsignedbyallthepartieshereto.

Section 19.Assignment or Transfer of Rights or Obligations.
TheCityshallnotsell,assign,or transfer anyofits rights or obligations underthis Agreement in
wholeorinpartwithoutpriorwrittenconsentofthe District.
Section 20.Severability.
Allpartiesagreethatshouldanyprovisionofthis Agreement bedeterminedtobeinvalidor
unenforceable,suchdeterminationshallnotaffectanyotherterm of thisAgreement,whichshallcontinue
in full force and effect.
Section 21.Authority.
The officers executing this Agreement onbehalfofthe parties hereby represent thatsuchofficers
havefullauthoritytoexecutethis Agreement andtobindtheparty he/she represents.
IN WITNESS WHEREOF,thepartieshavemadeandexecutedthiscontractinmultiplecopies,
each of whichshallbeanoriginalandeffectiveontheday of August,2014.
