A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN AREA
WATER AUTHORITY AUTHORIZING THE GENERAL MANAGER TO
NEGOTIATE AND EXECUTE AN EARNEST MONEY CONTRACT FOR THE
PURCHASE OF PROPERTY FOR THE BAWA EAST PROJECT; AUTHORIZING
PAYMENT OF A PURCHASE PRICE FOR SUCH PROPERTY IN AN AMOUNT
NOT TO EXCEED THREE MILLION AND NO /100 DOLLARS ($3,000,000);
MAKING OTHER PROVISIONS RELATED THERETO; AND PROVIDING FOR
THE EFFECTIVE DATE THEREOF.
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER
AUTHORITY:
Section 1: That the Board of Directors of the Baytown Area Water Authority authorizes the
General Manager to negotiate and execute an Earnest Money Contract for the purchase of property for the
BAWA East Project under terms and conditions acceptable to the General Manager and the General
Counsel.
Section 2: That the Board of Directors of the Baytown Area Water Authority authorizes
payment of a purchase price for the property subject to the agreement authorized in Section l hereof in an
amount not to exceed THREE MILLION AND NO /l00 DOLLARS ($3,000,000).
Section 3: That the General Manager is hereby granted general authority to approve any
change order involving a decrease or an increase in costs of FIFTY THOUSAND AND NO /100
DOLLARS ($50,000.00) or less, provided that the amount stated in Section 2 hereof may not be increased
by more than twenty-five percent (25 %) or decreased by more than ten percent (10 %) without the consent
of the Seller(s) to such decrease unless otherwise provided for in the contract authorized in Section 1
hereinabove.
Section 4: This resolution shall take effect immediately from and after its passage by the
Board of Directors of the Baytown Area Water Authority.
