A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER
AUTHORITY AUTHORIZING THE SECOND RENEWAL OF THE AS -NEEDED ZINC
SODIUM POLYPHOSPHATE PURCHASE AGREEMENT WITH SHANNON CHEMICAL
COPORATION; AUTHORIZING PAYMENT BY THE BAYTOWN AREA WATER
AUTHORITY FOR SUCH RENEWAL IN AN AMOUNT NOT TO EXCEED THREE
HUNDRED TWENTY-EIGHT THOUSAND THREE HUNDRED THREE AND 02/100
DOLLARS ($328,303.02); MAKING OTHER PROVISIONS RELATED THERETO; AND
PROVIDING FOR THE EFFECTIVE DATE THEREOF.
WHEREAS, the Baytown Area Water Authority contracted with Shannon Chemical Corporation, for the As -
Needed Zinc Sodium Polyphosphate Purchase Agreement; and
WHEREAS, the competitively bid As -Needed Zinc Sodium Polyphosphate Purchase Agreement included an
option by the parties to renew for additional one-year periods; and
WHEREAS, such contract can now be renewed for an additional one-year term; and
WHEREAS, Shannon Chemical Corporation, has indicated its willingness to renew the contract for an
additional year; and
WHEREAS, the Board has reviewed the market conditions and recommends renewal as being in the best
interest of the Baytown Area Water Authority; NOW THEREFORE,
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER
AUTHORITY:
Section I: That subject to the approval of the City Council of the City of Baytown, TX, Board of
Directors of the Baytown Area Water Authority hereby renews the As -Needed Zinc Sodium Polyphosphate Purchase
Agreement with Shannon Chemical Corporation, for an amount not to exceed THREE HUNDRED TWENTY-EIGHT
THOUSAND THREE HUNDRED THREE AND 02/100 DOLLARS ($328,303.02), and authorizes payment thereof.
Section 2: That the General Manager is hereby granted general authority to approve any change order
involving a decrease or an increase in costs of FIFTY THOUSAND AND NO11100 DOLLARS (S50,000.00) or less,
subject to the provision that the original contract price may not be increased by more than twenty-five percent (251'0)
or decreased by more than twenty-five percent (25%) without the consent of the contractor to such decrease.
Section 3: This resolution shall take effect immediately from and after its passage by the Baytown Area
Water Authority.
INTRODUCED, READ and PASSED by the affirmative vote of the Board of Directors of the Baytown Area
