AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS,
AUTHORIZING THE FIRST AMENDMENT TO THE STRATEGIC PARTNERSHIP
AGREEMENT WITH HARRIS COUNTY MUNICIPAL UTILITY DISTRICT NO. 213-
A; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN,TEXAS:
Section 1: That the City Council of the City of Baytown,Texas,hereby authorizes and directs
the City Manager to execute and the City Clerk to attest to the First Amendment to the Strategic Partnership
Agreement with Harris County Municipal Utility District No. 213-A. A copy of said amendment is
attached hereto as Exhibit "A" and incorporated herein for all intents and purposes.
Section 2: This ordinance shall take effect immediately from and after its passage by the City
Council of the City of Baytown.
INTRODUCED, READ and PASSED by the affirmative vote of the City Council of the City of
Baytown this the 9th day of July, 2026.

EXHIBIT "A"
FIRST AMENDMENT TO STRATEGIC PARTNERSHIP AGREEMENT
This FIRST AMENDMENT TO STRATEGIC PARTNERSHIP AGREEMENT (this
"First Amendment") is entered into effective this day of , 2026 (the
"Effective Date"), by and between the CITY OF BAYTOWN, TEXAS, a municipal corporation
and home-rule city of the State of Texas (the "City"), and HARRIS COUNTY MUNICIPAL
UTILITY DISTRICT NO. 213-A, a conservation and reclamation district created pursuant to
Section 59 of Article XVI of the Texas Constitution and operating pursuant to Chapters 49 and
54 of the Texas Water Code, as amended (the "District"). The City and the District may be
referred to herein collectively as the "Parties".
RECITALS
WHEREAS, pursuant to City Ordinance No. 13,993, the City and the District entered
into that certain Strategic Partnership Agreement entered into effective as of January 24, 2019
(the "Original Agreement');
WHEREAS, the District annexed 378.34 acres of land by that certain Order Adding
Land and Redefining Boundaries dated January 25, 2023;
WHEREAS, the City and the District desire to amend the Original Agreement to revise
the definition of"Property" to all land currently located within the boundaries of the District and
any land that may hereafter be annexed into the District; and
NOW, THEREFORE, for and in consideration of the mutual agreements, covenants,
and conditions contained herein, and other good and valuable consideration, the receipt and
sufficiency of which are hereby acknowledged by the parties hereto, the City and the District
agree as follows:
AGREEMENT
The Original Agreement is hereby amended as follows:
1. Definition of the "Pronerty". Paragraph 1 of the Recitals is hereby amended, restated, and
replaced, in its entirety, by the following:
The District was created with the consent of the City for the purpose of providing water, sewer,
transportation, recreation, and drainage facilities to the land within its boundaries. The District is
located within the extraterritorial jurisdiction ("ETJ") of the City but is not within its corporate
limits. The District is part of a zoned community of approximately 964.066 acres, as more
particularly described in Exhibit "A," which is attached hereto and incorporated herein for all
purposes (the "Property"), together with any additional land that may be hereafter annexed into
the District.
2. Exhibit A Replaced. Exhibit "A" of the Original Agreement is hereby deleted and
replaced with Exhibit "A" of this First Amendment, which depicts the current boundaries of the
District as of the Effective Date of this First Amendment.

3. Applicability to Future Annexed Property. The terms and conditions of the Original
Agreement, as amended hereby, shall apply to the Property, which shall include the additional
land of 378.34 acres and any land the District may annex in the future. Any such land shall
automatically be deemed included within the definition of"Property" for all purposes under the
Original Agreement upon the effective date of such annexation, without further amendment of
the Original Agreement.
4. Construction. In the event of any inconsistency between any term or provision of the
Original Agreement and any term or provision of this First Amendment, the terms and provisions
of this First Amendment shall govern and control for all purposes and respects and the Original
Agreement shall be deemed amended to be consistent herewith.
5. Defined Terms. Defined terms contained herein shall have the meaning in the Original
Agreement unless otherwise specifically provided herein.
6. Full. Force and Effect of the Original Agreement. Except as expressly amended and
modified by this First Amendment, the Original Agreement shall remain in full force and effect.
