A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN AREA
WATER AUTHORITY AUTHORIZING A LEGAL SERVICES RETENTION
AGREEMENT WITH BAKER WOTRING, L.L.P., FOR LITIGATION AND LEGAL
SERVICES IN AN AMOUNT NOT TO EXCEED ONE MILLION DOLLARS
($1,000,000.00); MAKING OTHER PROVISIONS RELATED THERETO; AND
PROVIDING FOR THE EFFECTIVE DATE THEREOF.

BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS:
Section 1: That the Board of Directors of the Baytown Area Water Authority hereby authorizes
a Legal Services Retention Agreement with Baker Wotring, L.L.P. for litigation and legal services. A copy
of said agreement is attached hereto as Exhibit "A" and incorporated herein for all intents and purposes.
Section 2: That the Board of Directors of the Baytown Area Water Authority, hereby authorizes
payment in an amount not to exceed ONE MILLION DOLLARS ($1,000,000.00) to Baker Wotring, L.L.P.,
for litigation and legal services.
Section 23 This resolution shall take effect immediately from and after its passage by the Board
of Directors of the Baytown Area Water Authority.
INTRODUCED, READ, and PASSED by the affirmative vote of the Board of Directors of the
Baytown Area Water Authority this the 17' day of June, 2026.
