AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF BAYTOWN,
TEXAS APPROVING THE FIRST RENEWAL .OF THE ANNUAL LIQUID
CATIONIC POLYMER PURCHASE AGREEMENT BETWEEN THE
BAYTOWN AREA WATER AUTHORITY AND POLYDYNE, INC.;
AUTHORIZING PAYMENT BY THE BAYTOWN AREA WATER
AUTHORITY IN AN AMOUNT NOT TO EXCEED FOUR HUNDRED
THIRTY-NINE THOUSAND TWO HUNDRED EIGHTY-FIVE AND 40/100
DOLLARS ($439,285.40); MAKING OTHER PROVISIONS RELATED
THERETO; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF.

WHEREAS, the Baytown Area Water Authority contracted with Polydyne, Inc. for the.
Annual Liquid Cationic Polymer Purchase Agreement; and
WHEREAS, the Annual Liquid Cationic Polymer Purchase Agreement included an option
by the parties to renew for additional one-year periods; and
WHEREAS, such Agreement can now be renewed for an additional one-year term; and
WHEREAS, Polydyne, Inc. has indicated its willingness to renew the Agreement for an
additional year; and
WHEREAS, the Board has reviewed the market conditions and recommends renewal as
being in the best interest of the Baytown Area Water Authority; and
WHEREAS, the Baytown Area Water Authority's enabling legislation requires that the
City Council approve certain agreements before the Baytown Area Water Authority ("BAWA")
enters into the same; and
WHEREAS, the City of Baytown desires to approve the same,NOW THEREFORE,
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS:
Section 1: That the City Council of the City of Baytown, Texas, hereby approves the
first renewal of the Annual Liquid Cationic Polymer Purchase Agreement between BAWA and
Polydyne, Inc. for an amount not to exceed FOUR HUNDRED THIRTY-NINE THOUSAND
TWO HUNDRED EIGHTY-FIVE AND 40/100 DOLLARS ($439,285.40) and authorizes
payment thereof.
Section 2: That the City Manager is hereby granted general authority to approve any
change order involving a decrease or an increase in costs of FIFTY THOUSAND AND NO/100
DOLLARS ($50,000.00) or less, subject to the provision that the original contract price may not
be increased by more than twenty-five percent (25%) or decreased by more than twenty-five
percent (25%) without the consent of the contractor to such decrease.
Section 3: This ordinance shall take effect immediately from and after its passage by the
City Council of the City of Baytown, Texas.
