AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF BAYTOWN,
TEXAS APPROVING THE FIRST RENEWAL OF THE ANNUAL LIQUID
AMMONIUM SULFATE PURCHASE AGREEMENT BETWEEN THE
BAYTOWN AREA WATER AUTHORITY AND CHEMTRADE CHEMICALS
US, LLC; AUTHORIZING PAYMENT BY THE BAYTOWN AREA WATER
AUTHORITY IN AN AMOUNT NOT TO EXCEED ONE HUNDRED THIRTY-
NINE THOUSAND FOUR HUNDRED ELEVEN AND 80/100 DOLLARS
($139,411.80); MAKING OTHER PROVISIONS RELATED THERETO; AND
PROVIDING FOR THE EFFECTIVE DATE THEREOF.

WHEREAS, the Baytown Area Water Authority contracted with Chemtrade Chemicals
US, LLC., for the Annual Liquid Ammonium Sulfate Purchase Agreement; and
WHEREAS, the Annual Liquid Ammonium Sulfate Purchase Agreement included an
option by the parties to renew for additional one-year periods; and
WHEREAS, such Agreement can now be renewed for an additional one-year term;
Chemtrade Chemicals US, LLC, has indicated its willingness to renew the Agreement for an
additional year; and
WHEREAS, the Board has reviewed the market conditions and recommends renewal as
being in the best interest of the Baytown Area Water Authority; and
WHEREAS, the Baytown Area Water Authority's enabling legislation requires that the
City Council approve certain agreements before the Baytown Area Water Authority ("BAWA")
enters into the same; and
WHEREAS, the City of Baytown desires to approve the same, NOW THEREFORE,
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS:
Section 1: That the City Council of the City of Baytown, Texas, hereby approves the
first renewal of the Annual Liquid Ammonium Sulfate Purchase Agreement between the Baytown
Area Water Authority and Chemtrade Chemicals US, LLC for an amount not to exceed ONE
HUNDRED THIRTY-NINE THOUSAND FOUR HUNDRED ELEVEN AND 80/100
DOLLARS ($139,411.80) and authorizes payment thereof.
Section 2: That the City Manager is hereby granted general authority to approve any
change order involving a decrease or an increase in costs of FIFTY THOUSAND AND NO/100
DOLLARS ($50,000.00) or less, subject to the provision that the original contract price may not
be increased by more than twenty-five percent (25%) or decreased by more than twenty-five
percent (25%) without the consent of the contractor to such decrease.
Section 3: This ordinance shall take effect immediately from and after its passage by the
City Council of the City of Baytown, Texas.
