AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF BAYTOWN,
TEXAS, DECLARING ELEVEN (11)POLICE VEHICLES AS SURPLUS AND
AUTHORIZING AND DIRECTING THE CITY MANAGER TO EXECUTE AN
EQUIPMENT DONATION AGREEMENT FOR THE DONATION OF THE
ELEVEN (11) POLICE VEHICLES TO GOOSE CREEK CONSOLIDATED
INDEPENDENT SCHOOL DISTRICT FOR PUBLIC USE; AND PROVIDING
FOR THE EFFECTIVE DATE THEREOF.

WHEREAS, the City of Baytown ("City"), Texas owns eleven (11) police vehicles
("Property") as described below:

WHEREAS, the Property is no longer needed for municipal purposes by the City and is
hereby declared surplus to the needs of the City; and
WHEREAS, the City Council of the City of Baytown, Texas finds it to be the best interest
of the City to donate the Property to the Goose Creek Consolidated Independent School District
("GCCISD") and to authorize the City Manager to execute all necessary documents for the
donation;NOW THEREFORE
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN,TEXAS:
Section 1: That the City Council of Baytown, Texas, hereby declares the Property listed
below as surplus to the needs of the City:

Section 2: That the City Council of the City of Baytown, Texas donates the Property
declared as surplus in Section 1 to Goose Creek Consolidated Independent School District for the
fair market value amount of ONE HUNDRED EIGHTY-NINE THOUSAND AND NO/100
DOLLARS ($189,000.00) for public use. The Equipment Donation Agreement is attached hereto
as Exhibit "A", which is incorporated herein for all intents and purposes. The City Manager is
authorized to execute all necessary documents for the donation.
Section 3: This ordinance shall take effect immediately from and after its passage by the
City Council of the City of Baytown, Texas.

EXHIBIT "A"
Equipment Donation Agreement
This Equipment Donation Agreement(this "Agreement") is entered into by and between the City of
Baytown ("Donor") and the Goose Creek Consolidated Independent School District ("Donee") for use by
the Donee.The equipment donated in this agreement was purchased by Donor for use by the Donor's
Police Department.
1. AGREEMENT: Donor hereby donates, conveys, and transfers to Donee all rights, title, and
interest in and to the following equipment acquired by Donor to include the following:

I. (collectively the "Equipment")
2. DELIVERY AND ACCEPTANCE: By taking possession of the Equipment, with such possession of
the Equipment being acceptance of same, Donee acknowledges that the Equipment is in its
current order and condition.
3. TAXES, LICENSES, AND FEES: All additional taxes, licenses, and fees for services, maintenance, or
subscriptions, if any, and other expenses associated with the donation of equipment shall be
paid by Donee.
4. CONDITION OF EQUIPMENT: Donor makes no warranties regarding the condition of the
Equipment or the suitability of such Equipment for a particular purpose. The Equipment is
donated as new equipment in a "as is- where is" condition. Donor recommends immediate
servicing of the Equipment by qualified personnel before any use and to ensure manufacturer
warranty.
5. RELEASE AND INDEMIFICATION: The Donee does hereby indemnify, hold harmless, release and
defend the Donor and its officers, servants, employees, successors, assigns, contractors, and
agents of and from any and all claims, demands, expenses, costs, liabilities, third party claims,
attorney's fees and causes of action of any kind whatsoever arising out of any action taken
relating to the Equipment including, without limitation, any claim, demand, liability, loss,
damage or expenses, including attorney's fees, arising by reason of the injury to or death of any
person or persons or by reason of damage to any property caused by or relating in any manner
to the Equipment or any use of the Equipment including any claims or causes of action based on
the negligence or gross negligence of the Donor.

6. GOVERNING LAW:VENUE:This agreement is executed in Texas, and all rights and liabilities
under this Agreement shall be determined in accordance with the laws of Texas.Venue for any
legal proceedings shall lie in the Harris County, Texas.
