The Board of Directors of the Baytown Area Water Authority (BAWA) met in a Special Meeting
on October 8, 2025, at 5:00 P.M., in the Council Chamber of the Baytown City Hall, 2401
Market Street, Baytown, Texas with the following in attendance:

President Brenda Bradley Smith convened the October 8, 2025, BAWA Board Special Meeting
with a quorum present at 5:02 P.M., all members were present.
1. CITIZEN COMMENTS
President Brenda Bradley Smith announced no one signed up to speak.
2. MINUTES
a. Consider approving the minutes of the Baytown Area Water Authority Regular
Meeting held on August 27, 2025.
A motion was made by Director Alyssa Linares and seconded by Vice President Frank McKay
III to approve the meeting minutes of the Baytown Area Water Authority Regular Meeting held
on August 27, 2025. The vote was as follows:
Ayes: President Brenda Bradley Smith, Vice President Frank McKay III, Director
Alyssa Linares and Director David Start, Jr.
Nays: None

3. PROPOSED RESOLUTIONS
a. Consider the adoption of a Resolution of the Board of Directors of the Baytown
Area Water Authority Authorizing the Issuance of the Baytown Area Water Authority
BAWA Board Special Meeting Minutes

Water Supply Contract Revenue Bonds, Series 2025 for the Baytown Area Water
Authority East Surface Water Treatment Plant Expansion Project; Approving Other
Matters Related Thereto; And Providing for the Effective Date Thereof.
Chief Financial Officer Teresa McKenzie provided an overview regarding the Revenue Bonds.
Director David Start, Jr. requested clarification regarding BAWA Board Member terms, interest
rates and bond discussions.
Clarification was provided as listed below:
• 3.789% - True Interest Cost
• 3.835% - Allin
A motion was made by Vice President Frank McKay III, and seconded by Director David Start,
Jr. to approve Resolution No. 2025-18, related to Item 3.a. The vote was as follows:
Ayes: President Brenda Bradley Smith, Vice President Frank McKay III, Director
Alyssa Linares and Director David Start, Jr.
Nays: None

A RESOLUTION OF THE BOARD OF DIRECTORS OF THE
BAYTOWN AREA WATER AUTHORITY AUTHORIZING THE
ISSUANCE OF THE BAYTOWN AREA WATER AUTHORITY
WATER SUPPLY CONTRACT REVENUE BONDS, SERIES 2025
(CITY OF BAYTOWN PROJECT); APPROVING OTHER MATTERS
RELATED THERETO; AND PROVIDING FOR THE EFFECTIVE
DATE THEREOF.
4. REPORTS
a. Receive a report on the status of the Baytown Area Water Authority East
Expansion Project.
Senior Project Manager Ms. Lindsay Kovar, with BGE, Inc. presented the status report for the
Baytown Area Water Authority East Plant Expansion Project. (Exhibit A)
5. MANAGER'S REPORT
a. The next Baytown Area Water Authority meeting is scheduled for Wednesday,
November 19, 2025, at 5:00 p.m., in the Council Chamber located at City Hall, 2401
Market Street, Baytown, Texas 77520.

Acting Assistant General Manager Frank Simoneaux stated they are looking to hold a meeting on
November 19, 2025 in the Council Chamber located at City Hall.
Vice President Frank McKay III inquired of possible expansion at the old site if needed.
Public Works and Engineering Assistant Director of Utilities Sterling Beaver provided
clarification regarding the expansion and additional locations to accommodate expansion of the
facilities.
6. ADJOURN
A motion was made by Director David Start, Jr., and seconded by Director Alyssa Linares to
adjourn the October 8, 2025 Baytown Area Water Authority Board Special Meeting at 5:14 P.M.
The vote was as follows:
