Ordinance No. 16,220 ORDINANCE NO. 16,220 AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS, APPROVING THE SECOND ADDENDUM TO INTERLOCAL AGREEMENT BETWEEN HARRIS COUNTY SPORTS & CONVENTION CORPORATION AND CITY OF BAYTOWN, TEXAS; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. WHEREAS, on January 22, 2024, the City of Baytown, Texas (the "City") and Harris County Sports & Convention Corporation ("HCSCC") executed the Interlocal Agreement between them (the "Interlocal Agreement")to memorialize the terms pursuant to which HCSCC may operate and act on behalf of the City in performing and assisting with various services on behalf of the City for the purposes of planning a sports and entertainment facility; and WHEREAS, the Interlocal Agreement provides that the terms of each project or service approved by the City and to be accepted by HCSCSS (each a "Project" and, collectively, the "Projects") shall be evidenced in an addendum in a form approved by the Parties("Addendum"), and each Addendum shall be subject to the terms and conditions of the Interlocal Agreement; and WHEREAS, the City and HCSCC entered into the First Addendum to the Interlocal Agreement on September 12, 2024 by Ordinance No. 15,910; and WHEREAS, the City and HCSCC now desire to provide additional terms, through a Second Addendum, for the City's"Project Vector",which is described in the Interlocal Agreement as"a municipal sports and community venue project"; and WHEREAS, the City finds that entering into this Second Addendum relating to Project Vector is for the benefit of the City and its residents. NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS: Section 1: That the facts and matters set forth in the recitals of this Ordinance are hereby found to be true and correct and are herein adopted by the City Council of the City of Baytown,Texas. Section 2: The City does hereby approve the Second Addendum to Interlocal Agreement. Said Second Addendum is attached hereto as Exhibit"A"and incorporated by reference as if fully set forth herein. Personnel: Jacob Frizzell Director of Projects Harris County Sports &Convention Corporation Utilization of other personnel must be approved prior to work by an authorized representative of the City of Baytown. Owner's Advisor: Harris County Sports &Convention Corporation Fees: CEO/Executive Director$150/hour Director of Finance$125/hour Director of Projects$100/hour Administrative Supports$40/hour Specialized Consultants not exceed $325/hour Fees to be billed monthly with a maximum amount of$500,000.00 from previously approved ILA total amount. Scope of Services: HCSCC will serve in an Owner's Advisor role to be a part of the Ownership Team along with the Owner's Representative and the City of Baytown. HCSCC Director of Projects shall act as a consultant to COB on an as needed basis with regards to the Project. Areas of consultation may include the following: Project Planning&Coordination • Review a Master Project Schedule outlining key milestones, deliverables, and dependencies as developed by Owner's Representative. • Create a Program Management Framework for the Owner's Representative to align all components of the master plan. • Identify potential project risks, ensuring alignment with overall goals. • Develop and assist with the implementation of a quality control and assurance plan. Stakeholder Communication • Attend regular stakeholder meetings to provide insight and address concerns. • Participate in public outreach strategy, including community engagement sessions. • Assist with preparation of progress reports, presentations, and updates for leadership, City Council,and key stakeholders. Budget& Fiscal Oversight • Review the program budget, ensuring cost control and financial accountability. • Participate with potential funding opportunities(grants, public-private partnerships, investment incentives). • Provide project related assistance to COB for the development of funding strategies for long term sustainability Design Phase Services • Participate in overall design process assisting with oversight related to schedule and change orders. • Assist COB with procurement processes for selecting architects/engineers including being member of review committees. • Provide expertise regarding sports and venue related design issues. Construction Phase Services • Participate as evaluator in construction procurement processes for contractors through City of Baytown procurement department. • Monitor construction progress through attendance at weekly or biweekly meetings. • Assist in addressing delays and change orders Operations&Service Integration • Participate in the operational strategy and planning for facility management and operations. • Assist in procurement and selection of operator, if applicable. • Work with potential tenants, businesses, and operators to establish facility management plans. Addendum No. 2 shall supersede and replace Addendum No. 1 in its entirety.
