A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER
AUTHORITY AUTHORIZING THE FIRST RENEWAL OF THE AS-NEEDED
HYDROFLUOROSILICIC ACID PURCHASE AGREEMENT WITH SHANNON CHEMICAL
CORPORATION; AUTHORIZING PAYMENT BY THE BAYTOWN AREA WATER
AUTHORITY FOR SUCH RENEWAL IN AN AMOUNT NOT TO EXCEED SEVENTY-NINE
THOUSAND SEVENTY-EIGHT AND 44/100 DOLLARS ($79,078.44); MAKING OTHER
PROVISIONS RELATED THERETO; AND PROVIDING FOR THE EFFECTIVE DATE
THEREOF.

WHEREAS,the Baytown Area Water Authority contracted with Shannon Chemical Corporation,for the As-
Needed Hydrofluorosilicic Acid Purchase Agreement;and
WHEREAS, the competitively bid As-Needed Hydrofluorosilicic Acid Purchase Agreement included an
option by the parties to renew for additional one-year periods;and
WHEREAS, such contract can now be renewed for an additional one-year term;and
WHEREAS, Shannon Chemical Corporation, has indicated its willingness to renew the contract for an
additional year;and
WHEREAS, the Board has reviewed the market conditions and recommends renewal as being in the best
interest of the Baytown Area Water Authority;NOW THEREFORE,
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER
AUTHORITY:
Section 1: That subject to the approval of the City Council of the City of Baytown, TX, Board of
Directors of the Baytown Area Water Authority hereby renews the As-Needed Hydrofluorosilicic Acid Purchase
Agreement with Shannon Chemical Corporation, for an amount not to exceed SEVENTY-NINE THOUSAND
SEVENTY-EIGHT AND 44/100 DOLLARS($79,078.44and authorizes payment thereof
Section 2: That the General Manager is hereby granted general authority to approve any change order
involving a decrease or an increase in costs of FIFTY THOUSAND AND NO/100 DOLLARS ($50,000.00)or less,
subject to the provision that the original contract price may not be increased by more than twenty-five percent(25%)
or decreased by more than twenty-five percent(25%)without the consent of the contractor to such decrease.
Section 3: This resolution shall take effect immediately from and after its passage by the Baytown Area
Water Authority.
