AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS,
AUTHORIZING A THIRD AMENDMENT TO THE AGREEMENT FOR
PROFESSIONAL SERVICES AND EMPLOYMENT AS CITY MANAGER WITH
JASON E. REYNOLDS TO EXTEND THE TERM, AUTHORIZE A SALARY
INCREASE TO THE EXTENT OF OTHER NON-CIVIL SERVICE EMPLOYEES,AND
INCREASING ACCRUED, BUT UNUSED, VACATION LEAVE; AND PROVIDING
FOR THE EFFECTIVE DATE THEREOF.
WHEREAS, on January 12, 2023, the City Council of the City of Baytown, Texas passed
ordinance No. 15,321 authorizing an Agreement for Professional Services and Employment (the
"Agreement") with Jason E. Reynolds as City Manager; and
WHEREAS, on December 14, 2023, the City Council evaluated Mr. Reynolds'
employment and was pleased with his performance; and
WHEREAS, on December 14, 2023, the City Council passed ordinance No. 15,670A
authorizing a First Amendment to the Agreement (the"First Amendment"); and
WHEREAS, on August 22, 2024, the City Council evaluated Mr. Reynolds' employment
and was pleased with his performance; and
WHEREAS, on August 22, 2024, the City Council passed ordinance No. 15,890
authorizing a Second Amendment to the Agreement (the"Second Amendment"); and
WHEREAS, on July 10, 2025, the City Council again evaluated Mr. Reynolds'
employment; and
WHEREAS, the City Council continues to be pleased with Mr. Reynolds' performance.
NOW,THEREFORE,
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN,TEXAS:
Section 1: That the City Council of the City of Baytown, Texas, hereby authorizes the
Mayor to execute and the City Clerk to attest to a Third Amendment to the Agreement for
Professional Services and Employment as City Manager with Jason E. Reynolds. Said agreement
shall be substantially the same as attached hereto, marked Exhibit "A," and made a part hereof for
all intents and purposes.
Section 2: This ordinance shall take effect immediately from and after its passage by the City
Council of the City of Baytown.
INTRODUCED, READ and PASSED by the affirmative vote of the City Council of the City of
Baytown this the 10"day of July, 2025.

EXHIBIT "A"
THIRD AMENDMENT TO AGREEMENT FOR
PROFESSIONAL SERVICES AND EMPLOYMENT AS CITY MANAGER
This Third Amendment to Agreement for Professional Services and Employment as City
Manager (this "Third Amendment"), is made and entered into effective as of this the 10th day of
June, 2025 (the "Effective Date"), by and between the City of Baytown, Texas, a municipal
corporation (the "City"), and Jason Reynolds (the "Manager"), to establish and set forth the terms
and conditions of the employment of the Manager as the City Manager of the City.
WITNESSETH :
WHEREAS, on January 12, 2023, the City Council of the City of Baytown, Texas passed
ordinance No. 15,321 authorizing an Agreement for Professional Services and Employment (the
"Agreement") with Jason E. Reynolds as City Manager; and
WHEREAS, on December 14, 2023, the City Council evaluated Mr. Reynolds'
employment and was pleased with his performance; and
WHEREAS, on December 14, 2023, the City Council passed ordinance No. 15670A
authorizing a First Amendment to the Agreement (the"First Amendment"); and
WHEREAS, on August 22, 2024, the City Council evaluated Mr. Reynolds' employment
and was pleased with his performance; and
WHEREAS, on August 22, 2024, the City Council passed ordinance No. 15890
authorizing a Second Amendment to the Agreement (the "Second Amendment"); and
WHEREAS, on July 10, 2025, the City Council again evaluated Mr. Reynolds'
employment; and
WHEREAS, the City Council continues to be pleased with Mr. Reynolds' performance.
NOW, THEREFORE, in consideration of Manager's continuing satisfactory employment
with the City, and other good and valuable consideration, including the mutual covenants
contained in this Third Amendment, the City and the Manager hereby contract, covenant, and
agree as follows:
In accordance with Section 14(E), Section 2 of the Agreement is amended as follows:
Section 2. Term.
The term of this Agreement shall be from the Effective Date until July 12,
2030 and shall remain in full force and effect during such term unless
terminated by the Manager or the Council as provided in this Agreement
(the "Term"); however, the Manager shall serve at the pleasure of the
Council and at all times shall be considered an at-will employee regardless

of any contrary provision contained in this Agreement. Nothing in this
Agreement shall prevent, limit or otherwise interfere with the right of the
Council or the Manager to terminate the services of the Manager at any
time, subject only to applicable provisions of the City Charter, City
personnel policies and procedures, and the provisions set forth in this
Agreement in the section entitled "Termination."
In accordance with Section 14(E), Section 3 of the Agreement is amended as follows:
Section 3. Salary.
The City agrees to pay the Manager an annual base salary, which salary
shall be, effective January 1, 2024, TWO HUNDRED SIXTY-FIVE
THOUSAND AND NO 100 DOLLARS ($265,000.00), payable in
installments at the same time as other non-civil service employees of the
City are paid. The Council further agrees to review the base salary and
other benefits of the Manager at the same intervals as it reviews the
salaries and benefits of other non-civil service City employees. If non-
civil service employees are granted a pay raise during the term of this
Agreement, Mr. Reynolds will be entitled to the same percentage raise as
those employees.
In accordance with Section 14(E), Section 4(b) of the Agreement is amended as follows:
Section 4. Benefits.
B. In recognition of the managerial experience of Manager, vacation
leave shall be calculated and granted to the Manager in accordance
with the City's regulations utilizing the equivalent tenure of an
employee with six (6) years of service to City. Accrued, but
unused, vacation leave up to four-hundred (400) hours shall carry
over from year-to-year during the term of this Agreement.
All other Sections of the Agreement shall remain in full force and effect.

IN WITNESS WHEREOF, the City and the Manager have executed this Third
Amendment as of the Effective Date.
