AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS,
AUTHORIZING AND DIRECTING THE CITY MANAGER TO EXECUTE AND THE CITY
CLERK TO ATTEST TO AN AMENDMENT TO THE AGREEMENT FOR AUDITING
SERVICES WITH WEAVER & TIDWELL LLP; AUTHORIZING AN ADDITIONAL
PAYMENT IN AN AMOUNT NOT TO EXCEED FIFTY-FIVE THOUSAND AND NO 100
($55,000.00); MAKING OTHER PROVISIONS RELATED THERETO; AND PROVIDING
FOR THE EFFECTIVE DATE THEREOF.

BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN,TEXAS:
Section 1: That the City Council of the City of Baytown, Texas, hereby authorizes and directs the
City Manager to execute and the City Clerk to attest to an Amendment to the Agreement for Auditing Services
with Weaver&Tidwell LLP. A copy of said Agreement is attached hereto, marked Exhibit "A,"and made a part
hereof for all intents and purposes.
Section 2: That the City Council of the City of Baytown hereby authorizes an additional payment to
Weaver & Tidwell LLP, in an amount not to exceed FIFTY-FIVE THOUSAND AND NO:1100 ($55,000.00)
pursuant to the amended agreement authorized in Section 1 hereof.
Section 3: That the City Manager is hereby granted general authority to approve a decrease or an
increase in costs by FIFTY THOUSAND AND NO 100 DOLLARS ($50,000.00) or less, provided that the
amount authorized in Section 2 hereof may not be increased by more than twenty-five percent (250o).
Section 4: This ordinance shall take effect immediately from and after its passage by the City
Council of the City of Baytown.

Dear City Management:
Weaver and Tidwell, L.L.P. ("our" and "we") previously entered into that certain engagement letter dated September 16,
2024 with the City of Baytown, Texas ("you" and "your") concerning the provision of certain services (the "Engagement
Letter"). You have requested we perform additional services under the same terms and conditions provided in the
Engagement Letter.
We are pleased to confirm by means of this letter our understanding of these additional services we are to perform for you.
These services supplement(but do not replace)those described in the Engagement Letter.
Once signed by all of the parties, this letter constitutes an amendment to the Engagement Letter and shall be incorporated
therein for all purposes. Except as set forth herein,no other provisions of the Engagement Letter are amended or modified.
Additional Scope of Work
Non-attest services to assist with entries to convert accounting records from cash to modified accrual and modified accrual
to full accrual,as applicable. Areas of assistance will include(but are not limited to):
• Capital Assets—Governmental-type activities
• Capital Assets—Business-type activities and enterprise funds
• Federal,State,and Local Grants—Revenues/Receivables/Deferrals/Expenditures
• Hotel Operations—Reconciliation of operating schedules
• Assistance with implementation of GASB Statements No.99 and 100
Additional Resulting Fees
The fees for the above services are estimated to be $55,000. This estimate (given in accordance with the assumptions
described in the Engagement Letter)is our agreed upon estimated increase in fees.
