A copy of said agreement is attached hereto as Exhibit "A" and incorporated herein for all intents andpurposes. WHEREAS,the CITY has determined that it is necessary to make certain improvements to Garth Road,which said changes are generally described as follows: WHEREAS, these proposed roadway improvements will necessitate the adjustment, removal, and/or relocation of certain facilities of OWNER as indicated in the following statement of work: PS Lightwave will install 24,702 LF of fiber optic cable in 6,720 LF of 3-1" HDPE conduit via directional bore along Garth Rd. between W Archer Rd. and IH-10. PS Lightwave will also remove approximately 7,595 LF of facilities as further described in Exhibit "A" and such work is described in OWNER's plans,specifications and costs(estimated at$182,365.78),which are attached hereto and made a part hereof, and which are prepared in form and manner required by 23 CFR 645, Subpart A, and amendments thereto; and WHEREAS, the OWNER, has provided sufficient legal authority to the CITY to establish an interest in properties affected by the abovementioned roadway improvements. Said facilities are located upon such properties as indicated in the statement of work as described in Exhibit"A". NOW, THEREFORE, in consideration of the covenants and agreements herein contained, the parties mutually agree as follows: The CITY will pay for costs incurred in the adjustment or relocation of OWNER's facilities to the extent authorized under Title 23, Code of Federal Regulations, Part 645, Subpart A. The CITY's participation will not exceed $173,379.54 or percent (95.69%) of the total cost of authorized expenses after receipt of a final billing prepared in accordance with the abovementioned federal regulations. The OWNER has determined that the method to be used in developing the adjustment or relocation costs shall be as specified for the method checked and described hereinafter: ® (1) Actual direct and related indirect costs accumulated in accordance with a work order accounting procedure prescribed by the applicable Federal or State regulatory body. ❑ (2) Actual direct and related indirect costs accumulated in accordance with an established accounting procedure developed by the OWNER and approved by the CITY. Subject to the participation percentage as set out above, the CITY will, upon satisfactory completion of the adjustment or relocation, and upon receipt of a final billing prepared in the form and manner prescribed by Federal regulations, make payment in the amount of ninety percent(90%)of the eligible costs as shown in the final billing. The final billing for work completed herein shall be submitted to the CITY not later than ninety (90) days after completion of the work. Upon receipt of the final billing and conclusion of the audit, the CITY agrees to pay OWNER Page 1 of 12 &"n BAYTOWN one hundred (100%) of its share of the eligible cost as indicated above. The CITY shall make payment within 45 days of acceptance of the final billing. In the event there is a substantial change for the statement of work contained in Exhibit"A", reimbursement is limited to twenty five percent (25%) of the amount approved and actually expended pursuant to this agreement and its attached exhibits unless written approval is obtained from the CITY. All changes shall be documented on the OWNER's "as-built" plans supplied to the CITY. CITY shall reimburse OWNER for any additional cost or expense caused by any unreasonable delays waiting for CITY's written approval. Upon execution of this agreement by all parties, the CITY will, by written notice, authorize the OWNER to proceed with the necessary adjustment or relocation, and the OWNER agrees to prosecute such work diligently in accordance with the OWNER's plans. Such plans are attached as Exhibit"B".OWNER shall provide the CITY with forty-eight (48) hours written notice prior to proceeding with the adjustment or relocation and agrees to proceed in such a manner that will not result in avoidable delay or interference with the CITY's roadway construction. Should OWNER by its actions cause interference or delay resulting in the imposition of damages upon the CITY by a third party, OWNER agrees to be responsible for said damages.Such authorization to proceed shall constitute notice on the part of the CITY that the relocation has been included in an approved program as an item of right of way acquisition, that a project agreement which includes the work has or will be executed, and that the utility relocation or adjustment will be required by the final approved project agreement and plans. The OWNER will retain records of such costs in accordance with the provisions of 23 CFR Part 645, Subpart A. The OWNER shall comply with the Buy America provisions of 23 U.S.C. § 313, 23 CFR 635.410, as amended, and the Steel and Iron Preference provisions of Texas Transportation Code § 223.045 and, when products that are composed predominately of steel and/or iron are incorporated into the permanent installation of the utility facility, use domestically manufactured products. Material Statement Form 1818, along with all required attachments, must be submitted, prior to the commencement of the adjustment, removal, and relocation of the facility, as evidence of compliance with the aforementioned provisions. Failure to submit the required documentation or to comply with the Buy America, and Steel and Iron Preference requirements shall result in: (1) the OWNER becoming ineligible to receive any contract or subcontract made with funds authorized under the Intermodal Surface Transportation Efficiency Act of 1991; (2) the CITY withholding reimbursement for the costs incurred by the OWNER in the adjustment, removal, and relocation of the OWNER's facilities; and (3) removal and replacement of the non-compliant products. The PARTIES, by execution of this agreement, do not waive any rights to which EACH PARTY may legally have within the limits of the law. This agreement is subject to cancellation by the CITY at any time up to the date that work under this agreement has been authorized. CITY shall reimburse OWNER 100%of all cost incurred by OWNER up to the date of receipt of Notice of Cancellation. The CITY may conduct or cause to be conducted an audit or investigation of any entity receiving funds from the CITY directly under this contract or indirectly through a subcontract under this contract.Acceptance of funds directly under this contract or indirectly through a subcontract under this contract acts as acceptance of the authority of the CITY Auditor, under the direction of the Legislative Audit Committee, to conduct an audit or investigation in connection with those funds. It is also expressly understood that the OWNER conducts the adjustment, removal, or relocation at its own risk, and that the OWNER agrees to indemnify and hold the CITY harmless for damage to existing facilities caused by the conduct of the OWNER or any third party working on behalf of the OWNER. All terms, conditions, and provisions of this Agreement are subject to all applicable federal laws, state laws, the Charter of the City of Baytown, all ordinances passed pursuant thereto, and all judicial determinations relative Page 2 of 12 OBAMYTWN thereto. The place of making and the place of performance for all purposes shall be Baytown, Harris County,Texas. In the event of any ambiguity in any of the terms of this Agreement, it shall not be construed for or against any party hereto on the basis that such party did or did not author the same.This Agreement contains the entire understanding and constitutes the entire agreement between the parties hereto concerning the subject matter contained herein. There are no representations, agreements, arrangements, or understandings, oral or written, express or implied, between or among the parties hereto, relating to the subject matter of this Agreement,which are not fully expressed herein. The terms and conditions of this Agreement shall prevail notwithstanding any variance in this Agreement from the terms and conditions of any other document relating to this transaction or these transactions. If any section, subsection, paragraph, sentence, clause, phrase, or word in this Agreement, or application thereof to any person or circumstance is held invalid by any court of competent jurisdiction, such holding shall not affect the validity of the remaining portions of this Agreement, and the parties hereby declare they would have enacted such remaining portions despite any such invalidity. It is normal practice for proposed facilities to be installed beneath existing facilities. Facility Owner may install proposed Facility over Company's pipeline, provided a 5 feet minimum coverage will be maintained between the bottom of the Facility and the top of the Company's pipeline. 11. Fence Clearance(s). Facility Owner may install proposed fence Facility over Company's pipeline, provided a 30" solid clearance must be maintained between the Facility poles and the wall of the Company's pipeline. Work and Clean-Up. All work and clean-up within Company's existing Right-of-Ways will be done to the satisfaction of Company's on-site representative. 25. Construction Commencement. If constriction work does not commence within 120 days of the date of acceptance, this Letter of No Objection will automatically expire. This Letter of No Objection, however, may be extended by the parties' mutual written agreement. 26. Termination. Company may terminate the Letter of No Objection immediately if there are any deviations from the Plans, or if Facility Owner fails to comply with any of the requirements contained in the Letter of No Objection. 27. Definition of Facility Owner. All references to Facility Owner include Facility Owner's employees, contractors and agents. 28. "Including." Unless the context requires otherwise, the term "including" means "included, but not limited to." 29. Headings. This Letter of No Objection will be construed as though both parties participated equally in its drafting. Any rile of construction that a document is to be construed against the drafting party will not apply to this Letter of No Objection. 31. Choice of Law. Texas law applies to this Letter of No Objection without regard to any choice- of-law riles that might direct the application of the law of any other jurisdiction. Any dispute regarding this Letter of No Objection will be adjudicated in the United States District Court for the Southern District of Texas or, if that court does not have jurisdiction, in the Judicial District Court for Harris County, Texas. 32. Entire Agreement. This Letter of No Objection constitutes the sole agreement of the parties with respect to its subject matter. It supersedes any prior written or oral agreements or communications between the parties. It may not be modified except in a writing signed by the parties. 33. Severability. If any part of this Letter of No Objection is for any reason held to be unenforceable, the rest of it remains fully enforceable. If any provision is held unenforceable, the parties will attempt to agree on a valid or enforceable provision that will be a reasonable substitute for the unenforceable provision. 34. Successors and Representatives. This Letter of No Objection binds and inures to the benefit of the parties and their respective heirs, personal representatives, and successors. Once the encroaching party and Equistar have agreed to an encroachment plan, Equistar will issue a letter of no objection ("LONO"). 1. General Safety Requirements 1.1. Texas811 (811) or Louisiana811 (811) must be contacted at least 48 hours(2 working days) before any construction and/or excavation activities are initiated. Equistar may have a representative present to ensure that there are no conflicts with the pipeline. 1.1.1.Failure to utilize the One-Call service can be quite costly in terms of unnecessary risk for employees, innocent bystanders, personal property of others, and the environment; as well as potential civil penalties and/or fines. 1.2. Equistar's pipeline location(s) must be accurately represented on the proposed construction plans. 1.3. Equistar will hold responsible all parties for taking all necessary safety and environmental precautions on Equistar property or near Equistar assets and Equistar will hold responsible all parties for any damages caused to the pipeline, property, or waterways because of their work. 1.4. Equistar shall be held harmless from and against any and all claims of whatsoever kind and nature which might be associated with or derived from such damage, disturbance or interference. 1.5. Equistar reserves the right to further impose reasonable stipulations or requirements specific to each situation. 2. General Construction Activities 2.1. Where it is necessary for construction equipment (i.e.tractors, backhoes, dump trucks etc.)or equipment transporting construction materials to cross the pipeline to gain access to the job site, a crossing may be required to be constructed at a 90 degree (900) angle to the pipeline. Equistar will evaluate load factors in order to define a safe crossing method. 2.2. No track type construction equipment shall be permitted to pivot or turn directly over top of the pipeline unless adequate cover is provided. 2.3. A scraper or pan type tractor shall not be used for removal of soil within ten feet (10')of the centerline of the pipeline unless pipeline cover& depth at no less than twenty feet(20') Rev.August 2022 Page 1 of 5 longitudinal intervals have been verified by Equistar. Rubber tire or small track type equipment is an acceptable alternative. 2.4. Equistar approval will be required for vibratory rollers to be used within three feet (3') of the centerline of the pipeline, unless the compacted cover over the pipeline is a depth of three and one-half feet(3 1/2'). 2.5. Equistar reserves the right to charge reasonable and customary fees to maintain an on-site field presence during large pipeline construction projects. 3. Excavation Specific Requirements 3.1. No excavation or construction activity will be permitted near a pipeline until all appropriate communications have been made with Equistar. 3.2. The actual location of each excavation, or actual path of each directional drill should be accurately marked on the ground before Equistar arrives to respond to a One Call ticket. 3.3. There shall be no excavation or backfilling within the pipeline right-of-way for any reason without a representative of Equistar on site and actively monitoring. Equistar's representative may suspend any work activities at any time,at their sole discretion. 3.4. In order to minimize the potential for pipeline damage and significant incidents, all pipelines must be positively identified by either probing, or excavation at each excavation location or directional drill crossing. 3.5. Mechanized equipment is prohibited within the Tolerance Zone(18"+/Z pipe diameter)of the pipeline. 3.6. Digging perpendicular within ten feet(10')to the pipeline is prohibited until the pipeline is exposed. 3.7. All backhoe/trackhoe buckets used for excavation near the pipeline must have a safety bar across the "teeth" and side cutters removed. 3.8. No mechanical excavation will be permitted within 18 inches of the pipeline. All excavation within 18 inches must be done by hand or hydro-excavation. 4. Foreign Line or Utility Crossings 4.1. All foreign lines will cross under the pipeline unless the pipeline is at a prohibitive depth. 4.1.1.If the pipeline is at a prohibitive depth, Equistar will review and evaluate the proposed crossing location to determine if it will be feasible to allow the foreign line to cross above the pipeline. 4.2. All foreign lines shall cross the pipeline right-of-way at, or as near to,a 90 degree (900) angle as is feasible. 4.3. Clearances for new line installations: 4.3.1.New pipelines six inches(6") in diameter and smaller shall have a minimum of two feet (2') separation from the pipeline. 4.3.2.New pipelines eight inches(8") in diameter and larger shall have a minimum of three feet (3') separation from the pipelines. 4.4. If the foreign line is a telecommunications cable, power cable, or similar in nature, the foreign line shall be placed in a Schedule 40 PVC conduit,or greater, for a linear distance extending ten feet(10')on either side of the centerline of the pipeline.The entire length of conduit, inside process areas and meter stations, shall either be encased in red dyed concrete, or shall have a red dyed concrete cap placed on top of it. 4.5. If the foreign line is a metallic pipeline, or similar in nature, the foreign line shall be coated with a suitable coating for a distance of at least fifty feet(50') on either side of the centerline of the pipeline.The foreign line owner,operator, or their contractor, shall install cathodic protection Rev.August 2022 Page 2 of 5 bonds and potential test leads to the foreign line at the crossing location and terminate the leads at an above ground location as identified by Equistar. Equistar will install the test leads on the pipeline. 4.6. Below ground precautionary flagging (warning tape) shall be placed in the ditch line above the foreign line.The warning tape shall be placed approximately one foot(1') below the final surface grade/elevation.The warning tape shall extend for a linear distance of ten feet (10') on either side of the centerline of the pipeline. 4.7. Underground cabling approved to be installed over a pipeline shall be protected from excavation activities by a minimum of schedule 40 nonmetallic conduit that extends at least ten feet (10') past the line being crossed on both sides, with a minimum of two feet (2') clearance from the pipeline. 5. Directional Drilling or Boring 5.1. May not be performed within four feet(4')of an underground Equistar asset. 5.2. May not be performed within ten feet(10')of an Equistar asset without visually validating the clearances. 5.3. Additional visual verifications or installation of sheet piling below the elevation of the pipeline to ensure the pipeline(s)are protected during installation may be required. 5.4. Continuous tracking of the drill head as well as physical or visual techniques to verify the drill head location (included but not limited to probing, pot-holing or a window). 5.5. Before the bore begins, Equistar will review the drill profile. 6. Exposing an Equistar Pipeline 6.1. Must be avoided unless approved by an Equistar who must be present to ensure the integrity of the pipeline. 6.2. Must protect the exposed the pipeline from sags, bends, and equipment at all times. 6.3. The pipelines supported with cribbing,sand bags,equipment or dirt plugs if: 6.3.1.Pipe is less than or equal to three inches(3") in diameter at least every ten feet(10'). 6.3.2.Pipe is greater than three inches(3") at least every twenty feet(20'). 6.4. The excavator must allow sufficient time for Equistar to complete an Exposed Pipeline Report. 6.5. The excavator must allow sufficient time for Equistar to install a bond or test station if deemed necessary by Equistar. 7. Parking Lots, Roads, Driveways, Fences and Structures 7.1. Equistar approval is required for any permanent structures to be constructed over the pipeline. 7.2. Permanent surface structures to be constructed near the pipeline must have minimum ten feet (10') of clearance from all Equistar pipelines. 7.3. Equistar approval will be required to have less than two feet(2')minimum vertical separation between the pipeline and any underground structure. 7.4. A minimum of four feet(4') of cover is required for all road crossings, and three feet(3')for driveways; however,a stress factor calculation may be needed to determine the actual amount of cover required depending on soil conditions and other circumstances. 7.5. Proposals for parking lot construction on the pipeline right of way are discouraged. 7.5.1.Asphalt paving may be permitted as an exception under certain conditions with an agreement executed by the property owner and Equistar.The agreement grants Equistar the right to excavate within the pavement area for any pipeline maintenance that may be necessary in the future and acknowledges the property owner as the party responsible for the expense of pavement replacement. Rev. August 2022 Page 3 of 5 7.5.2.If a parking lot is permitted by Equistar,a minimum of four feet(4') of cover will be required. 7.6. A minimum of three feet(3')of cover is required for all drainage ditches. 7.7. No subsurface structures (such as manholes or catch basins)shall be located over the pipeline. A minimum horizontal clearance of five feet (S') is required between the structure and the pipeline. 7.8. All parking lots planned within the Equistar's right-of-way should incorporate green areas (areas where surface access is not impeded by improvements) over the pipeline at intervals of approximately 60 feet but no more than 100 feet, measured along the pipeline centerline. Location and size will be subject to Enterprise's review and approval. 8. Temporary Equipment Crossings,Temporary Storage 8.1. Temporary equipment crossings will require an air bridge with a minimum of six feet(6') horizontal distance from the edge of the pipeline(s). 8.2. Any other method will require: 8.2.1. Written approval from Equistar 8.2.2. Exact location of crossing(s) 8.2.3. Wheel load-concentrated surface load(lbs.)(Wheel Load) 8.2.4.Tracked vehicle load—total weight and width, length,gauge 8.3. Temporary storage must have at least ten feet(10')of horizontal clearance from the pipeline. 9. Landscape and vegetation 9.1. Limited trees are allowed on the pipeline right-of-way. 9.2. Equistar may permit the installation of limited landscaping and minor shrubbery plantings with a verbal communication. 9.3. For a major development, landscaping plans must first be submitted in writing to Equistar for review and approval. Any plantings that restrict efficient aerial inspection or limit access to the easement area will be considered interference and must be addressed accordingly. 10. Exceptions 10.1. Any deviations to the above construction requirements will require Equistar's approval. Encroachment Evaluations 11.1. When reviewing plans that may encroach on its rights-of-way or pipeline facilities, Equistar reserves the right to request all information it deems necessary to evaluate the project, including, but not limited to,the following: 11.1.1. A detailed cover letter describing the proposed project and stating the name, address, and telephone number of the property owner, contractor, and developer. 11.1.2. A completed set of final design drawings of the project at the location where they impact the pipelines, which must include the following information: 11.1.2.1. A plan of the project drawn to scale, showing the location of the project and Rev.August 2022 Page 4 of 5 indicating where changes in grade are proposed to the surface of rights-of-way. Existing and proposed elevations must be shown. Equistar will need to be contacted to determine actual pipeline elevations. 11.1.2.2. A ground profile where changes in grade are to be made to the surface of rights- of-way for activities such as road crossings, excavations, fill, etc. 11.1.2.3. If hauling or traveling across a pipeline facility or right-of-way is part of the project,vehicle information is to be supplied to Equistar. This shall include vehicle type, number of axles, and gross vehicle weight. Equistar will review this information and determine if special modifications need to be made to the depth of cover on the pipeline. 11.1.2.4. Location of any structures relative to Equistar's pipelines. 11.1.3. For pipeline crossings, detailed design plans and specifications, including final plan and profile drawings must be submitted to Equistar. Information submitted must include (if applicable): 11.1.3.1. Line Crossing Locations 11.1.3.2. Pipe depth and spacing from Equistar pipelines 11.1.3.3. Drill Profile 11.1.3.4. Alignment sheets 11.1.4. Companies who have a pre-existing agreement with Equistar must disclose the terms of that agreement if there are conflicts with these requirements. 11.2. (3) In the event PS LIGHTWAVE or its contractor(s)need to cross over or along ETC's facilities with heavy construction equipment, ETC reserves the right to require the contractor(s) to furnish and install temporary matting,earthen fill and or an air-bridge over ETC's Facilities in order to protect ETC's Facilities from heavy equipment loads for temporary construction activities. (4) ETC's Facilities shall be positively located before the Encroachment is constructed or installed near ETC's Facilities. ETC requires that an absolute minimum clearance of twenty-four (24) inches be maintained between the outside diameter of ETC's Pipeline(top,bottom,and sides)and the Encroachment. All proposed utility crossings of ETC's Facilities are required to cross under and at the same elevation continuously across ETC's pipeline easement.No above ground facilities will be allowed to be installed within ETC's pipeline easement. (5) Excavation equipment shall be equipped with a barred tooth bucket and side cutters removed when digging excavating near ETC's pipeline.All excavation within twenty-four(24)inches of the top, bottom or sides of ETC's Facilities shall be completed by hand digging; after the top is exposed, excavation Up to twenty-four(24)inches from the side or bottom of exposed ETC's Facilities may proceed by mechanical means only if approved by a Representative. (6) Directionally drilled method requires a minimum sixty (60) inches of separation below ETC's facilities which shall span a minimum of fifty(50) feet either side of ETC's facilities. Pothole excavations must be dug to observe the drilling and pulling process does not damage ETC's facilities. Boring equipment shall incorporate a mechanism for real time positioning and controlling bore bit auger to ensure the required clearance is maintained throughout the boring process. A drill plan shall be provided for the crossing showing the relationship of the bore hole to the bottom of ETC's Facilities. Potholes shall be excavated on the approach side of the drill; the depth of the pothole shall be a minimum of twenty-four (24) inches below the bottom of ETC's facilities and in the direct path of the approaching drill tool to visually confirm it does not impact ETC's facilities. (7) ETC requires any temporary or permanent accessway to be installed with an absolute minimum of 48-inches of cover to be maintained between the crown of the proposed accessway and the top of ETC's pipelines, but not less than 24 inches below the bottom of the sub grade. ETC requires no existing grade cover to be diminished or removed from over ETC's pipeline. Additional clean fill material is allowed. ETC requires a minimum of forty-eight(48)inches of cover to be maintained from the flowline of the earthen drainage swale and the top of ETC's facilities. (8) Soil compaction activities over ETC's facilities requires eight-inch lifts of backfill material compacted to a minimum proctor density of 951o. Soil backfill shall be compacted to the satisfaction of ETC's onsite inspector so that settling does not occur. (11) If it becomes necessary for ETC to excavate the portion of the ETC Pipeline in the area of the Encroachment (as such Encroachment area is reflected on Exhibit A) for inspection, repair or replacement, ETC will not be responsible for any damages to the Encroachment except where, and to the extent, such damages are caused by ETC and or its contractor(s) sole or gross negligence or willful misconduct. (12) ETC requires the pipeline easement to remain clear of any temporary or permanent structures, such as buildings, lighting structures, fencing, anchors, ETC. in order that proper maintenance and operation of its facilities can proceed unobstructed, except as agreed to in this agreement as shown on Exhibit"A".
