Ordinance No. 16,064 ORDINANCE NO. 16,064 AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS, AUTHORIZING THE FIRST AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT WITH SLATE COMMUNICATIONS FOR ON-CALL GRAPHIC DESIGN SERVICES; AUTHORIZING PAYMENT BY THE CITY OF BAYTOWN IN AN AMOUNT NOT TO EXCEED ONE-HUNDRED FIFTY THOUSAND AND NO 100 DOLLARS (S150,000.00); MAKING OTHER PROVISIONS RELATED THERETO; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. ************************************************************************************* BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN,TEXAS: Section 1: That the City Council of the City of Baytown, Texas, hereby authorizes and directs the City Manager to execute and the City Clerk to attest to the First Amendment to the Professional Services Agreement with Slate Communications for on-call graphic design services. A copy of said first amendment is attached hereto as Exhibit "A" and incorporated herein for all intents and purposes. Section 2: That the City Council of the City of Baytown authorizes payment to Slate Communications, in an amount not to exceed ONE-HUNDRED FIFTY THOUSAND AND NO 100 DOLLARS (S 150,000.00) for professional services in accordance with the first amended agreement authorized in Section 1 hereinabove. Section 3: That the City Manager is hereby granted general authority to approve a decrease or an increase in costs by FIFTY THOUSAND AND NO 100 DOLLARS ($50,000.00) or less. Section 4: This ordinance shall take effect immediately from and after its passage by the City Council of the City of Baytown. ND, City Attorney R.'•Ordinances and Resolutions Ordinance Drafts 2025-13-02 Ordinance for First Amendment of the Slate-On Call Agreement.docx EXHIBIT "A" FIRST AMENDMENT TO THE AGREEMENT FOR CONSULTING SERVICES CONTRACT WITH SLATE COMMUNICATIONS STATE OF TEXAS § COUNTY OF HARRIS § This First Amendment to the Agreement for Consulting Services Contract with Slate Communications ("First Amendment") is entered into on this the day of 2025, by and between the City of Baytown, Texas, a municipal corporation located in Harris and Chambers Counties, Texas (hereinafter referred to as the "City") and Slate Communications, (the "Consultant"). WITNESSETH WHEREAS, the City and the Consultant entered into an Agreement for Consulting Services Contract with Slate Communications dated February 27, 2024, a true and correct copy of which is attached hereto as Exhibit "A" and incorporated herein by this reference for all intents and purposes (the "Contract"); and WHEREAS, This Contract authorizes Consultant to perform On-Call Graphic Design services for various city-wide communication and engagement initiatives (the "Work") for and on behalf of the City; and WHEREAS, pursuant to the terms of the Contract, the City and the Consultant desire to renew the Contract for an additional year; NOW THEREFORE, the parties hereby agree as follows: THAT IN CONSIDERATION of the covenants and agreements hereinafter contained and subject to the terms and conditions hereinafter stated, the parties hereto mutually agree as follows: Paragraph 3 of the Contract is hereby amended to read as follows: "Term This First Amendment shall begin on February 27, 2025, and expire on February 26, 2026, unless terminated earlier in accordance with its terms." Paragraph 2(a) of the Contract is hereby amended to read as follows: "Compensation and Professional Fees a. Consultant agrees that there is no guaranteed dollar amount associated with this agreement and payment will be negotiated per task order. The amount of any cumulative task orders during each 12-month period is not to exceed $150,000.00." No other terms of the Contract are altered by this First Amendment. IN WITNESS WHEREOF, the parties hereto have executed this First Amendment in multiple copies, each of which shall be deemed to be an original, but all of which shall constitute but one and the same agreement on the day of ,2025,the date of execution by the City Manager of the City of Baytown.
