Ordinance No. 16,033 ORDINANCE NO. 16,033 AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS, AUTHORIZING AN AMENDMENT TO THE AGREEMENT FOR SERVICES AT AN ONSITE CENTER WITH CONCENTRA HEALTH SERVICES, INC.; AUTHORIZING PAYMENT BY THE CITY OF BAYTOWN IN AN AMOUNT NOT TO EXCEED FIVE HUNDRED SIXTY-TWO THOUSAND EIGHT HUNDRED SIXTY-NINE AND NO 100 DOLLARS ($562,869.00) FOR ADMINISTRATION OF AN EMPLOYEE HEALTH CLINIC, INCLUDING MEDICAL SERVICES AND SUPPLIES; MAKING OTHER PROVISIONS RELATED THERETO; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. ************************************************************************************* BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS: Section 1: That the City Council of the City of Baytown, Texas, hereby authorizes the City Manager to execute an Amendment to the Agreement for Services at an Onsite Center with Concentra Health Services, Inc. A copy of said amendment is attached hereto as Exhibit "A" and incorporated herein for all intents and purposes. Section 2: That the City Council of the City of Baytown authorizes payment to Concentra Health Services, Inc., in an amount not to exceed FIVE HUNDRED SIXTY-TWO THOUSAND EIGHT HUNDRED SIXTY-NINE AND NO 100 DOLLARS($562,869.00) for the administration of an employee health clinic, including medical services and supplies pursuant to the agreement between the parties. Section 3: That the City Manager is hereby granted general authority to approve any change order involving a decrease or an increase in costs of FIFTY THOUSAND AND NO 100 DOLLARS ($50,000.00) or less; however, the original contract price may not be increased by more than twenty-five percent (250 o) or decreased by more than twenty-five percent (25%) without the consent of the contractor to such decrease. Section 4: This ordinance shall take effect immediately from and after its passage by the City Council of the City of Baytown. APPROVED AS �O F ~` SCOTT LE O D, City Attorney RAOrdinane s and Resolutions\Ordmance Drafts2024-12-12 Ordinance Authorizing Amendment and Payment to Concentra for Wellness Center.kh.docx Docusign Envelope ID:70ED7153-0A4F4B10-8228-DEE EXHIBIT "A" AMENDMENTTO AGREEMENT FOR SERVICES AT AN ONSITE CENTER This Amendment to Agreement for Services at an Onsite Center (the "Amendment") is made and entered into as of the 24th day of October , 2024 (the "Amendment Effective Date"), by and between Concentra Health Services, Inc., a Nevada corporation, for the benefit of and on behalf of its subsidiaries, affiliates, and managed and professional associations and corporations ("Concentra")and the City of Baytown RECITALS WHEREAS, Concentra and Client previously executed an Agreement for Services at an Onsite Center dated January 1, 2020,and an Amendment dated February 1, 2022, and an Amendment dated August 16,2023(collectively,the"Agreement");and WHEREAS,the parties mutually agree to renew the Term of the Agreement for an additional one(1)year; WHEREAS, Client desires to engage Concentra, and Concentra desires to accept such engagement, to provide the Services,on the terms and conditions set forth in the Agreement and as set forth herein. NOW,THEREFORE, for and in consideration of the mutual covenants and agreements set forth herein and for other good and valuable consideration,the receipt and sufficiency of which are hereby acknowledged,the parties hereto agree as follows: 1. Definitions. Capitalized terms used in this Amendment, to the extent not otherwise defined in this Amendment, shall have the same meanings as in the Agreement. 2. Renewal Term. The parties have mutually agreed to extend the Term of the Agreement for an additional one (1) year period pursuant to Section 1 of the Agreement. The new expiration date of the Agreement is January 1, 2026(the"Renewal Term"). 3. Ratifications. The terms and provisions set forth in this Amendment shall modify and supersede all inconsistent terms and provisions set forth in the Agreement. The terms and provision of the Agreement,as expressly modified and superseded by this Amendment, are ratified and confirmed and shall continue in full force and effect, and shall continue to be legal, valid, binding, and enforceable obligations of the parties. 4. Counterparts. This Amendment may be executed in several counterparts, all of which taken together shall constitute a single agreement between the parties.
