Ordinance No. 16,000 ORDINANCE NO. 16,000 AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF BAYTOWN,TEXAS, AUTHORIZING AN AMENDMENT TO THE AGREEMENT WITH MADDEN PREPRINT MEDIA,LLC FOR AGENCY OF RECORD SERVICES FOR MARKETING AND ADVERTISING;AUTHORIZING PAYMENT BY THE CITY OF BAYTOWN IN AN AMOUNT NOT TO EXCEED ONE-HUNDRED, FIFTY THOUSAND AND NO 100 DOLLARS (S150,000.00); MAKING OTHER PROVISIONS RELATED THERETO; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. ************************************************************************************* BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN,TEXAS: Section 1: That, on May 9, 2024, via Ordinance No. 15,803, the City Council of the City of Baytown, Texas, authorized and directed the City Manager to execute and the City Clerk to attest to a Marketing and Advertising Services Agreement with Madden Preprint Media, LLC for agency of record marketing and advertising services. Section 2: That the City Council wishes to extend the agreement for a second 12-month period, and for an additional $150,000, to focus its advertising on two new City initiatives: Baytown Life and Baytown Forward. Section 3: That the City Council hereby authorizes and directs the City Manager to execute and the City Clerk to attest to an Amended Marketing and Advertising Services Agreement with Madden Preprint Media, LLC for agency of record marketing and advertising services for the purpose of focusing its advertising on Baytown Life and Baytown Forward. A copy of said agreement is attached hereto as Exhibit "A" and incorporated herein for all intents and purposes. Section 4: That the City Council authorizes payment to Madden Preprint Media, LLC, in an amount not to exceed ONE-HUNDRED, FIFTY THOUSAND AND NO 100 DOLLARS ($150,000.00) for professional services in accordance with the agreement authorized in Section 3 hereinabove. Section 5: That the City Manager is hereby granted general authority to approve a decrease or an increase in costs by FIFTY THOUSAND AND NO 100 DOLLARS ($50,000.00) or less. Section 6: This ordinance shall take effect immediately from and after its passage by the City Council of the City of Baytown. WHEREAS, the City Council of the City of Baytown approved the Agreement on May 9, 2024 via Ordinance No. 15,803; and WHEREAS, Exhibit A to the Agreement provides that "there will be an option to extend the Agreement for up to an additional 12 months, and shifting the focus to the marketing and advertising of two other City of Baytown programs(Baytown Life and Baytown Forward);"and WHEREAS, the CITY and Consultant agree to extend the Agreement and name the two other initiatives. NOW,THEREFORE,the CITY and Consultant agree as follows: In accordance with Exhibit A to the Agreement, the CITY and Consultant amend the Agreement as follows: I. Section 1(a) is amended as follows: This Agreement authorizes Vendor to perform Agency of Record Marketing and Advertising Services, including, but not limited to, the marketing and advertising of the following City of Baytown initiatives (i) Baytown Life Talent Attraction; and (ii) Baytown Forward Economic Development (the"Work") for and on behalf of the City. ll. Section 1 is amended to add subparagraph I(b)(b)as follows: bb. Phase 2 of the Work shall commence on the date of execution by the City Manager and (if not terminated in accordance with paragraph 10) shall terminate twelve(12) months following execution by the City Manager. Ill. Section 2 is amended to add subparagraph 2(b)(b)as follows: bb. For Phase 2 of the Work, the City shall pay Consultant in installments based upon monthly progress reports and detailed invoices submitted by the Consultant based upon the following: (i) Advertising and Marketing Services.........$150,000.00 (ii) Total Not to Exceed............................$150,000.00 EXECUTED ON this the_day of , 2024(the"Effective Date").
